The attached agenda item addresses the expired Hurricane/Disaster Debris
Removal, Reduction and Disposal Contract with Phillips and lordan. The Village is
piggybacking the contract Phillips & Jordan has with the Palm Beach County Solid
Waste Authority.
Phillips & Jordan's Contract (07-740) with the SWA expired on August 20, 2016.
Phillips and Jordan is working to extend the contract with the SWA. During this
lapse Phillips & Jordan has stated in writing they will honor their commitment and
be available to provide debris management services under the lapsed contract
terms should the need arise.
The Solid Waste Authority is in the process of soliciting new bids for
Hurricane/Disaster Debris Removal, Reduction & Disposal. The Village wi�l seek to
piggyback the new contract when it is executed.

impending August 2Q, 201fi lapse of the abave referenced contract betvu�een Phillips and
Jordan. Inc., and the Palm Beach County Solid Vltas� Authority. As you acknawledge in
your August 1, 20161etter, the Village af T�uesta has entered into its own agreemer�t
writh Philiips and Jordan, Inc. i�sed on tl�e terms and conditions of tl�e Sotid Wasi�
Autho�r contract. I have enclosed a copy of the Vllage of Tequesta agreement, as weil
as yourAugust 1, 2016 letter. for your convenience.
On behalf of the Vfllage of Tequesta, as its Generai Counsel, I am ac�CCnowledging
your assert'son and pramise to honor the temns af Phillips and Jordan inc.'s �reement
with the VIlage of Tequesta through the 2016 Atta�fic HuRicane Season (which runs
through November 30, 20'!6) under the lapsed Salid Waste Authority terms, and am
advising you that the Vil(age of Tequesta intends to reasonably rely upon this assertian
and pram�e, shou� the need arise.

Phillips and Jordan, Inc. (P&J) has been a+varded a contract f'or Hurricane/Disaster Debris Removal,
Reduction and Disposal Services from The Solid Waste Authority of Palm Beach Counry for the term of
3 years commencing August 21, ?013 until August 20, 2016.
Article 39 (A�reements with other Government Entities) of the agreement (No. I 3-249) states:
The CONTRAC'I'OR agrees that this Agreement constitutes an offer to all State Agencies and
Political Subdivisions of the State of Florida under the same tern�s and conditions, for the same
prices and for the same effective period as specified in this Agreernent; should the
CONTi�ACTOR deem it in the best interest of their business to do so.
The A��reement in no way restricts or interfcres �vith any State Agency or Political Subdivisian of
the State of Florida from re-salicitation.
I�aould like to extend an ofter to the Village of Tequesta, Florida to enter into an exclusive abreernent
�vith P&J as allowed under the aforementioned Article 39 of said contract. This of�er is made at the same
terms and conditions stated in the referenced agreement.

PUBLIC RECORDS. In accordance with Sec. 119.0701, Florida
Stafutes, C4NTRACTOR must keep and maintain this Agreement
and any other rec:ords associated therewith and that are associated
with the performance of the work described in the Proposal or
Bid. Upon request from the Village's custodian of public recarcls,
CONTRACTQR must provide the Village with copies of requested
records, or allow such records to be inspected or copied, within a
reasonable time in accordance with acc:�ss and cost requirements of
Chapter 119, F/orida Statutes. A CONTRACTOR who #ails to
provide the public reoords to the Village, or fails to make them
avallable for inspection or copying, within a reasonable time may be
subject to attomey's fees and casts pursuant to Sec. 119.0701 �
Florida Statutes, and other penalties under Sec. 119.10, Flaida
Statutes. Further, C4NTRACTOR shali ensure that any exempt or
confidential rec�rds associated with this Agreement or associated
with the pertomnance af the virork described in the Proposa! or Bid
are not disclosed except as autl�rized by law for the duration of the
Agreement temn, and following completion of the Agreement if the
CONI'RACTOR does not transfer the recorads to the Village. Finally,
upan comp(etion of the Agreement, CONTRACTOR shail transfer, a#
no cost to the �Ilage, all public records in �ssession of the
CONTRACTOR, or keep and maintain public records required by the
Viliage. If the CONTRACTOR transfers all pubtic recorcis to the
�liage upon completion of the Agreement, the C4NTRACTOR shail
destroy any duplicate public records that are exempt or confidential
and exempt from public records disclosure requirements. If the
CONTRACTOR keeps and maintains public records upon
completion of the Agreement, the CONTRACTOR shall meet all
appl�cable requirements for retaining public records. Records that
are stored electronicany must be provided to the VILLAGE, upon
request firom the Viliage's custodian of public records, in a format that
is compatible with the Village's informa�on technology systems.

PUBLIC REC�RDS. In accordance with Sec. 119.07Q1, Florida Statutes,
CONTRACTOR must keep and mainfiain this Agreement and any other
records associated therewith and that are assaciated with the
performance of the work described in the Proposat or Bid. Upon request
from the Village's custodian of public records, CONTRACTOR must provide
the ViNage with capies of requested records, or allaw such records to be
inspected or copied, within a reasonable time in accordance with access
and cost requirements of Chapter 119, Ftorida Statutes. A CORITRACTOR
who fails ta provide the public records to the Vi{iage, or fails to make them
available far inspection or copying, within a reasona6le time may be
subject to attorney's fees and costs pursuant ta Sec. 119.07Q1, F�orfda
Statutes, and other penaities under Sec.119.10, Florida Statutes. Further,
CONTRACTC?R shall ensure that any exempt or confidential records
associated with this Agreement or associated with the perFormance of the
wark described in the Proposal or Bid are not disclosed except as
authorized by law for the duration of the Agreement term, and foliowing
completion of the Agreement if the CONTRACT�R does nat transfer the
records to the Village. Finally, upon comptetion of the Agreement,
CONTRACTOR shall transfer, at no cost to the Village, atl public records in
possession of the CONTRACT�R, or keep and maintain public records
required by the Viilage. If the CONTRACTOR transfers all public records to
the Village upon campletion of the Agreement, the CONTRACTOR shall
destroy any duplicate public records that are exempt or confidential and
exempt from public records disclosure requirements. If the CONTRACTGIR
keeps and maintains public records upon completian of fihe Agreement,
the CONTRACi'OR sha{I meet all applicable requirements for retaining
public records. Records that are stored electronically must be provided to
the ViLLAGE, upon request from the Village's custodian of public records,
in a farmat that is compatible with the Village's informatian technology
systems.

TotalCaring ftealth, Education and Staffing, Inc. is an American Heart Association
certified training organization which provides Emerqency Cardiovascular Gare training
under the guidelines and cu.rriculum of the AHA.
On Saturday, July 23, 2016 we passed inspection done by TotalCaring, Inc, The
inspection was positive and without any deficiencies. The execution of the Training
Agreement will enable us to become a Certified American Heart Association Training
Site, thereby being able to offer the CPR course to our residents each month, as
well as keep our Firefighters trained ta the hiqhest standards of the AHA. There is
no fee charged by TotalCaring, Inc. to participate as a training site. The only fee
involved is the cost of consumables such as AHA cards, and education materials. It
is anticipated these fees will be less than Five Hundred Dollars ($500) per year and
will come out of our CPR Program Supplies account no. 001-192-552.311 and our
Personnel Training account number 001-192-594.301.

This is an agreement between TotalCaring Healt6 Education & Staffing, Inc. with its
principal place of business at 2021 Crown Drive, St. Augustine, FL 32092 and The
Vitlage of Tequesta Fire Rescue with its principal place of business at 357 Tequesta
Drive, Tequesta, FL 33469.
WHEREAS, the American Heart Association is a nonprofit organization dedicated to
fighting heart disease and stroke and sets guidelines for emergency cardiovascular care
(`BCC") and ECC training;
WHEREAS, Certified Training Center (TotalCaring, Inc.) provides and manages ECC
training under the guidelines and curriculum of the AHA; and Training Site (Village of
Tequesta Fire Rescue) would like to provide ECC training under same guidelines and
curriculum of AHA:
NOW TI�REFORE, in consideration of the mutual promises set out herein, the parties
hereby agree as follows:
1. DEFINITIONS:
11 AHA Materials: "AHA Materials" shall mean all ECC materials
published by the AHA, including, but not limited to, textbooks, instructors
manuals, tests, keys, evaluation forms, newsletters, course compietion
cards, and course participation cards.
1.2 Courses: "Course" or "Courses" shall mean the approved ECC courses
listed below in which course cards will be distributed.
A. Basic Life Support (BLS)

1.3 Course Cards: "Course Cards" shall mean thase cards bearing the AHA
Servicemarks and ECC logo which TS may distribute to students pursuant
to Program Guidelines to indicate that the student participated in or
successfully completed a course.
1.4 Geographic Territory: The "Geographic Territory" shall mean the State
af Florida.
1.5 Training Site: "Training Site" shall mean persons or organiza.tions
engaged or authorized by CTC to teach courses and for whom CTC will
process course rosters.
1.6 Instrnctors: "Instructors" shall mean persons engaged or authorized by
CTC or TS to teach courses.
I.7 Program Guidelines: "Program Guidelines" shall mean the then current
Guidelines for Cardiopulmonary Resuscitation and Emergency Cardiac
Care, and most recent version of the CTC Program Administration
Manual, as they tnay be amended and/or supplemented by the AHA from
time to time. The Program Guidelines are incorporated herein by
reference as if fully set forth at length.
2. RESPONSIBILITIES OF TRAINING SITE:
2.1 Coarses: TS shall conduct courses only within geographic territory. TS
shall ensure that all courses taught by TS ancVor Instructors conform to
requirements of AHA.
2.2 The TS will support the Chain of Survival initiatives in cooperation with
the AHA in their region andior community, within available resources as
outlined in Program Guidelines.
2.3 Rosters & Course Completion Cards:
2.3.1 TS shall safeguard Course Cards from unauthorized distribution. It
� shall limit the distribution of course cards only to persons who are
students of the TS and/or Instructors who have met the
reyuirernents for receipt of course cards in accordance with
Program Guidelines. Only the approved TS Coordinator may
receive course cards from the CTC and will be solely responsible
for control and security of card issuance. This respansibility may
not be assigned or transferred to any other organization or
individual, including Training Sites or Instructors. TS shall insure
that only the appropriate type of course card, as set out in the
Program Guidelines, is issued to each student. T'he fee for basic
life support (BLS) Provider cards for TS, payable to CTC is $5.00
per card, and the fee for advanced cardiac life support (ACLS),
pediatric advanced life support (PALS) Provider Cards and ALL
instructar cards (BLS, ACLS, PALS) for TS, payable to CTC is
$7.00 per card. (fees do not generate income to the American Heart
Association).
2.3.2 TS shall maintain rosters and records for all courses conducted by
TS for at least 3 years after the date the course was conducted.
2.3.3 TS shall submit statistical data andior reports to the CTC as
required under the Program Guidelines.
3. Reviews:
The CTC may monitor and/or review the TS performance and compliance
with Program guidelines and AHA curriculum at least once each year
through a review of course records, site reviews, and course audits. This
shall be in addition to the monitoring of Insixuctors as part of their review.
4. Costs and Fees:
All costs of providing courses and fees charged to students shail be the
responsibility of the TS. The AHA or CTC shall not have any
responsibility for any costs incurred, or fees charged by TS. The AHA is
paid no fees by the CTC or TS or instructors, and the AHA has no
financial interest in the business of the CTC or TS.
5. Relationship of Parties:
The parties acknowledge and agree that the relationship created by this
agreement is that of independent contractors, each is an independent
business entity, and such, neither party may represent itself as an
employee, agent or representative of the other; nor may it incur any
obligations on behalf of the other party; nor are the parties joint ventures
or partners; nor does the relationship created under this agreement
constitute a franchise.
6. Term and Termination:
The term of this agreement shall be for a SIX MONTHS (usually a one
year period), beginning on July 23, 2016 and ending on January 31,
2016 (renewable annually in January). It may only be extended by
mutual written agreement of the parties. Each party is free to decline to
renew or extend the term of this agreement. Agreements are renewable
annually.
This agreernent may be terminated by either party if the other party
breaches any term or condition of the Agreement and fails to cure the
breach within ten business days after receipt of written notice describing
the breach. TS acknowledges and agrees that breach includes, but is not
limited to, failure by TS to comply with program and/or curriculum
guidelines , and that neither the CTC nor its affiliates or officers,
employees volunteers or agents shall have any liability for any resulting
termination under this agreement.
This agreement may also be terminated by either party, without cause,
upon thirty (30) days' prior written notice.

PUBLIC RECORDS. In accordance with Sec. 119.0701, Fiorida Stafiutes,
CONTRACTOR must keep and maintain this Agreement and any other
records associated therewith and that are asspciated with the
performance of the work deseribed in the Proposal or Bid. Upon request
from the Village's custodian of public records, CQNTRACTC?R must provide
the Viilage with copies of requested records, or allow such recards ta be
inspected or copied, within a reasonable time in accordance with access
and cast requirements of Chapter 119, Florida Statutes. A CONTRACT(3R
who fai(s to provide the public records to the Village, or fails to make them
available for inspection ar copying, within a reasonabfe time may be
subject to attorney's fees and costs pursuant to Sec. 119.0701, Florida
Statutes, and other penalties under Sec.119.1�, Florida Statutes. Further,
CONTRACTOR shall ensure that any exempt or confidential records
associated with this Agreement ar associated with the perFormance of the
work described in the Proposal or Bid are not disclosed except as
authorized by law for the duration of the Agreement term, and f411owing
campletion af the Agreement if the CONTRACTOR does nat transfer the
records to the Viltage. Finally, upon completion of the Agreement,
C0IVTRACi'OR shal{ transfer, at no cost to the Village, all public records in
possession of the CONTRACTOR, or keep and maintain public records
required by the Village. If the CONTRACTOR transfers ail public records ta
the Village upon completian of the Agreement, the CON7RACTOR shat{
destroy any duplicate public records that are exempt or confidential and
exempt from pubtic r�cords disclosure requirements. If the CONTRAGTQR
keeps and maintains public records upon completion of the Agreement,
the CONTRACTOR shall meet ail applicabie requirements for retaining
pub(ic records. Records that are stored electronically must be provided to
the VIILAGE, upan request from the Viflage's custodian of public records,
in a format that is compatible with the Village's information technology
systems.
