DAVIS ATTORNEY AT LAW Board Certified in City, County and Local Goz�ermnent Law MEMORANDUM TO: Mayor Brennan, Vice Mayor Arena, Council Members D'Ambra, Okun and Paterno CC: Manager Couzzo, Clerk McWilliams FROM: Attorney Davis DATE: August 23, 2016 RE: Agenda Item — FDOT Maintenance Memorandum of Agreement for Light Fixtures The following describes in detail the above referenced agenda item: As part of the U.S.1 redesign project, FDOT will require the Village to execute the "Maintenance Memorandum of Agreement" for the installation and maintenance of the decorative light fixtures with banner arms between Bridge Road and Waterway Road on U.S.1. We have previously executed a letter of intent which indicated the Village's intent to enter into this agreement. The agreement must be completed on page 1 by indicating that the Village is also adopting Resolution 23-16, authorizing the agreement. Essentially, the agreement provides that in exchange for FDOT installing the light fixtures as described above, the Village will be responsible for all maintenance and upkeep of said fixtures. In addition, the Village will be responsible for the electric service associated with the fixtures, as well as any associated landscaping, including irrigation. The term of the agreement is 50 years. Y7 G-�'.�l . , _ , . � � _ t i �^__)��.—' � ---�..—. ___ ' / __.— _._ _. __ .. . ly3h��bkla.S,.rfV'1� �. ��.1 ,�s�l,i RESOLUTION 23-16 A RESOLUTION OF THE VILLAGE COUNCIL OF THE VILLAGE OF TEQUESTA, FLORIDA, AUTHORIZING THE MAYOR OF TEQUESTA TO EXECUTE THE DISTRICT FOUR MAINTENANCE MEMORANDUM OF AGREEMENT WITH THE STATE OF FLORIDA DEPARTMENT OF TRANSPORTATION REGARDING MAINTENANCE OF CERTAIN DECORATIVE FEATURES CONSISTING OF PEDESTRIAN LIGHTING WITH BANNER MOUNT ARMS TO BE INSTALLED ALONG U.S. 1 IN CONJUNCTION WITH THE CURRENT U.S. �IIGHWAY ONE RECONFIGURATION PROJECT, BEGINNING JUST NORTH OF BRIDGE ROAD TO JUST NORTH OF WATERWAY ROAD, AS MORE PARTICULARLY DESCRIBED THEREIN; PROVIDING AN EFFECTIVE DATE, AND FOR OTHER PURPOSES. WHEREAS, the Village of Tequesta, Florida, is a fu11-service municipality located in northern Palm Beach County; and WHEREAS, U.S. Highway One (US 1) is a roadway controlled by the Florida Department of Transportation that traverses the Village of Tequesta from north to south, connecting the Town of Jupiter to the south and unincorporated Martin County to the north; and WHEREAS, the Florida Department of Transportation is currently developing plans to resurface and restripe US1, from Alternate AlA/Beach Road to County Line Road, as part of its regular long-term maintenance program (see E�chibit 1); and WHEREAS, US 1 is currently configured as a six-lane facility, with a posted speed limit of 45 miles per hour, without bicycle facilities or right-hand turn-lanes, and with multiple driveways that provide access to Village of Tequesta businesses and destinations; and WHEREAS, a reconfiguration of US 1 to a facility with four "through" lanes for vehicles with designated bicycle/turning lanes would provide safer access to Tequesta businesses and destinations as well as safer accommodations for cyclists; and WHEREAS, a reconfigured US 1 would allow the opportunity for beautification to improve the appearance of the corridor through the Village of Tequesta; and WHEREAS, the Florida Department of Transportation has developed a"Lane Elimination Program" to enable municipalities to request roadways such as US 1 be reconfigured with fewer "through" lanes and the re-use of additional lanes for designated bicycle/turning lanes; and WHEREAS, the Village Council desires to include certa.in decorative features consisting of pedestrian lighting with banner mount arms generally between Bridge Road and Waterway Road as part of the overall reconfiguration project; and WHEREAS, the Village of Tequesta has undertaken a public process to evaluate the configuration US 1, gain public input, and determine its desired configuration for the roadway; and WHEREAS, the Village Council has received public support for the reconfiguration of US 1 through the Village of Tequesta to four "through" lanes with designated bicycle/turning lanes, and further believes that such a reconfiguration will serve the public health, safety and welfare, and will be in the best interest of the Village of Tequesta, as well as its residents, businesses and visitars. NOW, THEREFORE, BE IT RESOLVED BY THE VILLAGE COUNCIL OF THE VILLAGE OF TEQUESTA, FLORIDA THAT: Section 1. The foregoing recitals are hereby ratified and confirmed as being true and correct and are hereby made a specific part of this Resolution upon adoption hereof. Section 2. The Village of Tequesta hereby requests the Florida Department of Transportation include within the plans for US 1 the installation of certain decorative features consisting of pedestrian lighting with banner mount arms generally between Bridge Road and Waterway Road. Section 3. The Mayor of Tequesta is hereby authorized to execute the District Four Maintenance MemaraYdum of Agreement which generally requires the Village of Tequesta to be fully responsible for the maintenance of such decorative features consisting of pedestrian lighting with ba,nner mouYt arms generally between Bridge Road and Waterway Road. Section 4. The Village Clerk is directed to provide a copy of this Resolution to the Treasure Coast Regional Planning Council and the Florida Department of Transportation. Section 5. This Resolution shall become effective immediately upon adoption. SECTION NO.: 9304000 FM No.(s): 428718-1-52-Q1 COUNTY: Palm Beach S.R. No.: SR-5/US-1 DISTRICT FOUR MAINTENANCE MEMORANDUM O� AGREEMENT THIS AGREEMENT, made and entered into this day of 2016, by and between the STATE OF FLORIDA DEPARTMENT OF TRANSPORTATION, a component agency o# the State of Ftorida, hereinaf#er called the �EPARTMENT, and Village of Tequesta, a municipal corporatian existing under the Laws of Flarida, hereinafter cailed the AGENCY. WITNESSETH: WHEREAS, the DEPARTMENT has jurisdictian over State Road 5/ US-1; and WNEREAS, the DEPARTMENT seeks to instaii and have maintained by the AGENCY certain highway improvements; and WHEREAS, as part of the continual updating of the State of Florida Highway System, the DEPARTMENT, for the purpose of safety, protection of the investment and ather reasons, has constructed and does maintain State Road 5/ US-1 (within the limi#s of the AGENCY); and WHEREAS, it is the intent of the AGENCY and the DEPARTMENT that the AGENCY shall maintain the specific elsments constructed under Project Number 428718-1-52-Q1 to include decorative colar coated painted pedestrian-scale lighi fixtures or poles and banner arms; hereinafter called DECORATiVE FEATUES installed along State Road 5/ US-1 beginning just narth of Bridge Road at State Raad 5/ US-1 Mile Post (M.P) 11.525 to nr�rth of Waterway Road at M.P. 11.681; and WHEREAS, the Project involves the scope of work as described within Exhibit A (Project Location, Descriptian and Aerial Image) and Exhibit B(Construction Plans), which will benefit the AGENCY; and WHEREAS, the parties hereto mutually recognize the need for entering into an Agreement designation and setking forth the responsibilities of sach party; and WHEREAS, the AGENCY by Resalution No. dated 20_, attached hereta and by this reference made a part hereof, desires to enter into this Agreement and authorizes its officers to do sa; NOW THEREFORE, for and in consideration of the mutual benefits to flow each to the ather, the parties covenant and agree as fallows: 1. The recitals set forth above are true and correct and are deemed incorporated herein. 2. INSTALLATION OF FACILITIES The DEPARTMENT has issued Project Number 428718-1-52-01 ta recanstruct State Road 5/ US-1 as detailed in Exhibit A�Project Location, Description and Aerial Image) and Exhibit B{Construction Plans that wil! benefit the AGENCY. Page 1 of 18 SECTION NO.: 9304000 FM No.(s): 428718-1-52-01 COUNTIf: Palm Beach S.R. No.: SR-5/US-1 3. MAINTENANCE OF FACILITIES A. The AGENCY agrees to maintain the DECORATIVE FEATUERS to be instalied under Project Number 428718-1-52-01 within the limits of construction. Maintenance by the AGENCY will include repair, restoration, and general maintenance o# all decorative or non-standard features within the limits of construction. DECQRATIVE FEATUES are defined as items reques#ed by the AGENCY that are not defined in the DEPARTMENT'S Design Standards. This inGudes Project Number 428718-1- 52-0't to include the DECORATIVE FEATURES installed along State Road 51 US-1 baginning just north of Bridge Road at Sta#e Road 5/ US-1 Mile Post (M.P) 11.525 to north of Waterway Road at M.P. 11.681. 1) The AGENCY shall be salely responsible for the maintenance and preservation of all colored coatings on ligh# pole assemblies within the fimits of construction. The AGENCY shall inspect the colored coatings on a yearly basis. All Maintenance ar restoration activities shall be performed in accordance with a Maintenance Plan, as approved by the DEPARTMENT, as per the requirements in Exhibit C(Maintenance Plan Requirements). 2} The above named #unctions to be perFormed by the AGENCY may be subject to periodic inspections by the DEPARTMENT at the discretion af the DEPARTMENT. Such inspectian findings will be shared with the AGENCY and shall be the basis of all decisions regarding, reworking or AGREEMENT termination. The AGENCY shall nat change or deviate from said plans without written approval af the DEPARTMENT. 3) The AGENCY shall be solely responsible for any damages ta surrounding property, real estate, vehicles, pedestrians, attachments to the iight poles, or other assets occurring as a result of coating op�rations and shall repair such damage to the satisfaction of the DEPARTMENT at no expense to the DEPARTMENT 4) Lighting assemblies and systems shall be maintained in such a manner as to prolong the life of the lighting fixture and prevent potential safety hazards. Lighting shali meet requirements for the sea turtle nesting and hatchling seasons. Lights may be required to be tumed off if they fail to meet requirements of #he iaw or violate the Endangered Species Act and other law. 5) In the event of a natural disaster or acts of god, the AGENCY shall be responsible far any repairs, restoration and general maintenance of ai1 DECORATIVE FEATURES. B. It is understood and agreed by the parties that upon "final acceptance" {as that term is described in the Standard Specifications far Roadway and Bridge Construction, as amended by contract documents section 5-11) by the �EPARTMENT of the Project and Notice thereof to the AGENCY, the AGENCY shall be responsible for maintenance of the Project in accardance with the foUowing Federaliy and State accepted standards (current editions at the tirne of execution of this Agreement and Page 2 of '18 SECTION NO.: 9304000 FM No.(s): 428718-1-52-01 GOUNTY: Paim Beach S.R. No.: SR-5/US-1 any amendments hereafter) and all costs related thereto: (a) FDOT P{ans Preparation Manual (PPMy, (b} Florida Green Book, (c) Standard Specifications for Roadway and Bridge Canstruction, as amended, (d) FDOT Design Standards and (e) Manual an Uniform Traffic Control Devices (MUTCD). C. If it becomes necessary to pravide utilities (water/electricity) to these improvements, all costs associated with the utilities, accent lighting andbr irrigation systems including, but not limited to the impact and connection fees, and the on-going cast af utility usage far water and electrical, are the maintaining AGENCY'S responsibility. 1) The AGENCY shail be directly responsible far impact and connection AN D 2) The AGENCY shall become responsible for the im}�ravements and above named ongoing utility costs upon final acceptance of the construction project (including the improvements) by the DEPARTMENT and thereafter. D. The above named functions to be performed by the AGENCY may be subject #o periodic inspections by the DEPARTMENT at the discretian of the DEPARTMENT. Such inspection findings will be shared with the AGENCY and shall be the basis of all decisions regarding, repayment, reworking or Agreement termination. E. Any work impacting traffic flow on State Raad 5! US-1 must be coordinated with the DEPARTMENT. Lane closures must ba submitted for approval in accordance with DEPARTMENT procedures and policies and wili meet the goais established in the DEPARTMENT's Open Roads Policy. 4. NOTICE OF MAINTENANCE DEFICiENC1ES A. If, at any time while the terms of this AGREEMENT are in effect, it shall come to the attention of the DEPARTMENT that the AGENCY's responsibility as estabtished herein or a part thereof is nat being properly accompfished purs�aant to the terms of this AGREEMENT, the DEPARTMENT may issue a written notice, that a deficiency or deficiencies exist(s), by sending a certified !et#er to the AGENCY, in care of the VILLAGE OF TEQUESTA VILLAGE MANAGER, to piace the AGENCY on notice regarding its maintenance deficiencies. Thereafter, the AGENCY shafl have a period of sixty (60) days within which to correct the citied deficiency ar deficiencies. It said deficiencies are not corrected within the time period, the DEPARTMENT may, at i#s option, proceed under one or more or a combination of the following items: 1) The DEPARTMENT may repair any item or a number of items. Corrective actions will be perfarmed with the DEPARTMENT and/or its independent contractor's materials, equipment and personnel. The actual cost for such work witl be charged to the AGENCY. 2) The DEPARTMENT may remove or replace any item or number of items with the standard DEPARTMENT item. Corrective actians will be performed with the Page3of18 SECTION h10.: 9304000 FM No.(s): 42871$-1-52-Q1 COUNTY: Palm Beach S.R. No.: SR-5/US-1 DEPARTMENT and/or its independent contractor's materials, equipment and personnel. The actual cost for such work will be charged to the AGENCY. 3) If there is no standard equivalent item ar if in the DEPARTMENT's discretion the item is not necessary for the operations of the roadway, the DEPARTMENT may remove the item in its entirety and restore the area #o a condition acceptable to the DEPARTMENT. Cnrrective actions will be performed with the DEPARTMENT and/ar its independent contractor's materials, equipment and personnel. The actual cost for such work will be charged to the AGENCY. 4) At the discretion of the DEPARTMENT, terminate the Agreement in accardance with Paragraph 7 of this Agreement and remove, by the DEPARTMENT or i#s Contractor's personnel, all of the improvements installed under this Agreement and charge the AGENCY the reasonable cost of such removal. 5. FUTURE DEPARTMENT iMPROVEMENTS It is understood between the parties hereto that the improvements covered by this Agreement may be removed, relocated or adjusted at any time in the future as determined to be necessary by the DEPARTMENT in order that the adjacent state road be widened, altered or otherwise changed to meet with future criteria or planning of #he DEPARTMENT. 6. FUTURE AGENCY IMPROVEMENTS The AGENCY may construct additional improvements within the limits of the rights of ways identified as a result of this document, subject to the following conditions: 1) Plans far any new improvements shail be subject to approval by the DEPARTMENT. The AGENCY shall not change o� deviate #rom said plans without written approval by the DEPARTMENT. 2) The AGENCY shall procure a permit and/ or Gonstructian Agreement from the DEPARTMENT, as appropriate. 3j All impravements shall be developed and implemented in accordance with apprapriate state safety and roadway design standards. 4) The AGENGY agrees to comply with the requirements of this Agreement with regard to any additional improvements installed at no cast to the DEPARTMENT. 7. AGREEMENT TERMINATION This Agreement may be terminated under any one (1) of the following conditions: 1) By the DEPARTMENT, if the AGENCY fails ta perform its duties under this Agreement, foilowing ten (10) days written notice. Na.: SR-5/US-1 the DEPARTMENT for any expenditures for the installation of said improvements and the cost to remove and or replace said improvement with the standard improvement or remove in its entirety. 2) By the DEPARTMENT, for refusal by the AGENCY to allow public access to all doeuments, papers, {etters, or other material subject to the provisions af Chapter 119, Florida Statutes, and made or received by the AGENCY in conjunction with this Agreement. 3) Only if mutually agreed to by both parties with a six (6) month written notice. 8. AGREEMENT TERM The term of this Agreement commences upon execution by al! parties. The term of this Agreement shall remain in effect for Fifty (50� years. 9. LtABILITY AND INSURANCE REQUIREMENTS A. With respect to any of the AGENCY'S agents, consultants, sub-consultants, contractors, andlar sub-contractors, such party in any contract for the improvements shall agree to indemnify, defend, save and hoid harmless the DEPARTMENT from all claims, demands, liabiiities, and suits of any nature arising out of, because of or due to any intentional and/or negligent act or occurrence, omission or cammission of such agents, consultants, sub consultants, contractars and/or subcontrac#ors. The AGENCY shal! provide to the DEPARTMENT written evidence of the foregoing upon the request of the DEPARTMENT. It is specificaliy understood and agreed that this indemnification ciause does not cover or indemnify the DEPARTMENT for its own negligence. B. In the event thaf AGENCY contracts with a third party #o provide the services set forth herein, any contract with such third party shall include the fallowing provisions: 1) AGENCY'S contractor shall at all times during #he term o# #his Agreement keep and maintain in full force and effect, a# contractor's sole cost and expense, Comprehensive General Liabiiity with minimum limits of $1,000,000.00 per occurrence combined single limit for Bodily lnjury Liability and Property Damage Liability and Worker's Compensation insurance with minimum limits of $500,Q00.00 per Liability. Coverage must be affarded on a farm no more restrictive that the latest edition af ttre Comprehensive Genera! Liability and Worker's Compensation policy without restrictive endorsements, as fiied by the Insurance Services Office and shall name the DEPARTMENT as an additional insured. 2) AGENCY'S contractor shalt furnish AGENCY with Certificates of Insurance of Endorsements evidencing the insurance coverages specified herein priar to th� beginning performance of work under this Agreement. 3) Coverage is not to aease and is to remain in full force and effect (subject to canceilation notice) until alt performance required of AGENCY'S contractor is Page 5 of 1$ SECTION NU.: 93�4000 FM No.(s): 428718-1-52-01 COUNTY: Palm Beach S.R. Na.: SR-5/US-1 compieted. All policies must be endorsed to provide the DEPARTMENT with at least thirty (3q) days' notice of cancellation and orlor restrictian. If any of the insurance coverages wifl expire prior to the completion of work, eopies of renewal policiss shall be furnished at least (30) days prior to the date of expiration. 10. E-VERIFY REQUIREMENTS The AGENCY shall 1) Utilize the U.S. Department of Homeland Security's E-Verify system to verify the employment eligibiiity af all new empbyees hired by the AGENCY for the wor#c performed under this AGREEMENT; and 2) Expressly require any contractors performing work ar providing services pursuant to the state contract to likewise utilize the U.S. Department of Homeland Security's E-Verify system to vErify the employment eligibility of ali new employees hired by the subcon#ractor during the contract term. 11. This writing embodies the entire Agreement and understanding between the parties here#o and there are no other Agreements and understanding, oral or written, with reference to the subject matter hereof that are not merged herein and superseded hereby except the Landscape Memorandum of Agreement(s) signed between the parties, as amended, as to all other improvements not specifically mentioned in this Agreement. 12. The DEPARTMENT, during any fiscal year, shall not expend money, incur any liability, or enter into any contract which, by its terms, involves the expenditure of money in excess of the amounts budgeted as available for expenditure during such fiscai year. Any contract, verbal or written, made in violatian of this subsection is null and void, and no money may be paid on such contract. The DEPARTMENT shall require a statement fram the Comptrolfer of the DEPARTMENT that funds are available prior to entering into any such contract or other binding commitment of funds.
