A RESOLUTION OF THE VILLAGE COUNCIL OF THE VILLAGE OF
TEQUESTA, FLORIDA, INCREASING THE FISCAL YEAR 2015I2016
GENERAL FUND #001 BUDGET BY APPROPRIATING FUND BALANCE
IN THE AMOUNT OF $63,108.52 TO FUND ADDITIONAL
EXPENDITURES IN THE PUBLIC WORKS DEPARTMENT PROVIDING
FOR SEVERABILITY; PROVIDING AN EFFECTIVE DATE; AND FOR
OTHER PURPOSES.;
WHEREAS,; The Village of Tequesta maintains its right-of -ways and strives to have well
maintained roadways for its citizens.
WHEREAS,; The Public Works Department has identified the need to repair the roadway
on Tequesta Drive from Cypress Drive to Seabrook Road.
WHEREAS,; The Village is currently repairing the roadway from Cypress Dr to Mars
Avenue, it is beneficial and desirous to complete the repairs to Seabrook Road.
NOW, THEREFORE, BE IT RESOLVED BY THE VILLAGE COUNCIL OF THE
VILLAGE OF TEQUESTA, PALM BEACH COUNTY, FLORIDA, AS FOLLOWS:
Section 1 Resolution No. ZS-16 is hereby approved increasing the Fiscal Year
2015/2016 General Fund #001 Budget by appropriating Fund Balance in the amount of
$63,108.52 to fund additional expenditures in the Public Works Department providing for
severability; providing an efFective date; and for other purposes.
Section 2 This Resolution shall become effective immed�ately upon passage.

Subject: Tequesta Drive Road Work —Appropriation of Funds
Date: August 31, 2016
The attached agenda item addresses the need to appropriate funds for the road work on Tequesta Drive
from Seabrook Road to Cypress Drive.
Council had previously approved the Contract Terms and Conditions for General Roadwork and
Miscellaneous Construction on February 11, 2016 on the Consent Agenda.
Milling and Paving will begin September 19, 20l 6. Public Work Funds are available in R&M roads to
mill, pave and stripe from Cypress Drive to Mars Avenue. All County Paving has already been issued a
Purchase Order in the amount of $79,45939 far the new curbed median and milling and paving from
Cypress Dr to Mars Avenue.
The appropriation of funds work will allow the road work to continue to Seabrook Road. The additional
work also includes milling, paving, traffic loops, striping, reflectors and crosswalks at the intersection of
Seabrook Rd and Tequesta Drive.
The appropriation of fi►nds will complete the road repairs from Cypress Dr to Seabrook Rd including the
intersection and crosswalks at Seabrook Rd and Tequesta Dr.

IOth Street, Delray Beach, Florida 33444, hereinafter "the Contractor" and collectively with the
Village, "the Parties".
�VITNESSETH
The Villagc and the Contractor, in eonsideration of the mutual covenants contained herein
and far other good and valuable consideration, the receipt and sufficiency of which is hereby
acknowledged by both Parties, hereby agree as follaws;
l. SCOPE �F SERVICES: The Village and the Contractor both hereby agree to enter into
this Contract whereby the Contractor shall provide labor, rnaterials, equipment and supplies
to the Village for smal] roadway and miscellaneous construction projects, in accordance with
the technieal specifieations and drawings specified in any Woric Orders provided by the Vil-
lage. The Viilage and Contractor both agree to enter into this Contract and piggyback the
services and pricing described in the October 16, 2015 Construction Contract (Bid No. 14-
Ib393 �
1 a-134; Project: Genera! Roadway and Miscellaneous Construction; Contract No. �-6�38j,
attached hereto and incorporated as E.rhibi� A. Services provided by the Contractor to the
Village shall be pursuant to the descriptions set-out in page ], paragraph l, "Scope Of Work,"
of Exhibit ,4.
2. COI�IPENSATION: [n eonsideration for the above Scope of Services, pricing shall be
pursuant to the prices provided in the Schedule of Bid Items (B3) and Substitution Sheet(s}
(B4) of E.rl:dbit A. If specific cireumstances reGuire additianal �t�ork or materials not listed in
Schedule of Bid [tems and Substitution Sheets (B4) of E.rhi6it.4, then the Aarties shall nego-
tiate a price that shall be detailed in the Work Order.

3. INSURANCE AND INDEMNIFICATION: The Contractor shall provide proof of
workman's compensation insurance and liability insurance in such amounts as are specified
in section GC 13 "Insurance; Indemnification," at pages 6Q until 62 of Section 5- General
Conditions And Terms of Exhibit A and shall name the Vllage as an"additional insured" on
the liability portion of the insurancs policy. The C�ntractor shall at all times indemnify, de-
fend and hold harmless the Village, its agents, servants, and employees, from and against any
claim, demand or cause of action of whatsoever kind or nature, arising out of any error, omis-
sion, negligent act, conduct, or misconduct of the Contractor, its agents, servants, or empZoy-
ees in the performance of services under this Contract.
4. PUBLIC ENTITIES CRIMES ACT: As provided in sections 287.132 and 287.133,
Florida Statues, by entering into this Contract or performing any work in furtherance hereof,
the Contractor certifies that it, its affiliates, suppliers, subcontractors and consultants who
wilt perform hereunder, have not been placed on the convicted vendor list maintained by the
State of Florida Department of Management Services within thirty-six (36) months immedi-
ately preceding the date hereof. This notice is required by section 287.133(3)(a), Florida
Statutes.
5. TERMINATION: NOTICE: This provisions of this section shall be in place of the
provisions set-out at section GC 16, "Termination Or Suspension," at pages 63 until 65 of
Section S— General Conditions And Terms of Exhibit A. This Contract may be terminated
by the Village or the Contractor upon thirty (30) days written notice to the either the Village
or Contractor. Norice shall be considered sufficient when sent hy certified mail or hand de-
livered to the Parties during regular business hours at the following addresses:

6. INDEPENDENT CONTRACTOR: It is specifically understood that the Contractor is an
independent contractor and not an employee of the Village. Both the Vllage and the Contrac-
tor agrees that this Contract is not a contract for employment and that no relationship of em-

ployee-employer or principal-agent is or shall be created hereby, nor shall hereafter exist by
reason of the performance of the services herein provided.
7. ATTORNEY'S FEES: In the event a dispute arises concerning this Contract, the prevail-
ing party shall be awarded attorney's fees, including fees on appeal.
8. CHOICE OF LAW: VENUE: This Contract shall be governed and constru� in accord-
ance with the laws of the State of Florida, and venue shall be in Palm Beach County should
any dispute arise with regard to this Contract.
9. AMENDMENTS & ASSIGNMENTS: This Contract, all Exhibits attached hereto, and
required insurance certificates constitute the entire Contract between both Parties; no modifi-
cations shall be made to this Contract unless in writing, agreed to by both Parties, and at-
tached hereto as an addendum to this Contract. The Contractor shall not transfer or assign the
services and provision of goads called far in this Cantract withaut prior written consent of
the V llage.
10. INSPECTOR GENERAL: Pursuant to Article XII of the Palm Beach County Charter, the
Office of the Inspector General has jurisdiction to investigate municipal matters, review and
audit municipal contracts and other transactions, and make reports and recommendations to
municipal governing bodies based on such audits, reviews, or investigations. All parties do-
ing business with the Vllage shall fully cooperate with the inspector general in the exercise
of the inspector general's functions, authority, and power. The inspector general has the pow-
er to take sworn statements, require the production of records, and to audit, monitor, investi-
gate and inspect the activities of the �llage, as well as contractors and lobbyists of the Vil-
lage in order to detect, deter, prevent, and eradicate fraud, waste, mismanagement,
misconduct, and abuses.
11. PUBLIC RECURDS: In accordance with section 119.0701, Florida Statutes, the
Contractor must keep and maintain this Contract and any other records associateti therewith
and that are associated with the performance of the work described in the Scope of Services.
Upon request, the Contractor must provide the public with access to such records in accord-
ance with access and cost requirements of chapter 119, Florida Statutes. Further, the Con-
tractor shall ensure that any exempt or confidential records associated with this Contract or
associated with the performance of the work described in the Scope of Services are not dis-
closed except as authorized by law. Finally, the Contractor shall retain the records described
