The attached agenda item recommends Tequesta Tire as the Village's Fleet Maintenance
Contractor. The existing annual contract with St Lucie Battery and Tire expires on December 9th
2016.
The Village of Tequesta issued an RFP (Request for Proposal) for a 3 year fixed pricing Fleet
Maintenance Contract. There is an option to extend the contract at the end of the 3�d year for an
additional 2 years.
The Village received proposals from the following automotive repair shops.
• Tequesta Tire
• St. Lucie Battery and Tire
• All County Automotive

5. TERM; TERMINATION: This Agreement shall be for a term of three (3) years. In
addition, this Agreement may be renewed, with the mutual consent of the Parties, for up to
. two (2) additional one year extensions. This Agreement may be terminated by the Village or
the Contractor upon ninety (90) days written notice to the either the Village or Contractor.
6. NOTICE:

7. INDEPENDENT CONTRACTOR: It is specifically understood that the Contractor is an
independent contractor and not an employee of the Village. Both the Village and the
Contractor agrees that this Agreement is not a contract for employment and that no
relationship of employee—employer or principal—agent is or shall be created hereby, nor shall
hereafter exist by reason of the performance of the services herein provided.
8. ATTORNEY'S FEES: In the event a dispute arises concerning this Agreement, the

9. CHOICE OF LAW; VENUE: This Agreement shall be govemed and construed in
accordance with the laws of the State of Florida, and venue shall be in Palm Beach County
should any dispute arise with regard to this Agreement.
10. AMENDMENTS & ASSIGNMENTS: This Agreement, all Exhibits attached hereto, and
required insurance certificates constitute the entire Agreement between both Parties; no
modifications shall be made to this Agreement unless in writing, agreed to by both Parties,
and attached hereto as an addendum to this Agreement. The Contractor shall not transfer or
assign the services and provision of goods called for in this Agreement without prior written
consent of the Village.

11. INSPECTOR GENERAL: Pursuant to Article XII of the Palm Beach County Charter, the
Office of the Inspector General has jurisdiction to investigate municipal matters, review and
� audit municipal contracts and other transactions, and make reports and recommendations to
municipal governing bodies based on such audits, re.views, or investigations. All parties
doing business with the Village shall fully cooperate with the inspector general in the
exercise of the inspector general's functions, authority, and power. The inspector general has
the power to take sworn statements, require the production of records, and to audit, monitor,
investigate and inspect the activities of the Village, as well as contractors and lobbyists of the
' Village in order to detect, deter, prevent, and eradicate fraud, waste, mismanagement,
misconduct, and abuses. .
12. PUBLIC RECORDS: In accordance with Sec. 119.0701, Florida Statutes, the Contractor
must keep and maintain this Agreement and any other records associated therewith and that
are associated with the performance of the work described in the Proposal or Bid. Upon
request from the Village's custodian of public records, the Contractor must provide the
Village with copies of requested records, or allow such records to be inspected or copied,
within a reasonable time in accordance with access and cost requirements of Chapter 119,
Florida Statutes. A Contractor who fails to provide the public records to the Village, or fails
to make them available for inspection or copying, within a reasonable time may be subject to
attorney's fees and costs pursuant to Sec. 119.0701, Florida Statutes, and other penalties
under Sec. 119.10, Florida Statutes. Further, the Contractor shall ensure that any exempt or
confidential records associated with this Agreement or associated with the performance of
the work described in the Proposal or Bid are not disclosed except as authorized by law for
the duration of the Agreement term, and following completion of the Agreement if the
Contractor does not transfer the records to the Viltage. Finally, upon completion of the
Agreement, the Contractor shall transfer, at no cost to the Village, all public records in
possession of the Contractor, or keep and maintain public records required by the Village. If
the Contractor transfers ail public records to the Village upon completion of the Agreement,
the Contractor shall destroy any duplicate public records that are exempt or confidential and
exempt from public records disclosure requirements. If the Contractor keeps and maintains
public records upon completion of the Agreement, the Contractor shall meet all applicable
requirements for retaining public records. Records that are stored electronically must be

1. PURPOSE OF REQUEST.
The Village of�Tequesta is reques.iing,proposals for theselection of a primary loca#ion for furnishing maintenance and
repair services, induding ali labor, parfsand material necessary for the verious elassifications, types and makesJmocleis
of vehicles. Please note:that.thi& woutd not be an exclusive maintenance contract. A Iist of.existing Vilia�e are
attached herein as exampies oniy. Zhe number, make/model and composition may change without prior noti�e.
Contractors'located in.the general areas of the.Village,of Tequesta a ten (10j, mile radius of Village Hall are
preferred. The sele¢tion wiil be based on overal( price, services perfiormance and relia6ility of the proposers. The
Village'"s needs are outlined in the foliowing Request fot Proposal ("RFP");

Services". The name and address of the proposing business must be shown on theface of the�envelope,

4. SCOPE OF SERVICES.
The scope of service, operating procedures, and vehicles to be covered are attached herein as Exhiblt A, B, and D
respectively.
I S. TERMS AI11D CONDITIONS.
A. It is the V11age's intent that the successful firm will enter into a three (3) year contract based on the propasal. The '
V111age reserves the right, and the successful firm agrees to allow the Vlliage the option to renew said contract, at
the Village's sole discretion, for up to two (2) additional one-year periods.
, B. The Viflage reserves the rfght to reject any and all proposals, and to waive minor irregularities in any proposals.
C. The Viltage reserves the right to request clarification of information submitted, and to request additional
information from any proposer.
D. The Village reserves the right to award any contract to the next most qualifled firm, if the successful firm does not
' execute a contract within fifteen (15) days after award of proposal. ,
E. The Village reserves the rlght to award all or a portion of the required services to the more than one qualified �
proposer at the Village's sole discretion.

F. Any proposal may be wtthdrawn up until the date and time set above for public opening of the proposals. Any
� proposal not timely withdrawn shall constitute an irrevocable offer, for a period of ninety {90) days to provide the
vllage the services described in the attached specifications, or untll one or more of the proposals have been
accepted and an agreement executed by the Village, whichever occurs flrst.
� G. The cantract resulting from acceptance of a proposal by the vllage shall be in a form supplied or approved by the
Village, and shall reflect the speciflcations ln this RFP. A copy of the form cor�tract is attached as Exhibit The Village '
reserves the right to reject any proposed agreement or contract that does not conform to the specifications
contained in this RFP, and which is not approved by the Village Attorney.
H. Prior to awarding a contrect to the successful firm, the Village will• meet with the Contractor to review procedures
for invoicing, payment, reporting, if any, and monitaring contract performance.
I. The successful flrm should expect to schedule semi -annual meeUngs between the Village and shop management
to review and mod'�fy, as necessary, service performance.
J. The Village shall not be responsible for any costs incurred by any proposer in preparing, submitting or presenting
fts response to the RFP.
K. The Viilage resenres the rightto perForm unannounced site visits, tnterview staff and management, and test repairs
prior to selection to determfne, among other things:
a. Customer service responsiveness;
b. Shop organization and operation efficiency; ,
c. Response time.
7. COMPENSATIOIV.
A. Present detailed information regarding the flrm's proposed fee schedule for the specifications proposed and for
any variation for the non-routine services, and any other applicable charges. Provide specifia as to definitions of
routine versus non routine tasks, what is fixed as opposed to variable, and how costs are adjusted according to
that classiflcation.
B. Payment by the Village for the sen+ices wifl only be made afterthe services have been performed and accepted by
auihorized vllage represeMatives. The Village requires that all its vendors have a Department of Treasury Internal
Revenue Senrice Form W-9 on file with the Village to accommodate paymen� Itemized billings shall be submitted
upon completion containing informatlon specifled by the vAag'e as described in Exhibit A under Repair Order.
Monthly statements shall be submitted by the 30th of each month with a listing of all Repair Order Numbers, cost,
and date fdentifled. Payment wili be made within (45) days after receipt of monthly statement. Discount periods
must be extended if the billing invoice is returned for credit or correction.

The Village's vehiclesare routinely driven in short,distance, start%stop; and long idle peciods.
The attached Schedule A outlines preventative maintenance requirements due to the_use conditions.
B. Reaairs and Maintenance
Provide service/repairs to all common mechanical and electrical systems as needed.
G. Transaort of Vehicles for Service
For non-scheduled emergency service, `caurtesy transportation for customer to and from Village
faeilitiesand other locationswithin Village limits. For Vehicles not drivable, add.itfonal towirig chargemay
be billed upon approval of authorized Village staff. Indicate in your bid if totiving will 6e provided at no
additional costto the Village.

A. Safetv Check
The Contractor shall perform a safety cheek in conjunction wifih all maintenance requirements listed within this Request for

brake linings, wheels cylinders, and packin� brake,cables and linkage. Report estimate of remaining life nf pads and

� StarterJCharging System — Electronically check starter motor cranking speed and current draw. Check altemator
