The attached agenda item recommends Therma Seal Roof Systems LLC as the Village's Roofiing '
_ repair and replacement Contractor. �
The Vi.l'lage of Tequesta issued an RFP (Request, for Proposal) for a 3 year fixed pricing Master
Roofing Repair and Replacement Contract. There is an option to extend the contract at the end
of the 3�d year for an additional 2 years. �.
The Village received proposals from th.e following roofing companies.

M1NlMUM,REQUIRMENTS AND EVALUATION FACTORS
The Contractor shall provide reference information for at least three (3) similar projects in which Contractor served
as Prime Contractor for a project that included roofing repair and reptacement senrices.
Contractors not meeting tfie minimum requirements will be disquaified. All decisions of the vliage are
final.
Mtntmurtt Requirements:
The Contract will be awarded to the responsive Bidder qual�ed by experience to do the Work specfied in the
Contract Documents. The Bidder shall submit, priorto award of Contract, satisfactory evidence of his experience
in tike Wor1c and that he is fuliy prepared with the necessary organization, capital, equipment and machinery to
complete the Work to the satisfaction of the Vllage within the sfipulated Contract times. The Contractor shall meet
the follouving minimum qualfica�ons to be considered for setection.
1. Contractor shall be properly licensed to pertomt work as a Roofing Contractor in the State of Florida,
Palm Beach County, and fhe Viflage of Tequesfa.
2. Contrador shall have been in the Roofing contracting business and have been a licensed Roofing or
� General Contractor under the present name of the organ'¢ation for at least the previous Five (5) years.
3. The Con �� - �
tractor shall have campleted tflree (3) simdar projects. A similar project shall be considered to
include Documentation to support compliance with the experience/ qual'�ications required by the criteria
set forth herein to the satisfaction of the Vllage and shall be provided and accepted by the Village prior to
award.
4. During the lifetime of the organization, as presently named, the Contractor shall not have defaulted to a
bonding company for the completion of any projects referenced under ltem 3, above.

CORRECTION OF WORK
DEFECTIVE MATERIAL. EQUIPMENT OR WORKMANSHIP. If any material, equipment or workmanship
is determined by the Village, either during perFormance of the Wo�ic, during final inspection or during the warranty �
period, "to be defec6ve or not in compliance with the Contract Documents, the Village shall notify Contractor in
writing that such material, equipment or Work is rejected and the Village reserves the right to withhofd payment on
any such item. Contractor shall commence correction of the Work within seven (7) calendar days of written notice
by the Vllage. Contractor shall, at its own expense, immediately remove and replace or correct such defective
material, equipment or Work by making the same strictly comply with all requirements of the Contract Documents.
All costs of correcting such rejected Work, including, additional testing and inspections, uncovering and replacing,
and compensation for the Village's services and expenses, material, equipment, clean up, debris removal, and
safety precautions, shall be at Contractor's expense. If correction of the Work requires damaging work completed
by other contractors, Contractor shall be responsible for the costs to replace such work.
WARRANTY. Contractor further agrees to correct all Work found by the Village to be defective or not in
conformance with the Contract Documents for a period of one year for repairs and ten years for replacement from
the �nal inspection or for such longer periods of time as may 6e set forth with respect to specific warranties
contained in the specifications. The Village shall provide Contractor with written notice of non-conformance. If
Contractor fails to correct non-conforming Work within a reasonable time after receipt of notice, the �Ilage may
conect the Work and seek restitution from the Contractor for all costs incurred by the Vllage in perforrning the
corrective work.
ACCEPTANCE OF NON-CONFORMING WORK. If the vllage deems it irtexpedient to correct Work that
has been damaged ar that was not pertormed in accordance with the Contract Documents, the Vllage may
accept such non-confirming work and an equitable deduction from the contract price shall be made for such work.
Contractor shall warrant the accepted but non-conforming work in accordance with GC 6.2.
The Contract Documents and the obligation of Contractor to perform corrective Work survive final
completion of the Work and final payment.
VILLAGE'S RIGHT TO CORRECT OR COMPLETE WORK. If Contractor should neglect to prosecute the
Work diligently in accordance with the Contract Dacuments, or fail to conect defective or nonconforming Work, or
fail to perform any provisions of the Contract Documents, the Vi[lage may, after ten (10) calendar days written
rtotice to Contractor and opportunity to cure, make good these deficiencies and may deduct the cost thereof from
payment due Contractor. A deductive Change Order shall be issued for the Vllage's reasonable costs of
correcting or completing fhe Work, including the Yflage's expenses and compensation for its Engineer/ArchitecYs .
services and expenses. The Change Order amount shall be subject to review and approvaf by the �Ilage's
EngineeNArchitect. If payments due to Contractor are not sufficient to cover the Change Order, Contractor shall �
pay the difference to the ViAage. The Village's correction of the Work and acceptance of a deductive Change
Order shall be without prejudice to any other remedies the Vllage may have.
WORK BY OTHERS AT SITE
The Vllage reserves the right to perform construction or operations related to the Project with the
Vllage's own forces, and to award separate contract in connection with other portion of the Project or other
construction or operations on the site. �
� Where the Village is u6lizing its own forces or multiple contracts for the Project, Contractor shall provide
reasonable advance notice to the Village and other contractors regarding the Project Schedule and the portions
for work to be performed by them. Contractor shafl coordinate its construction and operations with the vllage and
other contractors pertorming work on the Project.
If part of the Contractors Work depends for proper execution or results upon construction or operations
by the �Ilage or a separate contractor, the Contractor shall, prior to proceeding with that pottion of the Work,
promptly report to the Vllage's EngineeNArchitect apparent discrepancies or defects in such other constn�ction
that would render it unsuitable for such proper execution and results. Failure of the Contractor so to report shall
constitute an acknowfedgment that the �Ilage's or separate contractors completed or partially completed
construction is fd

and proper to receive the Contractor's Work, except as to defects not then reasonably discaverable.
Contractor shall reimburse the Village for costs irtcuned by Village payable t a separate contractor
because of Contractor's detays, improperly timed activities, damage to the other contractor's work or defectnre
construction. Village shall be responsible to Contractor for costs incurred by Contractor because of a separate
contractor's delays improperly timed activities, damage to Work or defective construction.
If a dispute arises among Contractor and other contractors on site as to the responsibility to maintain the
premises, correct wor[c, clean up or take any other action, the �Ilage may take the necessary action and the
�Ilage's EngineedArchitect will assess the costs to those deerned responsible by Engineer/Architect.
INDEMNIFICATION.
Contractor shall indemnify and hold harmless the �11age, its commissioners, officers, employees and
agents, from artd against any and all claims, obligations, liability, expenses, losses and causes of action, including
attomeys' fees and costs, to the extent the same a�e caused by: (i) an act, negligence, recklessness or intentional
wrongful misconduct of Contractar or its subcontractors, or the commissioners, offcers, employees or agents of
either, while engaged in or about the performance of the Work; or while in or about the project site or premises; or
(ii) arising from accident or any injury to Contractor or its subcontractors while engaged in or about the
performance of the Work, or while in or about the project site or premises, not caused by act of the �Ilage, the
Vllage's agents, senrants, or other contractors of the �Ilage; or (iii) arising out of the violation of federal, state,
county or municipal laws, ordinances or regulations by Contractor or its subcontractor, or (iv) arising from tiens or
claims for services rendered for labor or materials furnished in or for the performance of the Work. The extent of
Contractor's indemn�cation shall be limited to one and one-half times the contract price or $1 million per
accurrence, whichever is greater. This paragraph shall not be construed to requi�e Contractor to indemnify the
vllage for the Vil(age's own negligence,.or intentional acts of the Village, its agents or employees. Nothing in this
paragraph shall be construed as a contractual waiver by the Village of the limits of sovereign immunity under Sec
768.28, Florida Statutes. This paragraph shall survive the expiration or termination of the Contract. (725.06 F.S.
and 768.28 F.S.)
DISPUTES. Any disputes which may arise between the Contractor and any subcontractor must be resolved
between the parties concerned. The Village will not undertake no� be in any way responsible for the resolution of
such disputes between Contractor and its subcontractors.
THE VILLAGE'S RIGHT TO TERMINATE FOR CAUSE.
The Vllage may terminate the Contract for cause if Contractor.
A. Fai1s to supply enough properly skilled workers or proper materials;
B. Fails to cure deficiencies after notice as provided in the Contract Documents;
C. Fails, except in cases for which extension of time is provided, to maintain an established
schedule thirty (30) calendar days behind a critical path activity),
D. Fails to make prompt payments to subcontractors or for material, equipment or labor;
E. Disregards applicable laws, codes, ordinances, regulations or permit requirements;
F. Fails to perform the Work consistent with the requirements of the Contract Documents;
G. Materialiy fails to comply with substantial and final cornpletion dates as required in the
Contract Documents;
H. Abandons or refuses to perform any portion of the Work;
I. Is otherwise in substantial breach of the Contract Documents;.
J. Files a bankruptcy petition or has a bankruptcy action commenced against ft that is not
discharged within thirty (30) calendar days, or make an assignment for the benefit of its creditors, or has a
receiver appointed to manage Contracto�s assets, or is otherwise becoming insolvent.
When any of the above reasons exist, the Village may, without prejudice to any other right or
remedy, and , after giting Contractor and its Surety seven (7) calendar days' written notice, terminate the
employment of Contractor and, subject to any prior right of the surety:
(i) Exclude the Contractor from the site and take possession of the premises and of all
materials, equipment, tools and appliances thereon owned by Contractor,
(ii) Accept assignment of subcontract pursuant to GC 13.2 and
(iii) Finish the Work by whatever reasonable means the Village deems expedient.

When the �Ilage terminates for cause, Contractor shall not be relieved from any of its obligations
under the Contract Documents, and shali not be entitled to receive any further payment until the Village's costs to
complete the Work is determined. In no event shall Contractor receive any payment for Work finished by the
�Ilage.
The Village shall determirte its costs incurred in completing the Work, including fees and charges
to contractors, fees of the �llage's EngineedArchitect, attomey and other professional fees, court costs and other
damages incurred by the Vllage. The Vilfage shall rtot be required to obtain the lowest price for the work to be
perfoRned, but the costs paid by the Village must be reasonable. If the unpaid balance of the contract price shall
exceed the Village's costs to finish the Work, the excess shall be paid to Contractor. If the Vllage's costs exceed
the unpaid balance, Contractor shall pay the diffecence to the Village. This obligation for payment shall survive
termination of the Contract and final payment.
Those Contract provisions which by their nature survive final acceptance shall remain in full force
and effect.
' If Contractors surety is directed or agrees to complete the Work, then all payments due after
termination shall be made to the surety until the Work is complete and/or the Contract price has been expended.
The surety shall then be responsibte for all of the obligations and duties of Contractor under the Contract
Documents and shall be bound by the conditions of the Contract Documents, this Contract and the Bond to fulfill
all obligations of the Contract Documents for the contract price in effect as of termination. The surety may not
assign those obligations without the written consent of the Vllage. The surety shall be responsible for the
payment of all costs relating to the termination of the employment of Contractor. Contractor and its surery shatl
be jointly and severally liable for all costs in excess of the contract price for completion of the Work and for
liquidated damages.
If, upon termination for cause it is determined that Contractor was not in default, the rights and obligations
of the parties shall be as if the notice of termination has been issued for the Village's convenience
WARRANTY INSPECTION. Prior to expiration of the warranty period(s), Contractor shall conduct, at its
expense, with the �Ilage's Engineer/Architect, a wamanty inspection. Additionally, upon receipt of notice fram the
Village of failure of any part of the guaranteed Work, equipment or materials during the guarantee period, the
defective Work, equipment parts or materials shall be replaced promptly with new equipment parts (or new
equipment) and materials by Contractor, at no expense to the Village. This provision shall survive expiration or
termination of the Contract.
L.EGAL AND ETHICAL PROVISIONS
NO VERBAL AGREEMENTS. No verbal agreement or conversation with any officer, agent or employee
of the Village either before or after execution of the Contract shall affect or modify any of the terms or obligations
contained in any of the documents comprising said Contract. All Contract amendments or Change Orders shall
be written and executed by both the �llage and Contractor.
COMPLIANCE WITH LAWS. Contractor shall comply with all applicable City, State and Federal taws
relating to the provision of services under this Contract, now or hereafter in effect. Contractor shall comply with all
applicable City, State and Federal iaws relating to wages, hours, and all other applicable laws relating to the
employment or protection of employees, now or hereafter in effect. It shall not be grounds for a change order that
Contractor failed to investigate the codes and regulations of all applicable government agencies with jurisdiction
over the Work.
INSPECTOR GENERAL. Pursuant to Article XII of the Palm Beach County Charter, the O�ce of the
Inspector General has jurisdiction to investigate municipal matters, review and audit municipal contracts and other
transactions, and make reports and recommendations to municipal goveming bodies based on such audits,
review or investigations. All parties doing business with the Village shall fully cooperate with the inspector general
in the exercise of the inspector general's functions, authorify and power. The inspector general has the power to
take sworn statements, require the production of records and to audit, monitor, investigate and inspect the
activities of the Village, as weEl as contractors and lobbyists of the �Ilage in order to detect, deter, prevent and
eradicate fraud, mismanagement, misconduct and abuses.

PUBLIC RECORDS. In accordance with Sec. 119.0709, Fforida Statutes, CONTRACTOR must keep
and maintain this Agreement and any other records associated therewith and that are assaciated with the
performance of the work described in the Proposal or Bid. Upon request from the Village's custodian of public
records, CONTRACTOR must provide the �llage with copies of requested records, or allow such records to be
inspected or copied, within a reasonable time in accordance with access and cost requirements of Chapter 119,
Florida Statutes. A CONTRACTOR who fails to provide the public records to the Vllage, or fails to make them
available for inspection or copying, within a reasonable time may be subject to attorney's fees and costs pursuant
to Sec. 119.0701, Florida Stafutes, and other penafties under Sec. 119.10, Florida Statutes. Further,
CONTRACTOR shall ensure that any exempt or confidential records associated with this Agreement or
assaciated with the perfoRnance of the work described in the Proposal or Bid are not disclosed except as
authorized by law for the duration of the Agreement term, and following completion of the Agreement if the
CONTRACTOR does not transfer the records to the VIlage. Finatly, upon completion of the Agreement,
CONTRACTOR shall transfer, at no cost to the Village, atl public records in possession of the COfVTRACTOR, or
keep and maintain public_records required by the Vllage. If the CONTRACTOR transfers all public records to the
Village upon completion of the Agreement, the CONTRACTOR shall destroy any dttplicate public records that are
exempt or confidential and exempt from public records disclosure requirements. If the CONTRACTOR keeps and
maintains public records upon completion of the Agreement, the CONTRACTOR shafl meet all applicable
requirements for retaining public records. Records that are stored electronically must be provided to the
VILLAGE, upon request from the Village's custodian of public records, in a format that is compatible with the
vllage's information technology systems.

DEFECTNE MATERIAL. EQUIPMENT OR WORKMANSHIP. If any material, equipment or workmanship
is detertnmed by the Vilage, either during perfortnance of the Work, during finai inspection or during tRe warranty
perlod, to be defective or not in compliance with the Contract Documents, the VAage shaEi notify Cor�tractor in
writing that such material, equipment or Work is rejected and the Vllage reserves the right to withhold payment on
• any such item. Contractor shall commence carrectiom of the Work within seven (7) calendar days of written no�ce
by the Vllage. Cor�tractor shall, at its own expense, immediately remove and replace or comect such defective
material, equipmerrt or Worfc by making the.same strictly comply with all requirements of the Corrtract Documents.
All costs of comecting such rejected Work, including additionat testing and inspections, uncovering and replacing,
and compensation for the Vllage's services and expenses, material, equipmenf, clean up, debris removal, and

WARRANTY. Contractor further agrees to correct alI Woric found by the Vitlage to be defectivve or not in
conformance with the Contract Documerrts for a period af one year for repairs and ten years for r+epiacement from
the final inspection or for such longe� periods of time as may be set forth with respect to specfic warraMies
conta'ined in the spec�cations. The �Ilage shail provide Contractor with written notice of non-conformance. If
Cor�tractor fails to correct non-conforming Work within a reasonable time after receipt of notice, the Village may
correct the Woric and seek restituaon from the Contractor for all costs incurred by the Vliage in pertorming #he :
corrective wodc.
ACCEPTANCE OF NON-CONFORMING WORK. If the Vllage desms it inexp�lierrt to correct Work that
has been damaged or that was not pertormed in accarclance with the Contract Documents. the VIlage may
acxept such non-confirming work and an equitable detiuction from the contract price shalt be made for such woric.
Conbactor shall warrant the accepted but non-conforming work in acoordance with GC 6.2.
The Contract Documents and the obiigation of Contractor to pecForm corrective Work survive final
completion of the Work and final payment.
VILLAGE'S RIGHT TO CORRECT OR COMPLETE WORK. If Contractor should neglect to prosecute the
Work ditfgently in accordance with the Contract Documerrts, or fail to coRect defective or nonconforming Work, or
fail to perFortn any provisions of the Contract Documents, the Vltage may, after ten (10) calendar days written
notice to Contractor and opportunity to cure, make good these deficiertcies and may deduct the cost thereof from
payment due Contractor. A deductive Change Orcier shall be issued for the Vltage's reasonable costs of
correcting or completing the Work, inc{uding the Vilage's expenses and compensation for its Engin�er/Ar+chitect's
senrices and expenses. The Change Orcler amount shall be subject to review and approval by the Viilage's
Engineer/Architect.. If paymer�ts due to Contractor are not sufficient to cover the Change Order, Contractor shall
pay the difference to the Ullage. The Vilage's coRection of the Wor1c and acceptance of a deductive Change
ONer shall be without prejudice to any other remedles the Vllage may have. �
WORK BY OTHERS AT SITE .
The Vltage reserves the dght ta pertorm construction or operations related to tlte Project with the
Vllage's own forces, and to award separate contract in connection with other portion of the Project or other
construction or operations on the site.
Where the Village is utilizing its own forces o� muftiple contracts for the Project, Contrector shatl provide
reasonable advance notice to the Viliage and other contractors regarding the Project Schedule and the portions
for wotic to be performed by them. Contractor shaU, coordinate its construction and operations with the Village and
other cantractors perForming woric on the Project. '
� If part of the Contractors Work depends for proper execution or resufts upon construction or operat�ons

DISPUTES. Any disputes which may arise between the Contractor and any subcontractor must be resolved
between the parties concemed. The Village will not undertake nor be in any way responsibla for the resolution of
such disputes bet�►een Contractor and its subcontracto�s.
THE VILLAGE'S RIGHT TO TERMINATE FOR CAUSE.
The Village may terminate the Contract for cause if Contractor.
A. Fails to supply enough properly skilled workers or proper materials;
B. Fails to cure deficiencies after notice as provided in the Contract Documer�fs;
C. Fails, except in cases for which eutension of time is provided, to maintain an established

scheduie thirty (30) calendar days behind a critical path activity),
D. Fails to make rom t a er�ts to subcantractors or for material e ui me

E. Disregarcls applicable laws, codes, ordinances, regulations or pertnit requirements;
F. Fails to perform the Work oonsistent with the requirements of the Contract Documents;

N. Abandons or refuses to pertorm any portion of the Work; �
I. Is otherwise in substantial breach of the Contract Documents;
J. Ftles a bankruptcy pefition or has a bankcuptcy action commenced against it that is not
dischar�ged within thiity (30} calendar days, or make an assignment for the benefit of �s creditors, or has a

When the Village terminates for cause, Contractor shall not be relieved from any of its obligations
under the Contract Documents, and shall not be entittled to receive any further payment until the Vllage's costs to
oomptete the Wo�C is determined. In no event shall Contractor receive any payment for Work flnished by the
Village.
The vllage shaif determine its costs incurred in completing the Work, including fees and charges
. to contractors, fees of the Vllage's EngineeNArchitect, attomey and other professional fees, court costs and other
damages incumed by the Vilage. The Vllage shall not be required to obtafn the fowest price for the work to be
performed, but the costs paid by the Vpage must be r+easonable. If the unpaid balance of the contract price shall
exceed the Vllage's costs to finish the Work, the excess shall be paid to Contractor. If the �Ilage's costs exceed
the unpaid balance, Contractor shall pay the difference to the Vllage. This obiigation fo� paymetrt shall sunrive
fermination of the Cantract and final payment �
Those Corrtract provisions whlch by their nature survive final acceptance shall remain in full force
and effect.
If Contractor's surety is directed or agrees to complete the Work, then all payments due after
tertnination shall be made to the surety until the Work is complete and/or the Contract price has been expended.
The surety shafl then be responsible for all of the obligations and duties of Contractor under the Contract
Documents and shall be bound by the condttions of the Contract Documents, this ConVact and the Bond to fulfill
all obligations of the Contract Documents for the contract price in effect as of teRnination. The surety may not
assign thase obligations without the written conserrt of the Vllage. The surety shatl be respons[ble for the
payment of all costs relating to the tertnination of the employment of Contractor. Contractor and its surety shall

if, upan termination for cause it is determined that Contractor was not in default, the rights and obligations
of the pa�ties shall be as if the notice of termination has been issued for the �Ilage's convenience
WARRANTY INSPECTION. Prior to expiration of the warranty periad(s), Coritractor shall condttct, at its
expense, with the VlEage's Engineer/Architect, a warranty inspection. Additionaliy, upon receipt of notice from the
Vltage of failune of any part of the guaranteed Work, equipment or materials during the guarantee period, the
defectjvve Wodc, equipment parts or materials shall be replaced promptly with new equipment parts (or new
equipment) and materials by Contractor, at no expense to the Village. This provision shall sunrive expiration or
termina�on of the Contract. � �
LEGAL AND E?HICAL PROVtS10NS
NO VERBAL AGREEMENTS. No verbal agreement or conversation with any officer, agent or employes
of the VElage either before or after execution of the Contract shall affect or modify any of the terms or obligations
contained in any of the documents comprising said Contract. All Contract amendments or Change Ordecs shall
be written and executed by both the Vllage and Contcactor.
COMPLWNCE WITH LAWS. Contractor shall comply with all applicable City, State and Federal laws
� relating to the provision of services under this Contract, now or hereafter iri effect. Contractor shall camply with ali
applicabfe City, State and Federal taws relating to wages, hours, and all other appiicable laws relating to the
employmer�t or protection of employees, now or hereafter in effect. It shali not be grounds for a change order that
- Contractor failed to investigate the codes and regulations of all applicable govemment agencies with jurisdictian

� lNSPECTOR GEIVERAL. Pursuant to Article XII of the Palm Beach County Cha�ter, the Office of the
i Inspector Generai has jurisdiction to investigate municipal matters, review and audit munfcipal contracts and other
I transactions, and make reports and recommendations to municipal goveming bodies based on such audits,
review or inves�gations. All parties doing business with the VAage shall fully cooperate with the inspector generat
� in the exercise of the inspector general's functions, authority and power. The inspector generai has the power to
take swom statements, require the production of records and to audit, monitor, investigate and inspect the
activities of the Village, as well as contractors and lobbyists of the Vtlage in order to detect, deter, prever�t and
eradicate fraud, mismanagement, misconduct and abuses.

PUSLlC RECQRDS. ln accordance with Sec. 1i8.0701, Florida 3fatufes, CONTRACTOR must keep
and maintain this Agreement and any other records asscc(ated therewith and thaf are assxiated with the
perfcrtnance of the work described in the Proposal or Bid. Upon request from the Vtlage'S custodian of public
r�ecords, CONTRACTOR must provide the Vltage with copies of requested records, or aflow such records to be
inspected or copied, within a reasonable time in accordance with access and cost requir+ements of Chapter 119,
F1oRda Statufes. A CONTRACTOR who fails to provide the public rec:ords to the Vilage, or faiis to make them
availahle for inspectian or copying, within a reasonable time maybe subject to attome�s fees and costs pursuant
to Sec. 119.0701, FJorida Statutes, and other penaities under Sec. 119.10� Florida Statutes. Further,
CONTRACTOR shall ensure that any exempt or confident�al records associated with this Agreement or
associated with the perFormance of the work described in the Proposal or Bid are nat disclosed except as
authorized by law for the duration of the Agreement term, and foliowing campletion of the Agreement if the
CONTRACTOR does not transfer the records to the Vilage. Finaify, upon completion of the Agreement,
CONTRACTOR shaU transfer, at no cost to the �Ilage, all public records in possesslon of the CONTRACTOR, or
keep and maintain public records required by the Village. If the CONTRACTOR transfe�s ail public reoords to the
Vllage upon comple�on of the Agreeme�, the CONTRACTOR shall destroy any duplfcate public records that are
exempt or confidential and exempt from public records discfosure requirements. (f the CONTRACTOR keeps a�d
maintains public recocds upon completion of the Agreement, the CONTRACTOR shall meet all applicable
requirements for retaining public records. Records that are stcred electronically must be provided to the
VILLAGE, upon request from the �Ilage's custodian of public records, in a format that is compatible with the
VIlage's information technofogy systems.
