The Contractor(s) selected under this procurement may be awarded separate contracts with the Village of Tequesta. THE VILLAGE OF TEQUESTA REQUEST FOR QUOTES MASTER CONTRACT FOR ROOFING REPAIR AND MAINTENANCE RFQ NO. PW 06-16 The purpose of this. RFQ is to solicit one or more qualified and responsible contractors to provide on an "as needed basis" all labor, material and equipment to complete minor and major roof repairs and or replacements for various buildings and structures owned by the Village of Tequesta. RFQ packages shall be submitted to the Village Clerk, 345 Tequesta Drive, Tequesta, Florida, 33469, no later than 10:00 A.M. EST on November 17, 2016 at which time the quotes will be opened publicly in the Council Chambers at 345 Tequesta Drive. No responses will be accepted after that time. RFQ packages shall include an original and one (1) copy in a sealed envelope /package addressed to the Village Clerk, Village of Tequesta, and marked "SEALED RFQ FOR MASTER CONTRACT FOR ROOFING REPAIR AND MAINTENANCE." At the time of RFQ submission, respondents must be properly certified /licensed in the State of Florida for the purpose of providing the specified services and must attach the required documents as outlined in the bid packet. Additionally, responder must submit the "Schedule of Bid Items Pricing" and must check the website site for any addendums to the bid. Requests for Qualification Packages may be obtained from the Village's website or the Village of Tequesta's Village Clerk's Office, 345 Tequesta Drive, Tequesta, FL 33469. Supervisor, at 561- 768 -0483 or dchambers(a)-teguesta.org Lori McWilliams, MMC Village Clerk PUBLISH: 11/5 and 11/12 2 SECTION 1 — SCOPE OF WORK j Contractor shall provide all labor, material and equipment necessary to repair /replace roofs for Village owned buildings and structures. The bids will be for furnishing all materials, labor, supervision, equipment, supplies, fees, expertise and services necessary for remedial roofing repair, roofing maintenance and roof replacement on an "as needed basis ". The Village is seeking contractors who . can provide regular repair services and disaster recovery services. The Village may contract with more one contractor to provide quotes for work as needed. All `contracts form this bid will be on a non - exclusive basis. Regular Repairs Contractor shall provide roof repair on an "as needed basis ", as requested by the Village. No minimum amount of work or compensation will be guaranteed. Contractor will be required to respond within forty (48) hours of call. Replacement: Contractor shall provide roof removal and replacement on an "as needed basis ", as requested by the Village. No minimum amount of work or compensation will be guaranteed. Contractor will be required to submit technical data and manufacturer's warranty information for roof replacement material prior to submittal of installation costs. All new roofing, or roof repairs in excess 'of 25 % of the existing roof surface area, shall meefthe requirements of the Florida Building Code. Notice of Acceptance data verifying compliance with wind velocity shall be provided. Disaster Response: In the event of a hurricane, tornado, tsunami, or other "act of God" or situations where roof leaks are creating an unsafe or destructive condition, Contractor shall provide roof repair services on a first priority :basis to the Village. Contractor shall be required to respond within three (3) hours of a call. Contractor shall comply with all FEMA regulations. Time of Completion and Liquidated Damages The Time of Completion for the Work authorized under each Purchase Order will be established as part of each individual project schedule and scope. Contractor acknowledges that failure to complete the work under project within the allotted time may result in substantial damages to the Village, in an amount of which is difficult, if not impossible, to ascertain as of the date of the execution of this contract. If said work is not substantially completed within the specified times, the Contractor shall be liable and hereby agrees to pay to the Village as liquidated damages, and not as a penalty; the sum of one hundred fifty dollars ($150) per calendar day for each and every day or part of a day thereafter that said work remains incomplete. The Village shall and may deduct and retain the amount of such liquidated damages out of any money which maybe due under this Contract. Work Schedule and Locations: • Contractors will provide services on an as- needed basis in accordance with work schedules provided in each Purchase Order. • Contractors will be required to work various Agency -owned facilities and locations b. Contractors are responsible for obtaining all permits prior to the start of work. c. Contract Term • The Contractor shall be awarded a contract for thirty -six (36) months. At the sole option of the Village, the contract may be renewed for up to two (2) additional twelve (12) month periods. Options to renew will only be effective upon a written contract amendment executed by both parties. Renewal terms and conditions will be the same as the base contract The Contract shall commence on the date when the contract is executed by the Village. Any renewals will be subject to the appropriation of funds by the Village. d. Contractor shall comply with all federal, state, and local regulations. Method Of Ordering (Purchase Orders The Village of Tequesta will issue individual Purchase Orders on an "as needed" basis. All terms and conditions of the bid are applicable. The individual orders will specify the work to be performed, its location, and not -to- exceed cost (based on the contract unit prices), and a schedule for completion. Upon completion of the work, the contractor will submit an individual invoice and a copy of the original Purchase Order. For any re- roofing project or repair project over $10,000, the project proposal will outline the proposed scope of work and present a not -to- exceed cost estimate based on the contract labor rates and material cost. Material costs will be substantiated with complete Bill of Materials from independent material supply houses. The Village reserves the right to request additional pricing and /or independently verify submitted material costs are reasonable. The Village will issue a Notice to Proceed to the selected proposer, at which time the selected proposer shall obtain bonds and insurance if required. Warranty: Any leak or roof repairs shall be warranted for a period of one (1) year from the date of final inspection. Any roof replacement systems shall be warranted for a period of ten (10) years unless a longer warranty period is required under the specific Purchase Order for that roofing system. 4 MINIMUM REQU/RMENTS AND EVALUATION FACTORS The Contractor shall provide reference information for at least three (3) similar projects in which Contractor served as Prime Contractor for a project that included roofing repair and replacement services. Contractors not meeting the minimum requirements will be disqualified. All decisions of the Village are final. Minimum Requirements: The Contract will be awarded to the responsive Bidder qualified by experience to do, the Work specified in the Contract, Docume_ nts. The Bidder shall submit, prior to award of Contract, satisfactory evidence of his experience in like Work and that he , is fully prepared with the necessary organization, capital, equipment and machinery to complete the Work to the satisfaction of the Village within the stipulated Contract times. The Contractor shall meet the following minimum qualifications to be considered for selection. 1. Contractor shall be properly licensed to perform work as a Roofing Contractor in the State of Florida, Palm Beach County, and the Village of Tequesta. 2. Contractor shall have been in the Roofing contracting business and have been a, licensed Roofing or General Contractor under the present name of the organization for at least the previous Five (5) years. 3. The Contractor shall have completed three (3) similar projects. A "similar" project shall be considered to include Documentation to support compliance with the experience/ qualifications required by the criteria set forth herein to'the satisfaction of the Village and shall be provided and accepted by the Village prior to award. 4. Contractor shall commence correction of the Work within seven (7) calendar days of written notice by the Village. WARRANTY Contractor further agrees to correct all Work found by the Village to be defective or not in conformance with the Contract Documents for a period of one year for repairs and ten years for replacement from the final inspection or for such longer periods of time as may be set forth with respect to specific warranties contained in the specifications. The Village shall provide Contractor with written notice of non - conformance. If Contractor fails to correct non - conforming Work within a reasonable time after receipt of notice, the Village may correct the Work and seek restitution from the Contractor for all costs incurred by the Village in performing the corrective work. ACCEPTANCE OF NON- CONFORMING WORK If the Village deems it inexpedient to correct Work that has been damaged or that was not performed in accordance with the Contract Documents, the Village may accept such non - confirming work and an equitable deduction from the contract price shall be made for such work. Contractor shall warrant the accepted but non - conforming work in accordance with GC 6.2. The Contract Documents and the obligation of Contractor to perform corrective Work survive final completion of the Work and final payment. VILLAGE'S RIGHT TO CORRECT OR COMPLETE WORK If Contractor should neglect to prosecute the Work diligently in accordance with the Contract Documents, or fail to correct defective or nonconforming Work, or fail to perform any provisions of the Contract Documents, the Village may, after ten (10) calendar days written notice to Contractor and opportunity to cure, make good these deficiencies and may deduct the cost thereof from payment due Contractor. A deductive Change Order shall be issued for the Village's reasonable costs of correcting or completing the Work, including the Village's expenses and compensation for its Engineer /Architect's services and expenses. The Change Order amount shall be subject to review and approval by the Village's Engineer /Architect. If payments due to Contractor are not sufficient to cover the Change Order, Contractor shall pay the difference to the Village. The Village's correction of the Work and acceptance of a deductive Change Order shall be without prejudice to any other remedies the Village may have. WORK BY OTHERS AT SITE The Village reserves the right to perform construction or operations related to the Project with the Village's own forces, and to award separate contract in connection with other portion of the Project or other construction or operations on the site. Where the Village is utilizing its own forces or multiple contracts for the Project, Contractor shall provide reasonable advance notice to the Village and other contractors regarding the Project Schedule and the portions for work to be performed by them. Contractor shall coordinate its construction and operations with the Village and other contractors performing work on the Project. If part of the Contractor's Work depends for proper execution or results upon construction or operations by the Village or a separate contractor, the Contractor shall, prior to proceeding with that portion of the Work, promptly report to the Village's Engineer /Architect apparent discrepancies or defects in such other construction that would render it unsuitable for such proper execution and results. Failure of the Contractor so to report shall constitute an acknowledgment that the Village's or separate contractors completed or partially completed construction is fit 11 and proper to receive the Contractor's Work, except as to defects not then reasonably discoverable. Contractor shall reimburse the Village for costs incurred by Village payable t a separate contractor because of Contractor's delays, improperly timed activities, damage to the other contractor's work or defective construction. Village shall be responsible to Contractor for costs incurred by Contractor because of a separate contractor's delays improperly timed activities, damage to Work or defective construction. If a dispute arises among Contractor and other contractors on site as to the responsibility to maintain the premises, correct work, clean up or take any other action, the Village may take the necessary action and the Village's Engineer /Architect will assess the costs to those deemed responsible by Engineer /Architect. INDEMNIFICATION Contractor shall indemnify and hold harmless the Village, its commissioners, officers, employees and agents, from and against any and all claims, obligations, liability, expenses, losses and causes of action, including attorneys' fees and costs, to the extent the same are caused by: (i) an act, negligence, recklessness or intentional wrongful misconduct of Contractor or its subcontractors, or the commissioners, officers, employees or agents of either, while engaged in or about the performance of the Work; or while in or about the project site or premises; or (ii) arising from accident or any injury to Contractor or its subcontractors while engaged in or about the performance of the Work, or while in or about the project site or premises, not caused by act of the Village, the Village's agents, servants, or other contractors of the Village; or (iii) arising out of the violation of federal, state, county or municipal laws, ordinances or regulations by Contractor or its subcontractor; or (iv) arising from liens or claims for services rendered for labor or materials furnished in or for the performance of the Work. The extent of Contractor's indemnification shall be limited to one and one -half times the contract price or $1 million per occurrence, whichever is greater. This paragraph shall not be construed to require Contractor to indemnify the Village for the Village's own negligence, or intentional acts of the Village, its agents or employees. Nothing in this paragraph shall be construed as a contractual waiver by the Village of the limits of sovereign immunity under Sec 768.28, Florida Statutes. This paragraph shall survive the expiration or termination of the Contract. (725.06 F.S. and 768.28 F.S.) DISPUTES Any disputes which may arise between the Contractor and any subcontractor must be resolved between the parties concerned. The Village will not undertake nor be in any way responsible for the resolution of such disputes between Contractor and its subcontractors. THE VILLAGE'S RIGHT TO TERMINATE FOR CAUSE The Village may terminate the Contract for cause if Contractor: A. Fails to supply enough properly skilled workers or proper materials; B. Fails to cure deficiencies after notice as provided in the Contract Documents; C. Fails, except in cases for which extension of time is provided, to maintain an established schedule thirty (30) calendar days behind a critical path activity), D. Fails to make prompt payments to subcontractors or for material, equipment or labor; E. Disregards applicable laws, codes, ordinances, regulations or permit requirements; F. Fails to perform the Work consistent with the requirements of the Contract Documents; G. Materially fails to comply with substantial and final completion dates as required in the Contract Documents; H. Abandons or refuses to perform any portion of the Work; I. Is otherwise in substantial breach of the Contract Documents; J. Files a bankruptcy petition or has a bankruptcy action commenced against it that is not discharged within thirty (30) calendar days, or make an assignment for the benefit of its creditors, or has a receiver appointed to manage Contractor's assets, or is otherwise becoming insolvent. When any of the above reasons exist, the Village may, without prejudice to any other right or remedy, and after giving Contractor and its Surety seven (7) calendar days' written notice, terminate the employment of Contractor and, subject to any prior right of the surety: (i) Exclude the Contractor from the site and take possession of the premises and of all materials, equipment, tools and appliances thereon owned by Contractor; (ii) Accept assignment of subcontract pursuant to GC 13.2 and (iii) Finish the Work by whatever reasonable means the Village deems expedient. 12 When the Village terminates for cause, Contractor shall not be relieved from any of its obligations under the Contract Documents, and shall not be entitled to receive any further payment until the Village's costs to complete the Work is determined. In no event shall Contractor receive any payment for Work finished by the Village. The Village shall determine its costs incurred in completing the Work, including fees and charges to contractors, fees of the Village's Engineer /Architect, attorney and other professional fees, court costs and other damages incurred by the Village. The Village shall not be required to obtain the lowest price for the work to be performed, but the costs paid by the Village must be reasonable. If the unpaid balance of the contract price shall exceed the Village's costs to finish the Work, the excess shall be paid to Contractor. If the Village's costs exceed the unpaid balance, Contractor shall pay the difference to the Village. This obligation for payment shall survive termination of the Contract and final payment. Those Contract provisions which by their nature survive final acceptance shall remain in full force and effect. If Contractor's surety is directed or agrees to complete the Work, then all payments due after termination shall be made to the surety until the Work is complete and /or the Contract price has been expended. The surety shall then be responsible for all of the obligations and duties of Contractor under the Contract Documents and shall be bound by the conditions of the Contract Documents, this Contract and the Bond to fulfill all obligations of the Contract Documents for the contract price in effect as of termination. The surety may not assign those obligations without the written consent of the Village. The surety shall be responsible for the payment of all costs relating to the termination of the employment of Contractor. Contractor and its surety shall be jointly and severally liable for all costs in excess of the contract price for completion of the Work and for liquidated damages. If, upon termination for cause it is determined that Contractor was not in default, the rights and obligations of the parties shall be as if the notice of termination has been issued for the Village's convenience WARRANTY INSPECTION Prior to expiration of the warranty period(s), Contractor shall conduct, at its expense, with the Village's Engineer /Architect, a warranty inspection. Additionally, upon receipt of notice from the Village of failure of any part of the guaranteed Work, equipment or materials during the guarantee period, the defective Work, equipment parts or materials shall be replaced promptly with new equipment parts (or new equipment) and materials by Contractor, at no expense to the Village. This provision shall survive expiration or termination of the Contract. LEGAL AND ETHICAL PROVISIONS NO VERBAL AGREEMENTS. No verbal agreement or conversation with any officer, agent or employee of the Village either before or after execution of the Contract shall affect or modify any of the terms or obligations contained in any of the documents comprising said Contract. All Contract amendments or Change Orders shall be written and executed by both the Village and Contractor. COMPLIANCE WITH LAWS Contractor shall comply with all applicable City, State and Federal laws relating to the provision of services under this Contract, now or hereafter in effect. Contractor shall comply with all applicable City, State and Federal laws relating to wages, hours, and all other applicable laws relating to the employment or protection of employees, now or hereafter in effect. It shall not be grounds for a change order that Contractor failed to investigate the codes and regulations of all applicable government agencies with jurisdiction over the Work. INSPECTOR GENERAL. Pursuant to Article XII of the Palm Beach County Charter, the Office of the Inspector General has jurisdiction to investigate municipal matters, review and audit municipal contracts and other transactions, and make reports and recommendations to municipal governing bodies based on such audits, review or investigations. All parties doing business with the Village shall fully cooperate with the inspector general in the exercise of the inspector general's functions, authority and ,power. The inspector general has the power to take sworn statements, require the production of records and to audit, monitor, investigate and inspect the activities of the Village, as well as contractors and lobbyists of the Village in order to detect, deter, prevent and eradicate fraud, mismanagement, misconduct and abuses. 13 PUBLIC RECORDS. In accordance with Sec. 119.0701, Florida Statutes, CONTRACTOR must keep and maintain this Agreement and any other records associated therewith and that are associated with the performance of the work described in the Proposal or Bid. Upon request from the Village's custodian of public records, CONTRACTOR must provide the Village with copies of requested records, or allow such records to be inspected or copied, within a reasonable time in accordance with access and cost requirements of Chapter 119, Florida Statutes. A CONTRACTOR who fails to provide the public records to the Village, or fails to make them available for inspection or copying, within a reasonable time may be subject to attorney's fees and costs pursuant to Sec. 119.0701, Florida Statutes, and other penalties under Sec. 119.10, Florida Statutes. Further, CONTRACTOR shall ensure that any exempt or confidential records associated with this Agreement or associated with the performance of the work described in the Proposal or Bid are not disclosed except as authorized by law for the duration of the Agreement term, and following completion of the Agreement if the CONTRACTOR does not transfer the records to the Village. Finally, upon completion of the Agreement, CONTRACTOR shall transfer, at no cost to the Village, all public records in possession of the CONTRACTOR, or keep and maintain public records required by the Village. If the CONTRACTOR transfers all public records to the Village upon completion of the Agreement, the CONTRACTOR shall destroy any duplicate public records that are exempt or confidential and exempt from public records disclosure requirements. If the CONTRACTOR keeps and maintains public records upon completion of the Agreement, the CONTRACTOR shall meet all applicable requirements for retaining public records.
