Box 11803 Columbia, SC 29211 STATE OF FLORIDA ) COUNTY OF PALM BEACH ) Easement Agreement THIS EASEMENT AGREEMENT ( "Agreement ") is made and executed between Village of Tequesta, Florida having a mailing address of 345 Tequesta Drive, Tequesta, Florida 33469, hereinafter designated GRANTOR, and Verizon Wireless Personal Communications LP, a Delaware limited partnership d/b /a Verizon Wireless with its principal offices at One Verizon Way, Mail Stop 4AW100, Basking Ridge, New Jersey 07920, hereinafter designated GRANTEE. WHEREAS, GRANTEE requires an additional ingress and egress, as well as an area for utilities, as set forth more fully below, on, over, and across a portion of that certain parcel of property owned by GRANTOR and located in Palm Beach County, Florida, shown, now or formerly, in whole or in part, on the Tax Map of the County of Palm Beach as Parcel Control Number 60-43-40-30-00- 000 -7240 and is further described in OR Book 1641, Page 1348, OR Book 2931, Page 1785, and OR Book 10159, Page 52 in the public records of Palm Beach County at the Office of the Clerk and Comptroller for Palm Beach County (hereinafter the "GRANTOR's Property"); and WHEREAS, GRANTEE's ingress and egress, as well as an area for utilities, will be within a 10' x 13' square foot right -of -way as shown on Exhibit A, extending from an existing utility right of way and across GRANTOR's Property and shall be in addition to GRANTEE's existing easements on GRANTOR's Property. WITNESSETH: NOW, THEREFORE, KNOW ALL MEN BY THESE PRESENTS, that GRANTOR for and in consideration of the sum of Ten and no /100ths ($10.00) Dollars, paid by GRANTEE to GRANTOR, has granted, bargained, sold and released, and by these Presents does grant, bargain, sell and release, unto the GRANTEE, its successors and assigns, an additional non - exclusive easement (the "Utility Easement "), for the purpose of ingress and egress, seven (7) days a week, twenty-four (24) hours a day, on foot or motor vehicle, including trucks, and for the installation and maintenance of utility wires, poles, cables, conduits, and pipes for all necessary electrical, telephone, fiber, and other similar support services over, under, or along a variable width right of way and covering that real property being substantially as described on Exhibit A, attached hereto and incorporated herein. In the event it is necessary, GRANTOR agrees to grant GRANTEE or the utility provider the right to install such services on, through, over and/or under the GRANTOR's Property, provided the location of such services shall be reasonably approved by GRANTOR. PROVISIONS: 1. It is the intent of this Agreement to convey to GRANTEE a non - exclusive easement for the purposes as set forth herein over the entire Utility Easement, which shall be in addition to GRANTEE's existing easements on GRANTOR's Property. However, to the extent the grant made hereby shall fail in any respect, or is held to be invalid, in whole or in part, including but not limited to the effectiveness of the grant made hereby, this Agreement shall continue in full force and effect to the full extent of GRANTOR's interest in and to any part of the Utility Easement. 2. GRANTEE, its agents, independent contractors, subtenants, licensees, tenants, utility providers, and invitees shall have the use of the Utility Easement as described herein for the purpose of ingress and egress, seven (7) days a week, twenty -four (24) hours a day, on foot or motor vehicle, including trucks, and for the installation and maintenance of utility wires, poles, cables, conduits, and pipes for all necessary electrical, telephone, fiber, and other similar support services over, under, or along the Utility Easement, and in conjunction with such use, GRANTEE may construct, reconstruct, maintain and repair a road thereon, but shall have no obligation to do so. 3. With the exception of that portion of the Utility Easement which has heretofore been improved and/or paved, if any, GRANTEE shall pay for all costs incurred in connection with the creation of this Utility Easement. Subsequent to GRANTEE'S initial improvements as provided for herein, the responsibility for all necessary maintenance and improvements in the Utility Easement shall be equitably allocated between GRANTOR and GRANTEE, or any third parties utilizing the Utility Easement, based upon actual usage of the Utility Easement. 4. In the event any public utility is unable to use the aforementioned right -of -way, the GRANTOR hereby agrees to grant an additional right -of -way either to the GRANTEE or to the public utility at no cost to the GRANTEE. 5. The term of this Agreement shall commence upon the commencement of installation of equipment in the Utility Easement (the "Commencement Date ") and shall be for an initial term of five (5) years with four (4), five (5) year extension terms. GRANTEE may terminate this Agreement any time upon thirty (30) days prior notice to GRANTOR. 6. Nothing contained herein is intended to supersede, replace, or release GRANTEE's existing easements or lease rights over, under, or along the GRANTOR's Property under any other instrument, some of which are as shown on Exhibit A, attached hereto and incorporated herein. 7. GRANTOR, as Lessor, and GRANTEE, as Lessee, are parties to that certain Land Lease Agreement dated August 12, 2014 ( "Lease "). Pursuant to the Lease, GRANTEE, as Lessee, has rent obligations to GRANTOR, as Lessor, per the terms of the Lease. The Parties hereby agree that if GRANTEE, as Lessee, is in default of its rent obligations as set forth in the Lease, beyond any and all applicable notice and cure periods, GRANTOR may terminate this Easement Agreement upon 30 days' prior written notice to GRANTEE. 8. GRANTOR covenants that GRANTOR is seized of good and sufficient title and interest to the Utility Easement and has full authority to enter into and execute this Agreement. GRANTOR further covenants that there are no other liens, judgments or impediments of title on the Utility Easement or affecting GRANTOR's title to the same and that there are no covenants, easements or restrictions which prevent the use of the Utility Easement by the GRANTEE as set forth above. 9. It is agreed and understood that this Agreement contains all agreements, promises and understandings between the GRANTOR and GRANTEE and that no verbal or oral agreements, promises or understandings shall be binding upon either the GRANTOR or GRANTEE in any dispute, controversy or proceeding at law, and any addition, variation or modification to this Agreement shall be void and ineffective unless made in writing and signed by the Parties. 10. This Agreement and the performance thereof shall be governed, interpreted, construed, and regulated by the laws of the State in which the Utility Easement is located. 11. This Agreement shall not be sold, assigned or transferred by the GRANTEE without the prior express approval of the GRANTOR, which approval shall not be unreasonably withheld. 12. This Agreement shall extend to and bind the heirs, personal representatives, successors and assigns of the Parties hereto. TOGETHER with all and singular the Rights, Members, Hereditaments and Appurtenances to the Utility Easement belonging, or in anywise incident or appertaining. TO HAVE AND TO HOLD, all the interests, rights, and privileges herein granted in and to the Utility Easement before described unto the GRANTEE, its Successors and Assigns, for the term as stated herein. THE GRANTOR does hereby bind the GRANTOR and the GRANTOR'S heirs, successors or executors and administrators, to warrant and forever defend all and singular the said Utility Easement unto the GRANTEE and the GRANTEE'S Successors and Assigns against the GRANTOR and the GRANTOR'S Heirs and against every person whomsoever lawfully claiming or to claim the same, or any part thereof. Any reference in this instrument to the plural shall include the singular, and vice versa. Any reference to one gender shall include the others; including the neuter. Such words of inheritance shall be applicable as are required by the gender of the GRANTEE or GRANTOR. The designation Grantor and Grantee as used herein shall include said parties, their heirs, successors, and assigns, and shall include singular, plural, masculine, feminine or neuter as required by context.
