VILLAGE OF TEQUESTA
CONTRACT FOR SIDEWALK REHABILITATION AND CONSTRUCTION
THIS CONTRACT FOR SIDEWALK REHABILITATION AND
CONSTRUCTION, hereinafter "Agreement", is entered into and effective this _ day of
June 2017, by and between the VILLAGE OF TEQUESTA, a Florida municipal corporation
with offices located at 345 Tequesta Drive, Tequesta, Florida 33469-0273, organized and
existing in accordance with the laws of the State of Florida, hereinafter "the Village"; and
PROFESSIONAL SERVICES GROUP, LLC, a Florida limited liability company with
offices located at 468 S. Spring Garden Avenue, Suite B, Deland, Florida 32720, hereinafter "the
Contractor" and collectively with the Village, "the Parties".
WITNESSETH
The Village and the Contractor, in consideration of the mutual covenants contained herein
and for other good and valuable consideration, the receipt and sufficiency of which is hereby
acknowledged by the Parties, hereby agree as follows:
1. SCOPE OF SERVICES: The Parties hereby agree to enter into this Agreement whereby
the Contractor shall provide sidewalk rehabilitation and construction services for various
Village sidewalks located throughout the Village, on an as -needed basis, as more particularly
described in the Village's Request for Proposals RFP #PWO1-17. The Request for Proposals
RFP #PWO1-17 is attached hereto and is fully incorporated herein as Exhibit A.
2. COMPENSATION: In consideration for the above Scope of Services, pricing shall be
pursuant to the prices provided in the Bid Form contained in the Contractor's response to the
Village's RFP, which provides various "per square foot unit price figures". The Contractor's
response, including pricing as contained on the Contractor's Bid Form, is attached hereto and
is fully incorporated herein as Exhibit B.
3. INDEMNIFICATION: The Contractor shall at all times indemnify, defend and hold
harmless the Village, its agents, servants, and employees, from and against any claim,
demand or cause of action of whatsoever kind or nature, arising out of any error, omission,
negligent act, conduct, or misconduct of the Contractor, its agents, servants, or employees in
the performance of services under this Agreement.
4. PUBLIC ENTITIES CRIMES ACT: As provided in sections 287.132 and 287.133,
Florida Statues, by entering into this Agreement or performing any work in furtherance

hereof, the Contractor certifies that it, its affiliates, suppliers, subcontractors and consultants
who will perform hereunder, have not been placed on the convicted vendor list maintained by
the State of Florida Department of Management Services within thirty-six (36) months
immediately preceding the date hereof. This notice is required by section 287.133(3)(a),
Florida Statutes.
5. TERM; TERMINATION: This Agreement shall remain effective for a term of three (3)
years beginning June 15, 2017. Two additional one (1) year extensions may be entered into
at the Village's discretion. This Agreement may be terminated by the Village or the
Contractor upon thirty (30) days written notice to the either the Village or Contractor.
6. NOTICE:
Notice required by this Agreement shall be considered sufficient when sent by certified mail
or hand delivered to the Parties during regular business hours at the following addresses:

7. INDEPENDENT CONTRACTOR: It is specifically understood that the Contractor is an
independent contractor and not an employee of the Village. Both the Village and the
Contractor agrees that this Agreement is not a contract for employment and that no
relationship of employee —employer or principal —agent is or shall be created hereby, nor shall
hereafter exist by reason of the performance of the services herein provided.
8. ATTORNEY'S FEES: In the event a dispute arises concerning this Agreement, the
prevailing party shall be awarded attorney's fees, including fees on appeal.
9. CHOICE OF LAW; VENUE: This Agreement shall be governed and construed in
accordance with the laws of the State of Florida, and venue shall be in Palm Beach County
should any dispute arise with regard to this Agreement.
10. AMENDMENTS & ASSIGNMENTS: No modifications shall be made to this Agreement
unless in writing, agreed to by both Parties, and attached hereto as an addendum to this
Agreement. The Contractor shall not transfer or assign the services and provision of goods
called for in this Agreement without prior written consent of the Village.

11. INSPECTOR GENERAL: Pursuant to Article XII of the Palm Beach County Charter, the
Office of the Inspector General has jurisdiction to investigate municipal matters, review and
audit municipal contracts and other transactions, and make reports and recommendations to
municipal governing bodies based on such audits, reviews, or investigations. All parties
doing business with the Village shall fully cooperate with the inspector general in the
exercise of the inspector general's functions, authority, and power. The inspector general has
the power to take sworn statements, require the production of records, and to audit, monitor,
investigate and inspect the activities of the Village, as well as contractors and lobbyists of the
Village in order to detect, deter, prevent, and eradicate fraud, waste, mismanagement,
misconduct, and abuses.
12. PUBLIC RECORDS: In accordance with Sec. 119.0701, Florida Statutes, the Contractor
must keep and maintain this Agreement and any other records associated therewith and that
are associated with the performance of the work described in the Proposal or Bid. Upon
request from the Village's custodian of public records, the Contractor must provide the
Village with copies of requested records, or allow such records to be inspected or copied,
within a reasonable time in accordance with access and cost requirements of Chapter 119,
Florida Statutes. A Contractor who fails to provide the public records to the Village, or fails
to make them available for inspection or copying, within a reasonable time may be subject to
attorney's fees and costs pursuant to Sec. 119.0701, Florida Statutes, and other penalties
under Sec. 119.10, Florida Statutes. Further, the Contractor shall ensure that any exempt or
confidential records associated with this Agreement or associated with the performance of
the work described in the Proposal or Bid are not disclosed except as authorized by law for
the duration of the Agreement term, and following completion of the Agreement if the
Contractor does not transfer the records to the Village. Finally, upon completion of the
Agreement, the Contractor shall transfer, at no cost to the Village, all public records in
possession of the Contractor, or keep and maintain public records required by the Village. If
the Contractor transfers all public records to the Village upon completion of the Agreement,
the Contractor shall destroy any duplicate public records that are exempt or confidential and
exempt from public records disclosure requirements. If the Contractor keeps and maintains
public records upon completion of the Agreement, the Contractor shall meet all applicable
requirements for retaining public records. Records that are stored electronically must be

provided to the Village, upon request from the Village's custodian of public records, in a
format that is compatible with the Village's information technology systems.

13. ENTIRE AGREEMENT: This Agreement constitutes the entire agreement between the
Parties and supersedes all previous discussions, understandings, and agreements between the
parties relating to the subject matter of this Agreement.

The attached agenda item recommends a multi-year Sidewalk Rehabilitation and Construction
contract with Professional Services Group.
The Village went out for competitive bid and received only one bid. After reviewing the bid and the
pricing,it is our recommendation to a�vard this contract to Professional Services Group.
The Village will utilize this contractor to supplement the sidewalk repair and construction that the
Public Works Department is currently performing.

Sidewalk Rehabilitation and Construction
Proposals for Village-wide Sidewalk Rehabilitation and Construction will be received bythe Village of
Tequesta at the Office of the Village Clerk,345 Tequesta Drive, Florida 33469, Monday,May 8,2017 at
3:00 PM.Any proposals received after the designated closing time will be returned unopened.The
purpose of this Request for Proposals is to seek service of a quali�ed professionai contractor to provide
constructian services to the Village of Tequesta for the repair and/or replacement and construction of
sidewalk throughout the Village.
An original and two(2)copies a total of three(3)proposals shall be submitted in sealed
envelopes/packages addressed to Lori McWilliams,Village Clerk,Village of Tequesta, Florida,and
marked Village-Wide Sidewalk Rehabilitation and Construction.The Village reserves the right to accept
or reject any and all proposals and to walve any technicalities or irregularities therein.The Village
further reserves the right to award the contract to that proposer whose proposal best complies with the
RFP NO: PW 01-17 requirements. Proposers may not withdraw their proposal for a period of ninety(90)
days from the date set for the opening thereof.

The Village of Tequesta is requesting responses to this Request for Proposal(RFP)to enter into a
contract wfth sidewalk repair contractor(s?to provide sidewalk repair and replacement services for the
Vilfage of Tequesta.A copy of this RFP can be obtained from the Village of Tequesta website at
www.teauesta.ors until the expiration date of this solicitation. lt is incumbent upon the Respondent to
check the website for additional information and/or addendums.Coples of this RFP can also be obtained

3.1 Signature
The l�al name of the person or firm submitting the Proposal should be inserted in Schedule A.The
Proposal should be s�ned by a person authorized to sign on behaif of the ProponeM and include the

4.1 EVALUATION CRITERIA
The Evaluation Team wlll oampare and evaluate all Pr�osals to determine the Proponer�t's strength and

if the Propanent,or any off�cer or director of the Proponent wbmitting the Proposal,is or has been
engaged dlrectly er indirecNy in a legal action against the Village,its elected ar appolnted offkers,
reR�enta�or employees io relattan to any matter.In determining whether or not to reject a
Proposal under this sectlon,the V1Qage wtfl consider whether the Iftigatio�is likefy to affect the
Proponer�t's ability to work with the Village,its consuitants and representatives and whether the
Village's experience with the Proponent tndicates that there is a risk the Vfllage will incur tncreased staff
and legal costs in the administration of the Corrtract if it is awarded to the Proponer�t.
4.3 ADDITIOIVAL INFORMATION
The Evaluation Team may,at hs discretion,request cla�ns or additbnal informada�from a
Proponent with respect to any pro�sal,and the Evaluation Team may�ke such requests to only
selected Proponents.The Evaluation Team may consWer wch clarificaticns or additlonal inf�rmation in
evaluatir�a Propasal.
4.4 NEGOTIATION OF CON7RACT AND AWARD
If the Vitlage selects a Prefierred Proponent or Preferred Proponent�then it may:
(a)Enter into a Contrad with the preferred propone�(s);or
(bj Enter into discussEons with the Preferred Proporterit(s)to clarify a�y outstanding issues and
attempt to finalize the tern�s of the Contract(s),induding flnandal terms.lf discussions are successful,
the Viliage and the Preferred Proponer�x(s)wiQ finaUze the Contract(s);or
(c)if at any time the Vlllage rea�nabiy forms the cpinion that a mutualfy acceptabte agreement is not
likety to be reached within a reasonable time,g�re the P�eferred Proponent(s}writ�n notice to
termina�d�cuss�ns,in which event the Village may then elther open discuss�ans with anothe�
Proponent or terminate this RFP and retain or obtain the Services in some other manner.
The Vil�ge is under no obltga�on to accept arry Proposal submitted.The llillage reserves the r�ht in its
sole discretEon to araive informalities in,or reject any or all Propasal�or to acoept any Proposal deemed
most favorable in the interest of the Village,or cancel the competitian at any time without award.
Thereafter,the Viilage may issue a new Invitatlon/Request,sole source or do nothing.All costs lncurred
in the preparatioR and presentation of the proposal sha11 be wholly absorbed by the contractor.All
supporting dowme�rtation and manuals submitted with this proposal will become the property of the
Vil�ge of Tequesta unless otherwise requested by the contractor at the t�me of subm�sion.
5.0 GENERAL CONDITfONS
NO VIUAGE OBLIGATION
This RFP is not a tender and does nat cammit the Village in arry way to select a Preferred Proponent,or
to proceed to negottations for a Contract,or to award arry CoMrack,and the Village�serv�s the
complete�ht to at arry time reject ali Proposais,and to terrninate thls RFP proaess.
5.1 PROPONENTS'D(PENSES
Proponents are soleiy responsibie for their own expenses In preparing,and submitting Proposa�,and
for acry meetirtgs,negotlations or discussions with the Viliage or tts represerrtatives and consultants,
relating to or arising from thls RFP.The Village and!ts represeritatives,agents,consultants and advisors
will not be Ilable to any Proponent for any claims,whether for casts,expenses,losses or damages,or
loss of antidpated profits,or fior any other matter whatsoever,incurred by the Proponent in pnepa�ing
and submitting a Prop�al,or partictpating in negatlations for a Contract,or other activity related to or
arising aut of this RFP.
5.2 NO CONTRACT
By submitting a Proposal and partkipating in the process as outlined in this RFP,Proponerrts expressly
agree that no contract of any kind is formed under,or a�s from,this RFP,prior to the si@,ming of a
formal written Contrad.
5.3 OONFLICi'OF INTEREST
Proponents shall disclose any pote�l conflicts of irrterest and extsting business relattonships they
may hav+e with the Vil�ge.if requested by the Village,Proponems should provide all pertl�ent
irtiformatton regarding ownership of their company within forly-eight(48�hours of the Vqlage's request. �
5.4 SOLICITATION OF COUNqI MEMBERS
Proponents and their agents arill not contact any member of the Village Cauncil or Village stafFwith
respect ta this R�P at any time priar to the award of a coMract or the terminatlon of this RFP,and the
Village may reject the Proposal of any ProponeM that makes any such contact.
5.5 CONFIDENTIALfiY

be obtalned from the Bullding Departmerrt Of�ice located at 345 Tequesta Dr,Tequesta Flortda.
Contractors must register with t{�Village ofTequesta Building&Lfcense Departmer�t.Prlc�s shall
remaln the same during the extended term.The aontractor wlll be responsible for fiollowing the Villages
Swale and right of way popdes.A copy can be obtained from the Deputy Dlrector of Utilities,Sam �

6.1 CoM�ractors w�l be responsible for any and all damage due to constructEan.Any damage caused by
the contractor must be repaired within seven(7)to ten(10)working day at fihe expense of the
con#ractor.Contractor will need ta make sure that a!I trees,shrubs and s�ns are proteded and not .
damaged during constructton.If damage occurs,the contractor wiit be liable for such damages.The
areas of improvements wili be as indicated fn the work order.
6.2 It is e�ressly agreed and understood that the Corrtcactor is,in all respects,an independeM
cor�tractor as to work;however,in certain aspects,the Contractor is bound to follow the direct3ons of
the Public Works Deputy DirecCor or appointed destgnee at the time of repair and/or construction,and
that the CoM:ractor is in no respect an agent,servant or employee�the Village. �
6.3 The Cor�tractor's timeliness and deli�nery of quality products shall be manitored by the Publk Works
Deputy Director or appointed designee.If at any time the Contractor ls pertorming less than satisfactory
work.the Contractor,upon notification by the Deputy Direclor of Public Works or appointed deslgnee,
shall do whate�er Is necessary to perform the worlc properly at no additional cost to the ViUage.
Failure to gi�re such noti�cation shap not relieve the Contractor of his obligatlon to perform the work at
the tlme and in the manner specified.Failure to perform the work in the time specifted in d�e work
orde�will trigge�liquidity damages of$7S0/day.
6.4 The Vil�ge of Tequesta resenres the right to select the contractor wh�ch best meets the Vill�e's
g°als and°bkc�ves,needs,bud8et constrairits,and q�lity levels,as well as its�rvioe level
e�ations.The Vii�ge reserMes the right,in its sole discretion,to reject any/or all proposals,to wahre
anY irregularities and technical defects contained therein,ta award the contract in its entirety,ln part or
nat at aU and/or to detennine whkh proposal is the lowest and/or best to enter into a Cantrac�as lt
may deem to be fn the best i�rterest of the Village of Tequesta.
6S TERMS AND COMDITIONS.
A. ThL�proposal shall be for a period of Three(3)years beginning lune 15,2017 through June
15,2020.The 1/(I�ge reserves the right and the Bidder agrees ta aliow tfie Viliage the optlon
to renew,at the Village's sole discretlon,tor up to two(2)add�tional one-year periods.
B. The VUbge resenres the rfght to reject any and all proposals,and to waive minor

Rights Act and EEP requlremer�ts.The Viilage reserves the�ight to reject any proposed
agreemeM or contract that does not conform to the specifkat�ns contained tn thls RFP,
and which is nat appraved by dee Village's Attorney's of�ice.
H.Prbr to contract award,the Vil�ge will meet with the Contrador ta reWew procedures
for iavoidr�,paymeM,reporting,lf any,and monitoring coMract perfarmance.
I.The Contractor should expect that schedule semi-annual mee�tir�s with shop
rnanagement to review senrlc�performanoe.
J.The Village shall not be responslble for any costs Uxurred by the fitm in preparir�, �
submitting or presenting its response to the RFP.
7.0 COMPLIANCE WITH APPLICABLE LAWS
All work shall confonn to al!applEcable federal,state,ceunty,and local requiremer�ts.
8.O INSURANCE REQtlIREMENTS
8.1 The selected servke provider shall agree to indemnify and hold harmiess the Viilage of Tequesta and
its offke�s,agents,and empbyees from any and all claims,causes,or actior�s,and damages of every
kind,for injury to or death of airy person and damages to property arisi�g out of or i�connection with
the work done by the Contractor under this contrac�,and intluding acts or omissions of the Vil�ge af
Tequesta or its oHic�rs,ageMs,o�employees in connection with sald contract. �
8.2 The�!la�e will require proof of profess�onal liability insurance with errors and omissions coverage,
wotice�'s compensation insurance,general l�ability and automobile insurance with companies autha�lzed
to do business 1n Palm Beach Cour�ty,Florida,and in amounts satkfactory to the Vlllage. .
8.3 The successfu)Coritractor,wid�in ten days after the corstrac!award,shall fumish the Vi[lage with
proof of insurance.
&4 The ViUage of Tequesta shail be named as additional insured on all polides as directed in Attachment
A.Shauld any inwrance required by this co�tract lapse,the Gontractor shall immed�tely cease any
operations untii authorized in writir�by the Village.lf the�pse perlod extends flReen(i5j days,the
contract shall automatically term�ate and the Co�racxor�shall be in breach of thk contract.
9.0 AGREEMENT/D(CEPTIONS
9.1 Submisslon of a proposal indicates the Contractor agrees to the terms,condttions and other
provisions contained in the RFP,unless the Contractor dearly and specif�cally prese�s ln its proposal
any except�ons to the terms,cond�tions,and other provkions contained in the RFP.

S��• A CONTRACTOR who faiis to provide the publk �ecords to the
Village, or fails to make ifiem availabfe for lnspection or copying,within a

Florfdo Statui�es. Further, CONTRACTOR shall ensure that any exempt or

dlsdosed except as authorized by law for the duration of the Agreement
term, and following completlon of the Agreement if the CONTRACTOR
does not transfer t�he records to the Village. Finally, upon oompletion of
