CALL TO ORDER AND ROLL CALL
The meeting was called to order at 2:02 PM by Mr. Chris Quirk, Village Finance Director.
Present were: Mr. Keith Davis, Village Attorney and Mr. Michael Couzzo, Village Manager.
Mr. Doug Chambers, Deputy Public Works Director and Mr. Sam Heady, Deputy Director
of Water Utilities were absent.
PRESENTATIONS
1. Negotiation between Village Negotiating Team and Waste Management Negotiating
Team
Waste Management had the following representatives attend the negotiation session: Mr.
Jeff Sabin, Government Affairs Manager; Mr. Michael DeClerck, Senior District Manager
for Martin County; Mr. Ronald Kaplan, Senior Legal Counsel; and Mr. Duane Robinson,
Operations Manager.
Ms. Tiffany Thomas from the Office of the Inspector General, Palm Beach County, was
also in attendance.
Mr. Jeff Sabin explained that changes and revisions were made, although language was
still needed for roll-off containers and their enforcement. Mr. Quirk asked if one more
sentence could be added to specify that the Village was not responsible for the
enforcement.
Attorney Keith Davis felt that there were some "wordsmith" issues, but nothing that could
not be easily switched out. He asked that the language regarding the term of the contract
be cleaned up to represent the idea that 5-year extensions were possible. Mr. Ron Kaplan
admitted that the wording should be changed; he had just not had the chance to do so yet.
Mr. Quirk clarified that the Village was requesting an 8 year contract with a 5-year
extension.
Mr. Keith Davis asked that the indemnification provision include the language regarding
legal proceedings and attorney's fees. He also revealed that he needed to include a state
statute regarding the Village Clerk being the public records custodian for the Village.
Mr. Jeff Sabin explained the need for the WST (Waste, Sewer and Tax Index) and the
3.5% cap, which he felt, was fair and reasonable. Mr. Chris Quirk asked if the residential
rate would stay the same until October 1 S' 2018. Mr. Sabin assured the Committee that
the residential rate would actually stay the same until October 1, 2019, with a maximum
rate increase of 3.5% thereafter. It was verified that the current rate was $12.25.

Mr. Sabin offered to provide an "electronics and shred event" to the Village as part of the
contract. There was also a "back door service" offered to certified handicap customers
within the Village, at no additional charge.
Manager Couzzo suggested the Village create a final proposed draft for Waste
Management to review and execute, prior to it being presented to Council. The Committee
would remain active until the contract was completely finalized.
ADJOURNMENT: The meeting was adjourned at 2:25 PM.
