Sactlon 1.Dutles
The N�age hereby agrees to hire En�loyee as en lr�terim Firefigh#er to perFoRn the
dutles and func�ions of a Firefighter I� in aa:ordanoe with the job pos�on descrip�on
a�tad�ed hereb� and marked as Appendix ��A'. Employee sF�a�l be subjed to, and abide
by,fhe Ordinancss of the YNage, the V'tllage Empbyee Handbook, Florida Statutes and
Federal law�s goveming Fi�f'ighters and Emergency Medical Technicians. Empbyee
ag�ees bo perform dt�ties ar�d resEwr�ties heteund� and such othe� reasonable
dcfies and responsib�lit�es as are assigned to him from time fio time by the Fire Chief
ac�d/or the V�lage Manager.
Sectio� 2. DescNption of Posit�on
The Village has started an inbarim firefight�program to assist individuals in obtaining a
career in the fire service �d to assist individuals vvi� higt�er education opportuni�ies.
lnterim f�ighbers serve on an"as needed"basis as determined in the sole discr�etion of
the Vqage. lnterim fir+efighters serve at the wiN of the Vllage. Inteiim fi�+ef'igh�ers can be
refieved o#duty at arry time for any r�son or no reason.
fMerim fir�'ighfers wNl reoe[ve a copy of the 1//�lage Employee Handbvok and the Fire-
Rescue DepartrnenYs Policy and Prooedure Manual at the time of initi�al employment
In�erim fir+s�ghbers are responsble for comp�iance vritfi General Personnel Po6ae,s and
Standarcls of Condud as set forth in the Vilfage Employ�ee Handbook. How�ever, othe�
than rights and ben�its specfically Itsted in this Agreement, iriterim firefighters are not
errtitled to any rights or benefits set forth in the Vfltage's Employee Handbook, induding,
but not�nifed fio, any grievance procedune rights.
Section 3.Term
This ABreemerit shaq � as of the date hereof and shall rerr�ain in effeat for a
period af three (3) years. This A�eerr�ent can be �+enewed for an additional three {3)
year tem� by mu�..rel consen# of both partres. No mod'�fications, changes or
amendmerrts to any provision of this Agreement can be impleme�d without expTess
writ6en agreerner�t being eoaecuted by both parties.
Empbyee agrees that he is an at�! employee and will serve at the pleasure of the
V'dlege Manager and/or Fr�e Cii�f. Nothing in this Agneerrient shall preverrt, limit or
vtherwise irrterFere with the rigM aF the Yllage Manager or Fire Chief tio term�e the
servio�s of the Ernployee. EmPbY� �9rees that he has no properfy righCs in
� emplo�yrrient with the V�lage and does not harre the right to file a gRevanve conoeming
any of the�erms or conditions af this Agreement or otl�e�wise.

Nothing in this A�eemerrt shaN prev�ent or otherv�ise in�er�ene with the right of the
• Employee to resig� his empbyment with the V'idage, subject to the pro�sions with
Secfion 4{Termination).
Sectlon�1. Tern�ation
In the event that Employee is tierminated before the expiration o�F the afone�aid term of
empbymer�t for reasons ott�er than moral turpitude, the Vlhage agrees to pay the
EmPlo�y�ee fcr any acctved sidc leave and vacation benefi�s in acc�rrdanoe with the
pr+oMsions of the Vjllage Employee Handbodc applicable to full time Vila� employees•
The Empby�ee w�l also be eNgble for his portion af the Educaiion Assistanoe �unds
(de�ned bebw) that he has �med� for a period of time up to iwehre (12) months from
his date af terminatian. Education Assi�stanoe Fu�ds not u�'�zed within this tweive (12)
month time fiame shaN be forieitied�o the Yqi age.
If Employ�ee is torminabed for moral hirpitude, he shal[ forfeit his accxued sick I�ne,
vacation pay and education assistance funds.
If the Employ�ee volurrtarily resigns from ti�e position of irrterim fi�fighber prior to the
e�iration of this agreement, EmPloYee shall forfeit all accrued sidc leave, var,dtion pay
ar�d educadon assistanoe funds fi�the ViNage as liqtddated damages.
Section 5.Salary
The �e v�n'll «�mmpensate Empby�ee at the prevaiing minimum wage for all hours
worked during his normal worlcw�eek. The nom�al w�kw�eek for Fire Departrnent
employees is forty-eighf hours. This is based on worlcing one hundred and for[y-#our
(144) hours in a iwenty-one (21) daY cycle. The Village r�eiv+es the right bo adjust 1he
normal workweek hows as needed and in ac�cordanoe withh the Fair l.abor Staridau�ds
Ad.
Empby�ee wi� cccasionally be needed to work extra hours. The V�lage provides
c�r�pensatio� for extra hours worked at a rate af or� and one-half (1-1 f1) �mes the
nom�al t�oury rafie of pay for aN hours wortced in exoess af the norma! w�ork cyde. For
the purpose of compu�ng hatrs worked, annual leave, sk�c leave and time lost due to
an on�iuty injury shall be oonsidered time warked.
Empbyee is entiUed to receive any across the board incxeases granted to the non-
union¢ed fms�fi8hters by the Vllage and his hourly rafie of pay wi[l be adjust�d
axorclingly.
Sectlon 6. Benefl�s
a. Vac�tioo: Empbyee w�l r�ec�eive two w�eeks of paid vacation for each y�r
Empbyee is empioyed uncier this ir�terim program. At the sucxessful completion
ot Emp[oyee's tvirelve-mor�th probationary period Employee is entitleed to use
Empby�ee's vacation leave in aocordanc:e with the polic�s goveming such

usage. Fbwever, Empbyee vvill not be compensafied for time off, if granted,
during Employ�ee's probationary period.

sponso[ed health care bene�ts. This ooverage Mnll be identicat �o the coverage

Life insurance is provided, but oNy#o the e�dent tf�at is required by law.

Educ�tbn Ass�stanoe Funds can be used for arry tufion c�sts, book e�ertses or
!ab fees associated with Empbyee's higher�education. There are no restrictions
on the type of courses that the Employee can afbend as these fitnds are bo be
c�or�sidered Empbyee's money and Employee can use it for ar�y courses,
technical education or any type of deg�e Empbyee desires.
If the Employ�ee is not State ofi Florida certified as a F�fighter and/or Emergency
Medical Technicia� upon ex+ecu�iwi of this AAreeme�t, the�Ilage will sdvancv
Educ�tian Assistance Funds to pay for tf�ese ce�tiftcations for the Emptoyee.

prooedure is for situatlor�s that cannot be schedufed around Employee's shift
work, for the attendance ofi dasses or for evec�ts that Empbyee has no control
aver.

h. Incenfive Pay: Based on the department needs, the Fire Chief will deteRnine
whether or not a certified Interim Fire Fighter shall receive the Dive pay and the
State Cert�ed Inspector pay.
Section 7. Applicable Law and Waiver of Jury Triat. �
This Agreement shall be governed by and construed pursuant to the laws of the State of
Florida. Employee irrevocably submits to the jurisdiction of such courts and waives any
objection it may have to either the jurisdiction or venue of such courts. Further,
Employee waives trial by jury if litigation is filed to enforce any terms of this Agreement.
Venue shall be Palm Beach County, Florida.
Section 8. Severability.
If any terms or part of this Agreement shall be determined to be invalid, illegal, or
unenforceable in whole or in part by a court of competent jurisdiction, the validity of the
remaining part of such term or the validity of any othe� term or provision of this
Agreement shall not in any way be affected. All provisions of this Agreemerrt shall be
construed to be valid and enforceable to the full extent permitted by law.
Section 9. Acknowledgment
By signature below, Employee acknowledges that he has read this Agreement and has
received a copy of the Village Employee Handbook and the Fire-Rescue Department's
Policy and Procedure Manual, and agrees to accept the terms of Interim Employment
described herein.

240.00 Career Development Plan — The Village of Tequesta has developed this
Career Development Pan to maximize your professional growth and
performance. In conjunction with your professional growth, this plan
establishes realistic expectations of the competency levels needed to
maintain a long-term career in this department.
240.01 Developing your career is an investment in both you and in the future of
our department. By helping you hone your skills, we strengthen our entire
workforce. This in return, sets a superior level of care and service for our
community.
240.02 Firefighter I: This is the entry-level position for individuals starting their
career with Tequesta Fire Rescue. Individuals in this grade must be a
State of Florida certified Firefighter and State of Florida certified '
Emergency Medical Technician.
240.03 After at least twelve months in the classification of Firefighter I, employees
may advance to the Firefighter II classification in the career development
plan providing they have all the qualifications listed in Section 240.04.
240.04 Firefighter II: This is a firefighter's second career development level. To
achieve this level individuals must be a State of Florida certified Pump
Operator and must successfully complete the following courses:
• 40 Hour class in Aerial Operations and;
• 40 Hour class in Vehicle Extrication and;
• At least one of the following electives:
o Confined Space Rescue I
o Rope Rescue I & II
o Dive Rescue I
240.05 After at least twelve months in the classification of Firefighter II,
employees may advance to the Firefighter III pay grade providing they
have all the qualifications listed in Section 240.06.
240.06 Firefighter III: This is the third career development level. To achieve this
level individuals must have completed all the requirements of Firefighter II,
and the following:
• Obtain (3) credits in Microcomputer Applications (CGS-1100) and;
• Obtain (3) credits in Building Construction (FFP-2120) and;
• Obtain (3) credits in Fire Service Course Delivery (FFP-1740);
• Individual must than choose a career track from the following categories

240.07 Any course utilized to achieve a career development level cannot be used
again to achieve another career development level.
240.08 After you are selected for promotion to Rescue Officer I, you will be placed
in that pay grade with at least a six (6%) percent pay raise, providing that
you meet all the educational requirements for that pay grade as listed in
Section 240.09.
240.09 Rescue Officer I: This is the first career development level for officers.
Individuals in this grade must have completed all the requirements of
Firefighter III, and the following:
• Hazardous Materials for Emergency Operations I (FFP2401)
• Hazardous Materials for Emergency Operations II ( FFP2402)
• Hazardous Materials III (FFP2423)
• Fire Chemistry(FFP2111)

240.10 Upon promotion, if you do not meet the qualifications for Rescue Officer I
you shall be given a three (3%) percent raise and placed in grade titled
Rescue Officer. This is a temporary position from which you will have one
year from the date of promotion to complete the requirements of Rescue
Officer I. When the educational requirements for the Rescue Officer I
position are completed you will be given the additional three (3%) percent
you should have earned for the promotion. If the requirements are not
completed within the one-year time frame you will be returned to your
previous position and the next person on the promotion list will be offered
the job. If there is no promotion list, the Rescue Officer I position will re-
open. The Fire Chief may extend the one year time requirement for due
cause.
240.11 After at least finrelve months in pay grade as a Rescue Officer I,
employees may advance to the Rescue Officer II pay g�ade providing they
have met all the qualifications listed in Section 240.12.
240.12 Rescue Officer II: This is the second career development level for
officers. Individuals in this grade must have completed all the
requirements of Rescue Officer I, and be State of Florida certified as a Fire
Officer I.
240.13 After you are selected for promotion to Fire Officer I, you will be placed in
that pay grade with at least a six (6%) percent pay raise, providing that you

240.14 Fire Officer I: This is the third career development level for officers.
Individuals in this grade must have completed all the requirements of
Rescue Officer II, and be State of Florida Certified Fire Officer II.
240.15 After at least twelve months in pay grade as a Fire Officer I, employees
may advance to the Fire Officer 11 Pay grade providing they have met all
the qualifications listed in Section 240.16.
240.16 Fire Officer II: This is the fourth career development level for officers.
Individuals in this grade must have completed all the requirements of Fire
Officer I, be State of Florida Certified as a Fire Instructor, hold an A.S. or
A.A Degree in Fire Science, EMS or Business Administration and attend at
least one (1) two week residence course at the National Emergency
Training Center.

PUBLIC RECORDS. In accordance with Sec. 119.0701, Florida Statutes,
CONTRACTOR must keep and maintain this Agreement and any other
records associated therewith and that are associated with the
performance of the work described in the Proposal or Bid. Upon request
from the Village's custodian of public records, CONTRACTOR must provide
the Village with copies of requested records, or allow such records to be
inspected or copied, within a reasonable time in accordance with access
and cost requirements of Chapter 119, Florida Statutes. A CONTRACTOR
who fails to provide the public records to the Village,or fails to make them
available for inspection or copying, within a reasonable time may be
subject to attorney's fees and costs pursuant to Sec. 119.0701, Florida
Stotutes, and other penalties under Sec. 119.10,Florida Statutes. Further,
CONTRACTOR shall ensure that any exempt or confidential records
associated with this Agreement or associated with the performance of the
work described in the Proposal or Bid are not disclosed except as
authorized by law for the duration of the Agreement term, and following
completion of the Agreement if the CONTRACTOR does not transfer the
records to the Village. Finally, upon completion of the Agreement,
CONTRACTOR shall transfer, at no cost to the Village, all public records in
possession of the CONTRACTOR, or keep and maintain public records
required by the Village. If the CONTRACTOR transfers all public records to
the Village upon completion of the Agreement, the CONTRACTOR shall
destroy any duplicate public records that are exempt or confidential and
exempt from public records disclosure requirements. If the CONTRACTOR
keeps and maintains public records upon completion of the Agreement,
the CONTRACTOR shall meet all applicable requirements for retaining
public records. Records that are stored electronically must be provided to
the VILLAGE, upon request from the Village's custodian of public records,
in a format that is compatible with the Village's information technology
systems.

Re: Jupiter Medical Center 2018 Agreement
The Village requires a HealthCare agreement with a competent facility to provide senrices that
include new hires and post accidents screenings, and required annual physicals for certified
fire-rescue employees. Additional services include assistance with the management of the
Village's workers compensation injuries from initial injury through retum to work.
Human Resources and the Fire department are requesting that the current agreement with
Jupiter Medical Center(JMC) Urgent Care be renewed for the period January 5, 2018 to
September 30, 2018. This agreement spans 9 months because the contract year is being
switched from a calendar year to match the Village's fiscal year, with the next agreement
expected to run concurrently with the Village's 2018/19FY. The management of both
departments met with the JMC team and after a few weeks of ineetings and deliberations, we
are confident that the attached Schedule of services and fees are reasonable and competitive.
In addition to competitive pricing, HR and Fire-Rescue are recommending that the Village
continues to utilize their services for the other reasons outlined below:
1. Continuity of service is important in respect of inedical records and long-term
employee treatment.
2. Based on their size and available resources, JMC is the closest occupational services
center offering the most comprehensive set of services within a 5-mile radius.
3. The opening hours are extensive with Monday to Saturdays, 8:OOam—8:OOp.m and
Sundays, 9am-5 p.m. and JMC Emergency room as an emergency resource.
4. A check with surrounding municipalities revealed that the majority use JMC's services
or intend to do so in the near future.

AGREEMENT FOR HEALTH CARE SERVICES
This Agreement for Health Services(this"Agreement")made this 5�'day of January,
2018("Effective Date")by and between Jupiter Medical Center Physicians Group, Inc.
("Provider")and Village of Tequesta/Tequesta Fire Department, Florida("Company").
RECITALS
Whereas, Provider is in the business of providing health care services through Jupiter
Medical Center Urgent Care ("URGENT CARE") located in the Abacoa Shopping Center at the
corner of Military Trail and Donald Ross Road in Jupiter, Florida;
Whereas, from time to time Company's employees need health care services which are
available at the URGENT CARE;and,
Whereas,Company desires to have its employees receive Company-requested health care
services by Provider at its URGENT CARE location.
Now therefore, in consideration of the recitais set forth above and the covenants and
conditions contained herein,the parties agree as follows:
1. RECITALS. The recita.ls set forth above are true and correct and shall be
incorporated herein by this reference and considered in the interpretation of this Agreement.
2. COMPANY'S OBLIGATIONS.
a. Company shall provide or cause to be provided to Provider a referral form that
shall accompany each employee referred to the URGENT CARE for the specific health care
services from Eahibit A hereto w6ich are requested by the Company. The referral form shall
include the following information:
(i) Employee's full name and date of birth.
(ii) Employee's social security number.
(iii) Employer contact information.
(iv) Name of person authorizing treatment.
(v) The Requested services from Ezhibit A.
(vi) Workers' compensation camer information, if services are to be
billed to the carrier.
(vii) Instructions for delivery of results.
b. Company shall remit all payments due to Provider within thirty days (30) of
receipt of an invoice. Invoices shall be sumitted monthly and shall identify the employee(s) and
the date(s) and type(s) of services rendered. Said invoices will be based on the fee schedule set
forth on Exhibit A,attached hereto and made a part hereof.
3. PROV[DER OBLIGATIONS.
a. Except as otherwise specified in this Agreement,with respect to the health care
services, Provider shall provide facilities, equipment, and phlebotomy supplies such as blood
tubes and needles, or other supplies required to provide any of the lab services or urine collection
services as requested by Company for its employees.
b. Hard copy reports of drug screens will be provided directly to Company from
the laboratory or medical review officer overseeing any drug screen. Physical exam results will
be forwarded to the Company by fax or mail,per direction of Company at time of referral,within
the same business day that results are known. Work status reports will be provided to Company
and/or workers' compensation carrier on the same day of service. Office notes for workers'
compensation patients will be available to the carrier within seventy-two (72) hours of an
employee's visit.
4. TERM. This Agreement shall commence on the Effective Date and shall expire
at S:OOpm Eastern time on the next-occuring September 30�'(the"Expiration Date"), unless the
parties renew the Agreement by signing an Annual Renewal Addendum in the form attached
herewith as Ezhibit B. Failure of Company to sign and return the Annual Renewal Addendum
to Company on or before the Expiration Date shall result in termination of this Agreement on the
Expiration Date.
5. TERMINATION.
a. Either party may terminate this Agreement at any time without cause by giving
the other party at least thirty(30)days' prior written notice.
b. Neither party shall have any further rights or obligations hereunder following
termination of the Agreement except: (i) as otherwise provided herein; (ii) for rights and
obligations accruing prior to the effective date of termination (e.g.. fees due to Provider for
services rendered prior to the termination date); or (iii) arising as a result of any breach of the
Agreement.
6. RELATIONSHIP OF PARTIES.Neither party is an agent or representative of the
other party under this Agreement. This Agreement does not constitute a joint venture or
partnership between the parties.
7. CONFIDENTIALITY.
a. The parties recognize and acknowledge that the parties hereto may gain access
to certain information of one another that is confidential and constitutes valuable, special and
unique property of such party. As such, each party agrees that it will not at any time, either
during or subsequent to the term of this Agreement, disclose to others, use, copy or permit to be
copied, without the other party's express prior written consent, except pursuant to such party's
duties hereunder, disclose any confidential or proprietary information of the other party,
including, but not limited to, information which concerns either party's employees, patients,

costs, or treatment methods and which is not otherwise available to the public. The foregoing
shall not apply to: (1)any information received by a party without breach of this Agreement; (2)
any information which was independently developed by a party; (3) any information which is
ordered to be released by requirement of a governmentai agency, validly served subpcena, or a
court of law;and,(4)any information necessary in connection with Provider's accreditation.
b. Except for disclosure to Company's legal counsel, accountant or financial
advisors (none of whom shall be associated or affiliated in any way with Provider (or any of its
affiliates), Company shall not disclose the terms of this Agreement to any person who is not a
party to this Agreement, unless disclosure thereof is required by law or otherwise authorized by
this Agreement consented to in writing by Provider. Unauthorized disclosure of the terms of this
Agreement shall be a material breach of this Agreement.
c. HIPAA Compliance. The parties agree to comply with the applicable
provisions of the Health Insurance Portability and Accountability Act of 1996 ("HIPAA") and
the requirements of any regulations promulgated thereunder.
d. All provisions of this Section 7 shall survive expiration or other termination of
this Agreement, regardless of the cause of such termination.
8. NOTICES. All notices hereunder shall be in writing, delivered personally, by
certified or registered mail, return receipt requested, or by overnight courier, shall be deemed
effective when received,and shall be addressed as follows:

9. PREVAILING PARTY. In the event that a suit,action or other proceeding of any
nature whatsoever arises out this Agreement, the prevailing party shall be entitled to recover
from the losing party the prevailing party's reasonable attorney's fees and costs actually incurred
and reasonably necessary in connection therewith, as determined by the judge, in addition to a[l
other remedies provided by law.
10. ENTIRE AGREEMENT; MODIFICATION. This Agreement, including any
attachments hereto, contains the entire agreement of the parties hereto and supersedes all prior

and contemporaneous oral or written negotiations, representations, agreements, understandings,
proposals, or undertakings with respect to the subject matter hereof, all of which are deemed
incorporated and merged into this Agreement or abandoned. This Agreement may only be
modified or amended by the mutual written agreement of the parties. Any such modification or
amendment shall be signed by authorized representatives of each party and shall be attached to
and become part of this Agreement.
11. GOVERNING LAW. This Agreement shall be construed in accordance with the
laws of the State of Florida with venue in the courts of Palm Beach County.
12. COLlNTERPARTS AND FACSIMILES. The parties hereto may execute this
Agreement in any number of sepatate counterparts (including by confirmed electmnic, email,
and/or facsimile transmission), each of which, when executed shall be deemed and original, and
all of which,when taken together, shall constitute one and the same instrument.
13. WAIVER. Any failure of one party to enforce its rights under this Agreement
shall not be construed as contemporaneous or future waiver of such rights (or any other rights)
herein. No waiver of any breach or failure to enforce one or more of the terms and conditions
hereof shali be construed as an implied amendment or agreement to modify or as a waiver of the
right to later enforce, such terms. If any provision of this Agreement is held invalid, then to the
ful(est extent permitted by law, such invalidity shall not affect the validity of any other provision
of this Agreement.
14. ASSIGNMENT; BINDING EFFECT. This Agreement is not assignable without
the prior written consent of the parties.

CONTRACTOR must keep and maintain this Agreement and any other
records associated therewith and that are associated with the
performance of the work described in the Proposal or Bid. Upon request
from the Village's custodian of public records, CONTRACTOR must provide
the Village with copies of requested records, or allow such records to be
inspected or copied, within a reasonable time in accordance with access
and cost requirements of Chapter 119, Florida Statutes. A CONTRACTOR
who fails to provide the public records to the Village,or fails to make them
available for inspection or copying, within a reasonable time may be
subject to attorney's fees and costs pursuant to Sec. 119.0701, F/orida
Statutes,and other penalties under Sec. 119.10, F/orida Statutes. Further,
CONTRACTOR shall ensure that any exempt or confidential records
associated with this Agreement or associated with the performance of the
work described in the Proposal or Bid are not disclosed except as
authorized by law for the duration of the Agreement term, and following
completion of the Agreement if the CONTRACTOR does not transfer the
records to the Village. Finally, upon completion of the Agreement,
CONTRACTOR shall transfer, at no cost to the Village, all public records in
possession of the CONTRACTOR, or keep and maintain public records
required by the Village. If the CONTRACTOR transfers all public records to
the Village upon completion of the Ag�eement, the CONTRACTOR shall
destroy any duplicate public records that are exempt or confidential and

This memo is in reference to the Verizon GPS Contract. The contract is for twelve
(12) GPS units for the police department's vehicles. The contract declares a
onetime charge of$2,102.76 and monthly recurring charge of$277.40.
The length of the contract is for twelve (12) months. After the contracts first
twelve (12) months, Verizon will continue to process a recurring monthly bill.
Included in this contract are the GPS Units, the GPS and Diagnostics Hardware,
the Monthly Service Fee, Base Installations, USM OBDII Bypass Harnesses and the
Configurable Update Rate.

PUBLIC RECORDS. In accordance with Sec. 119.0701, Florida Statutes,
CONTRACTOR must keep and maintain this Agreement and any other
records associated therewith and that are associated with the
performance of the work described in the Proposal or Bid. Upon request
from the Village's custodian of public records,CONTRACTOR must provide
the Village with copies of requested records, or allow such records to be
inspected or copied, within a reasonable time in accordance with access
and cost requirements of Chapter 119, F/orida Statutes. A CONTRACTOR
who fails to provide the public records to the Village, or fails to make them
available for inspection or copying, within a reasonable time may be
subject to attorney's fees and costs pursuant to Sec. 119.0701, Florida
Statutes, and other penalties under Sec. 119.10, F/orida Statutes. Further,
CONTRACTOR shall ensure that any exempt or confidential records
associated with this Agreement or associated with the performance of the
work described in the Proposal or Bid are not disclosed except as
authorized by law for the duration of the Agreement term, and following
completion of the Agreement if the CONTRACTOR does not transfer the
records to the Village. Finally, upon completion of the Agreement,
CONTRACTOR shall transfer, at no cost to the Village, all public records in
possession of the CONTRACTOR, or keep and maintain public reco�ds
required by the Village. If the CONTRACTOR transfers all public records to
the Village upon completion of the Agreement, the CONTRACTOR shall
destroy any duplicate public records that are exempt or confidential and
exempt from public records disclosure requirements. If the CONTRACTOR
keeps and maintains public records upon completion of the Agreement,
the CONTRACTOR shall meet all applicable requirements for retaining
public records. Records that are stored electronically must be provided to
the VILLAGE, upon request from the Village's custodian of public records,
in a format that is compatible with the Village's information technology
systems.
