The Village of Tequesta will be compensated for all senrices r�ende�d and this special detail will have no negative financial impact on The vllage of Tequesta. Attached for your review and approval is the Ag�merit induding Exhibits"A°,"B"and"C",and the Certificate of Liability Insurance for the Jupiter HiOs Club. It is respec�fully requested this Agr�eemer�t be approved and fully executed. GOLF TOURNAMENT SUPPORT SERVICES LICENSE AND AGREEMENT YHIS LICENSE AND AGREEMENT is made and entered inta this day of Aptil, 2018 by and befiroeen the VILLAGE OF TEQUESTA, a Florida municipal corporation organizsd and exisfing under tt�s laws of the 5tate of Fiarida, whose address is 3�5 Tequesta Drive, Tequesta, Florida 33489 ("Vitlage°); and JUPITER H1LLS CLUB, INC., a Florida not for-proftt corporafion arganized and existing unde�the laws of the State of Florida, whose address is 11800 SE Hill Club Terrace,Tequesta, Fiorida 33469(°Club"). WtTNESSETH WHEREAS, the United States Golf Assocta�on ("USGA")has selected the Jupiter Hilis Club as the host site for the Z018 U.S. Amateur Four-Ba(1 Championship to be hsld May 16-24, 2018 ('Taumamen#"}; and WHEREAS, Tequesta Park, which is operated, manage� and maintained by the �llage through a lease agreement with the Board of Trustees of the Intemal Improvement Trust Fund of Ehe State of Florida, is adJacent to Jupiter Hitls Ciub and [s most suitable as a tocati�n fo accommodate parking ior the Toumament;and WHEREAS, the Club has approached the �i[age seeking cooperative assistance and support related to Toumamerrt guest and support vehicle parking at Tequesta Park, assocfated traffic control matters on County Line Road, and associated towing services as needed; and WHEREAS, the Village's lease agreement with the Board of Trustees af the Intemal Improvemerrt Trust Fur�d of the State of Fiorida for the operation and management of Tequesfia Park provides that Tequesta Park is to be used far public outdoor activities and educat�on, as weil as related uses necessary to accomplish those purposes; and WHEREAS, the Vfliage has spoken with the Florida Departmer�f of . Environmental Protectwn (which oversees the Intemal Improvement Trust Fund) and has received verification that tempa�ary use of Tequesta Park as requested by the Cfub �S within the parameters of its peRnissible uses under the lease agreement; and WHEREAS� the Viliage is wiiling and able to provide such parking and � traffic related support services ta the Club pursuan# to the terrns and conditions � set forth in this Agreement;and WHEREAS, the Club has also approached the Village seeking caoperative assistance and support reiated to emergency medicaf services and ' general anc�llary public safety sup{wrt at the Toumament site itself; and � ! WHEREAS, the �ilage is willing and able to provide such emergency medical and pubiic safety related support services to the Club pursuant to the terms and conditions set forth in this Agreement; and WHEREAS,the Village Council has been made aware of the Toumament as avell as the Club's request for c�operative assistance and suppart senrices refated fhereto; and WHEREAS,the Village Council has determined it to be in the besf interest of the�Ilage to provide such services to fhe Club for the Toumament pursuant to the terms and conditions se# forth in this Agreement, and that to the extent ViNage resources are utii'¢ed to provide such services and support, tMat such utiliza�on of�Ilage resources serves a clear public purpose. NOW, THEREFORE, in conslderation Qf the terms, cavenants, and conditions hereinafter spec�ed, as well as other good and valuable considera#ion, the rec�ipt and sufficiency of which are hereby acknowledged by both the Club and the Village, the parties hereby agree as follows: PART 1 USE aF TEQUESTA PARK LICENSE Section 9.41 Premises Use; Rent, Fees and Assessments. The Village hereby grarrts a ticense to the Club to use portions �f Tequssta Park for pa�lcing of Toumament guests' and support staff personal use vehicles thereon. The specific portions of Tequssta Park to be utilizecl by the Club ("Premises") are more specifically described and deptcted an Exhibit "A" apper►ded to this ticense and Agreement. The Club shali pay the Ullage the to#ai sum of Five Thousand Dollars ($5,000.00} f�ar such license, due and payable upon execution of this Agreement. Said payrnent shall be non-refutxlable for any reason whatsoever. In the event this license, or the Club's use of fhe Premises renders the Premises or Teque�ta Park subject to ad vatorem real property taxes � or other fees ar assessments imposed by any govemment entlfy, the Club shat! be responsible for and shatl pay same befare any requit�ed payment is deemed to be delinquent or otherwise past due. . Section 1.02 C�ndi�on and Use of the Premises. ; A. The Village shall provide the Premises to the.Club in a condition that is suitabie for #he parking of Tournament guests' and support staff i personal use vehtcies ("suitable condition" means that turf stabilization i and mulch placemerit as determined by the�Ilage in its sole discretion j to be appropriate for the use intended will be providedy. it is not the : intent of this Agreement that the Premises will be used far the parking of any commercial vehicles, vehicles towing trailers of any kind, or � Page 2 of 12 . � , i ; f ! , � € s J � vehicles with more than two (2} axels, Lighting for fhe Premises shaU � be available from 5:30 a.m. until Sunrise and from Sunset until 9:00 � p.m, each day of the Taumament. f B. The Club shall be whoily responsible for all vehicie parking on the Premises for the Toumament, induding the provision and use of Premises attendar�ts. The CIu6 shatl be solely liabte and responsfbie ; far the actions and corxfuct af, and the compensatio� {ff any), insurance and indemnrfication for, said attendants. Tl�ta Club shali fully ; indemnify and hoid the Village harmiess for any and aN loss, property � damage and/ar lnjury assaciatsd direcNy or indirectly with vehicle paticing on the Premises as well as the conduct of #he Premises � attendants, inc(uding but not limited to parking related activities. ; Detailed indemnification and hold harmless provisions are set forth i below. � _ C. The Ciub shafl provide for law errforcement I public safety services on � 3 the Premises through use of the Marfin Caunty SherifPs Office. The . Vlllage's Police Department shali assist and supplement iaw enforcement / publ(c safety services at the Premises as needed and . shail also provide road patrot services on C�unty Llne Road adjacent �. to and near the Premises during the Toumament. �. D. The Club shatl prnvide, on an"as-needed" basis, towing services in the event that any vehicle parked at the Prem9ses for the Toumament � becomes stuck or disabled on the Premises� or atherwise requires ; rerr�vai from the Premises. Ciub shali fuliy indemnify and hold the �Ilage harmless for any and all loss, property damage andlor injury • assaciated direc�y or indirectly with towing ac�vvities as well as the conduct of ali tow truck operators or assistants. The Club shall be whoily responsible for the provision of shuttle ; transportatian senrices to and ftom the Premises for the Toumament � The Club shall fu(ly indemnify and hold #he Vlllage harmiess fa� any ; anct all loss, property damage andlor injury associated direcby or = indirectty with shuttle transportation activities as weil as the conduct of f al1 shuttie operators or assistants. Detailed indemnfication and hold harmless pmvisions ar�e set forth befow. � _ Secdon 1.03 Waste or Nuisance Prohibi�ed. � i , , The Club shall not cammit or sufFer to be committed any waste upon the Premises, cammit or permit the mairrtenance or comrr�ission of�ny nuisance ar ' other act or thing which may resul# in damage or depreciation of value of the f i � 3 Page 3 of 12 � � i z � ; Premises or which may affect the �Nage's interest in Tequesta Park, including the Premises or which results in an unsightly condition. Secdon 1.�4 Retum of the Premises in Good Condifion. ; After the conclusion of the Toumament, the Cfub shail be fully responsble for �� retuming the Premises ta the Viilage in the same condition it was provided to the � Club prior ta the Toumament, The Club shall be whQlly responsible for the clean- up of all garbage, trash and debris left on the Premises as a �esult of the ' Toumament parking activities as contempiated by fhis Agreement. Said clean-up • shall be compieted within 24 hours of the canclusion of tt� Toumament. The � Ciub shall likewise be wholly responsible for removal of any envtronmeritaf contaminants left on the Premises as a resulf of the Toumament parking activfties as contemplated by this Agreement. Upon discovery of any such = environmental cantamination, the Club shalf immediate�y notify the Vflage and ; shalf prepare and implement a ciean-up pian. Said clean-up shali be completed � , as soon as possible after the canclusion of the Toumament. The C(ub shatl fuliy indemnify and ho}d the Viilage harmisss for any and all environmental damage to the Pr+amises directly or indirectly related to the Toumament parking activities as caMempisted by this Agreement. Detailed indemn'rf'icafion and hald hamnless provisions are sef forth below. Section 1.05 Utilities. If necessary� the Club shail be solely responsible for ail costs and expenses rela�ng to providing utility services t� the Premises during the dates of the Toumament and shall pay directly to the utility company or provider of such servic:s all charges and assessments for any utility services provided, including, but not iimited to, water, sewer, gas, electricity, trash coqection, and remavat of . any other utitity used or consumed on the Premises. � Section 7.08 Asslgnment The Club shall not assign, mortgage, pledge, or encumber this license or this Agreement in whole or in part, nor subiet or rent aif or any portion of the ! Premises nor grant easements affecting the Premises, without prior written � conser�t of the VIIlage, which wriiten consent may be granted or withheld in the f Village's sole and absolute discretion,for any reason or for no reason. i ; PART 2 ' EMERGENCY MEDICAL SERVICES f I � Section 2.01 Provisian of Emergency AAedicai Services. + i The Vlifage shall provide emergency medical personnel and equipment for the ' Toumament by statianing appropriate ambulance / emergency medi�al vehicles, r 6 Page 4 of 12 � � i f : � ; � : equipment and associated p�rsonnel at the Premises. Said vehicle(s} and � assoaated personnel shall be available to ente� ather Toumament sites as : needed. The provision of emergency medica{ servi�s as contemplated herein shaii be pursuant to a separate agreement between the Club and the Village which specifies services, equipmer�t and personnel to be provlded by the Village as weii as fees to be paid by the Club for such sen�ices, equipment and personnet. The separate agreement for the provision of emergency medica) services shal(be appended hereto as Exhibit°B". PART 3 MISCELLANE�US TOURNAMEIdT SER1lECES Section 3.01 Signage. � � , i The V{lage shall provide two {2)Village owned electric changeable copy signs ta i the Club for use during the Toumament dates for directing Toumament events, ; traffic and parking. The placement and operation of such signs shall be under the direc@on and controi of�ilage personnel. It Is the intent af this section that Club and �Ilage personnei work cooperatively in the placement and operation of such signs, wifh #he understanding that since the signs are property of the Uliage, the V�Ilage must have ultimate cantro[over their placement and use. Section 3.02 Provision of Support Services,Yehicles and Staff. In addition to the preparation flf the Premises as set forth in sectian 1.02 A. above, the Village shall aiso provide one �Ilage Qwned pidc-up truck and one 4x4"Mule" vehicle for use during the Toumament. Such vehicles rnay be utilized -. at all Toumament sites an an as-needed basis. The vehides shall be operated , solely by Vllage personnel who shaii work cooperatively with Toumament s�aff throughout the Taumament everrt. The provisian of suppart vehicles and staff as ; cantemptated herein, as weN as#he preparation af the premises as cantemplated ; herein shall be pursuarrt to a separate agr+eement between the Club and the s �llage which specifies sanrices, equipment and persannel to be provided by#he . Village as well as fees to be paid by the Ctub for such services, equipment and . personnel. The separate agreement for the provisian of support services, vehicles and staff shaii be appended hereto as Exhibit"C". � i In the event that any ViEtage support vehide is damaged as a result of its use ; during the Toumament, the Club shall pay for a!I required repairs immediately upon receipt af an invoice from fihe Uflage for same. In adcfition, the Club shall i fully indemnify and hvid fhe Village harrnless for any anct all loss, properly ` . damage and/or injury associated directly or indirectly with the use of such � vehicles during the Toumamen�. Detailed indemn�cafion arid hotd harmless } provisions are set forth below. . � i 1 i Page 5 af 12 . ! � � S i 1 Section 3.08 Provision of Generat Law Enforcement Services. � 1 The Club shall be solely responsible for the provisian of {aw enforcement . services associated with the Toumament, except as specified in P�rt 1 above. � Speafically, the Club shali provide, through the Martin County SherifFs Office, ail ; law enforcemerrt services for the Premises descrfbed in Part 1 abave, ai) j Toumamerit areas, and all areas of U.S. Highway 1 in Niartin Caunty that may be i direc�y or indirec�y impacted by the Toumament. The Vilage shall have na ; responsibility for the provision of any law enforcemer�t services other than those � described in Part 'f above. . PART 4 � GE{dERAL TERMS AND C�NDITIdNS r I , Section 4.07 Govemment Regulatio�s. : The Ciub shail, at the Ciub's sofe cost and expense, comply with ali ordinances, laws, sta#ues, and regula#ions promuigated thereunder of aA county, - municipal, state federal and other applicable govemmental authorities now in : force or whicfi may hereafter be in farce, pertaining to the Club and its use of the : Premises or Tequesta Park generally. The Club sha!! not use, maintain, sture, or s dispose of any contaminants, inciuding� but not limited to, hazardous or taxic ` substances, chemicals, ar other ager�t�s on the Premises or any adjacent land in ; any manner not permitted by law.The Ciub shall indetnnify, defend, and save the ; Village harmisss from any and al) pena�ies,fines, cos#s, expenses, suits, claims, � or damages resuiting from the Club's failure to pertorm its obligations in this Agreement. This indemnifica�tion provision shali survive the termination or expiration of this license and this Agreement : Section 4.02 The Vtlage's t2ight to Inspecti � i 4 The Village or its agerrts shall have #he right to enter the Premises a# any � tlme far the purpose of inspection of the Premises. Any such entry on�the E Premises shafl be conducted by the Village in a manner calculated to minimize � any irrterterence with or disrup�on of tfie Club's operations within the Premises. ; ; � Seotion 4.03 Required Insurance Coverages. `! 1 A. Workers' Compensation. During the term of this Agreement, Club � shal! maintain Wo�lcers' Compensation Insurance oovering ail 1 emptoyees wiifi limits meeting aq applicabl� state statutes and federa! � laws. This coverage shall include Employers' Liabifiiy with limits j meeting al1 applicabie state statutes and federal laws. This coverage , must extend to any subcontractor that does nat have its ov+m Workers' � Compensation and �mployers Liabilify Insurance. During tt�e teRn of this Agreement, Club shall maintain Commercial Generai E.labitify and �. Property Damage palicies of insurance tn amounts of not iess than One Miliion Dollars ($1,000,000.00) per �ccurrence and Two Million ' Dollars {$2,0�,OOOAU) generat aggregate with respect to its use of � the Premises. The policy shatl include coverage for property damage, and car�fractual liabi{ity speofically insuring the indemniflcation portion of this license and this Agteement. C. Certificates of insurance. The Vitiage shall be named as an aadditior�al insured" on �H policies rela�ng to this license and this Agreement and sha!! be �roviicled witi� a standard form of certificate of insurance no later than 30 days prior ta the Toumament. Such cer�ificate shall provide that the �Ilage shall be notified at Ieast thlrty {30) days prior to any cancefla#ion or change in coverage. AIf required cert�cates of insurance shall be appended hereto as Exhibit°D". Sectlon 4.04 Indemnification and Hold Harmtess. The Club shalt indemnify, save and hakf the Village, its officers, agents, and emplayees harmless from any and aU claims, liability, losses, and causes of action of any nature wh�tsaever which may arise out aF or be in any way related to the Ciub's use of the Premises, and which may ar�se out of or be in any way � related to ttie �Ilage's provislon of o#her services, equipmenf and persanRel as set forth in this license and Agreement. The Club shaq pay aU daims or fosses af any nature whatsoever in connection therewifh, mciuding, buf nat limited to, attamey's fees and casts to defend alf ciaims or suits, including appellate fees � and costs, and shall pay ati costs arrd judgments which may issue thereon. The : vllage reserves the right to select its own counse! in any suah proceeding, and • afl costs ar�d fees assoaated therewith shatl be the responsibil'�ty of the Club. Compiiance with the foregoing shail not relieve the Cfub of any liabilily ot other abiigation under this iicense or this f�greemerrt. Further, nothing can#ained herein is intended nor shal{ be construed fo waive �Uage's savereign immunity rights or : the limitations of liabiliiy se# forth in Section 768.28, Florida Stafutes. Section 4.07 Construc8on. The parties ackrwwledge that each has shared equaliy in the drafting and preparation of this license and Agresment and accorcfingly, no Court or Adminfstrative Hearing Officer construing this license and Agreement shall construe it more strictly against one party than the other and every covenarrt, term, and provision of thls license and Agreement shal! be canstrued simpiy according to its fair meaning. Section 4.08 Severabilit3r. ; If any part of this license and Agreement is contrary to, prohibited by, or deemed : invalid under any applicable taw or reguiatian, such provisian shall be ' inapplicable and deemed omitted to the extent so coritrary, prohibited, or inva(Id, � but the r�emainder hereof shall not be inva{idated thereby and shall be given fulf for�ce a�nd effect sa far as possible. The waiver of any consent or approval by the�ltage to or any � act by the Club requlring the Village's consent or appraval shall not be deemed to � waive or render unnecessary the Villaye's conserrt or approvai of any r subsequentty similar act by the Club. : ! Section 4,15 Non-Exclusivity of Remedies. ; No remedy herei�conferred on any party is intended to be exclusive of any other '• remedy, and each and every such remedy shaii be cumulative and shall be in s addfion to every other remedy given hereunder or now or hereafter existing at : law or in equity or by statute o� othetwise.
