The folfowing Agenda item references a request from the Beach Road Association to plant 3
Sylvester Palms and install associated irrigation in the grassy area South of Beach Road between
Cato Bridge and Colony Road.
This area is within the Village right of way and maintained by the Village. The Association will be
responsible for all costs associated with utilizing a licensed/insured contractor to install the
palms and irrigation system.
The Village will include the maintenance of the palms trees and irrigation with the scheduled
maintenance of the right of way.
The Public Works Director and the Village Manger support this request from the Beach Road
Association and seek final approval from Council.

AGREEMENT FOR INDEMNIFICATION RELATED TU
TREE PLANTING
THIS AGREEMENT FOR INDEMNIFICATION RELATED ,TO TREE
PLANTING, hereinafter "Agreement", is entered into and effective this���day of February
2018, by and between the VILLAGE OF TEQUESTA, a Florida municipal corporation with
offices located at 345 Tequesta Drive, Tequesta, Florida 33469-0273, hereinafter � e Village";
and BEACH ROAD ASSOCIATION, INC., a Florida Not For Profit Co ration whose
principal address is 19750 Beach Road 605,Tequesta,Florida 33469,hereinafter"the Association"
and collectively with the Village, "the Parties".
WITNESSETH
The Village and the Association, in considsration of the mutual covenants con ' ed herein
and for other good and valuable consideration, the receipt and sufficiency of w 'ch is hereby
acl�owledged by both Parties,hereby agree as follows:
1. TREE PLANTII�TG: The Village hereby authorizes the Association to pl t three (3)
Sylvester palms,and requisite urigation, in the grassy area south of Beach Ro between the
Cato Bridge and Colony Road, located within the Village's right-of-way in T esta,Florida
33469("Tree Planting'�. The Village's right-of-way includes the approximately ne hundred
fift.een feet(115') commencing at the center line of Beach Road and extending �outhward to
The JIB Club located at 46 and 50 Beach Road. The Association shall ensure t such tree
planning is conducted by a licensed and insured contractor. The Association shall be required
to install adequate nrigation for the newly planted trees. Should the newly ' ed trees not
properly root and/or die within one(1)year of installation,the Association shall responsible
for the removal of the dead trees and replacement with the same tree species. The Association
shall be fully responsible for obtaini.ng any and all necessary permits prior to comnnencing the
Tree Planting.The location of the Tree Planting is more particularly described an depicted on
the document attached hereto as Exhibit"A".
2. COSTS AND EXPENSFS: The Association agrees to,and shall be fully respo 'ble for,all
costs and expenses associated with the Tree Planting. The Association further to, and
shall be fully responsible for, any and all tree removal and replacement costs d expenses

pursuant to Section 1. above. The Village is in no way responsible for providing any
compensation of any sort to the Association,or any other entity,for the Tree Planting.
3. INSURANCE AND INDEMNII�'ICATION: The Association shall ensure th�t any and all
contractors utilized for Tree Planting shall maintain worlmian's compensatiol� �n�*�*+ce and

commercial generai liability insurance in amounts deemed satisfactory to the Village's Deputy
Public Works Director, and shall name the Village as an additional insured o all liability
insurance policies that apply to the Tree Planting. The Association shall at all tim�s indemnify,
defend and hold harmless the Village, its agents, servants, and employees, from and against
any claim, demand or cause of action of whatsoever ldnd or nature, arising out I f any error,
omission, negGgent act, conduct, or misconduct of the Association, its agents, servants, or
employees in the performance of the Tree Planting.
4. TERMII�TATION:NOTICE: This Agreement may be terminated by the Village or the
Association upon thirty(30)days written notice to the either the Village or Associ I 'on. Notice
shall be considered sufficient when sent by certified mail or hand delivered to the P 'es during

5. VII..LAGE RIGHTS: It is agreed and acknowledged by the Parties that the T Planting
is being conducted on an area that is a public right-of-way located in the Village. Nothing in
this Agreement shall be construed to in any way limit the Village's rights to the ublic right
of-way bcing impacted by Association's Tree Planting. The Village agrees to cotttinue to
mainta.in the right-of-way where the trees and iaigation are being placed. The Village, its
employees and other agents, shall maintain the absolute right of ingress, egress d�ccess to
the Village's right-of-way for any and all purposes now and after Tree Planting. F ermore,
the Village shall maintain all rights to its public right-of-way,including those relat to current
or firture modifications to the right-of-way and any projects to be performed there'
6. ATTORNEY'S F'EES: In the event a dispute arises concerning this A ent, the
pnwailing party shall be awarded attorney's fees,including fees on appeal.

7. CHOICE OF LAW: VENUE: This Agreement shall be governed and construed in
accordance with the laws of the State of Florida, and venue shall be in Palm Beach County
should any dispute arise with regard to this Agreement.
8. AMENDMENTS &ASSIGNMENTS:This Agreement, all Exhibits attached hereto, and
required insurance certificates constitu[e the entire agreement and understanding between both
Parties;no modifications shall be made to this Agreement unless in writing,agreed to by both
Parties, and attached hereto as an addendum to this Agreement. The Association shall not
transfer or assign the services and provision of goods called for in this Agreement without prior
written consent of the Village.

PUBLIC RECORDS. In accordance with Sec. 119.0701, Florida Statutes,
CONTRACTOR must keep and maintain this Agreement and any other I
records associated therewith and that are associated with the I
performance of the work described in the Proposal or Bid. Upon request
from the Village's custodian of public records,CONTRACTOR must provide (
the vllage with copies of requested records, or allow such records to be
inspected or copied, within a reasonable time in accordance with access
and cost requlrements of Chapter 119, F/orido Stotutes. A CONTRACTOR
who fails to provide the public records to the Village,or fails to make ti�em
available for inspection or copying, within a reasonable time may be
subject to attorne�/s fees and costs pursuant to Sec. 119.0701, Florida
Statutes,and other penalties under Sec. 119.10,Florida Statutes. Further,
CONTRACTOR shall ensure that any exempt or confidential records
associated with this Agreement or associated with the performance of the
work described in the Proposal or Bid are not disclosed except as
authorized by law for the duration of the Agreement term, and following
completion of the Agreement if the CONTRACTOR does not transfer the
records to the Viliage. Fnally, upon compietion of the Agreement,
CONTRACTOR shal)transfer,at no cost to the Village,all public records in
possession of the CONTRACTOR, or keep and maintain pubfic records
required by the vllage. If the CONTRACTOR transfers all public records to
the Vllage upon completion of the Agreement, the CONTRACTOR shall
destroy any duplicate public records that are exempt or confidentia) and
exempt from public records disclosure requirements. If the CONTRACTOR
keeps and maintains public records upon completion of the Agreement,
the CONTRACTOR shall meet all applicable requirements for retaining
public records. Records that are stored electronically must be provided to
the VILLAGE, upon request from the vllage's custodian of public records,
in a format that is compatible with the �Ilage's informat�on technology
systems.

Subject Sidewalk Removal Indemnification Agreement
Date: March 16,2018
The following Agenda item references a request from Village of Tequesta Resident Carolyn
Schwartz who resides at 360 Venus Avenue Tequesta Florida 33469. Mrs. Schwartz has
requested to remove 25' of sidewalk in front of her home.
The property survey shows the sidewalk is in the Village Right of Way. This house was one of the
model homes during the original construction. The builder installed a 25' section of sidewalk.
This is the only home in the area with sidewafk.
Mrs. Schwartz is requesting to remove this section of sidewalk and install grass at her cost.
There is no financial or aesthetic impact to the Village or Community by removing this section of
sidewalk.
The Public Works Director and the Village Manger support this request from Mrs. Schwartz and
seek final approval from Council.

THIS AGREEMENT FOR INDEMNIFICATION RELATED TO SIDEWALK
REMOVAL, hereinafter "AgreemenP', is entered into and effecrive this a� day of February
2018, by and between the V[LLAGE OF TEQUESTA, a Florida municipal corporation with
offtces located at 345 Tequesta Drive, Tequesta, Florida 33469-0273, hereinafter "the Village";
and CAROLYN SCHWARTZ,an individual properiy owner whose principal address is 360
Venus Avenue,Tequesta,Florida 33469,hereinafter"the Owner"and collectively with the Village,
"the Parties".
WITNESSETH
The Village and the Owner, in consideration of the mutual covenants contained herein and for
other good and valuable consideration, the receipt and sufficiency of which is hereby
acknowledged by both Parties,hereby agree as follows:
l. SIDEWALK REMOVAL: The Village hereby authorizes the Owner to remove
approximately fifty feet (50') of concrete sidewalk abutting Owner's driveway and located
within the Village's right-of-way in the front of the property located at 360 Venus Avenue,
Tequesta, Florida 33469 ("Sidewalk Removal"). The Village's right-of-way includes the
approximately twenty-five feet (25') commencing at the center line of Venus Avenue and
extending eastwazd to the Owner's front(westernmost)property boundary. The Owner shall
be fully responsible for obtaining all necessary permits prior to commencing any Sidewatk
Removal. The location of the Sidewalk Removal is more particularly described and depicted
on the survey document attached hereto as Exhibit"A".
2. COSTS AND EXPENSES: The Owner agrees to,and shall be fully responsible for,all costs
and expenses associated with the Sidewalk Removal.The Village is in no way responsible for
providing any compensation of any sort to the Owner, or any other entity, for the Sidewalk
Removal.

As discussed previously,the attached backup is the approved license from FEC to run fiber conduit
under the tracks and Old Dixie and Tequesta Dr.This item is$2,500.00 annually, in perpetuity,and is
part of the budget for 2018.This is in addition to any existing agreements or licenses we already have
through FEC and will need to be budgeted in all future years.

PUBLIC RECORDS. In accordance with Sec. 119.0701, Florida Statutes,
. CONTRACTOR must keep and maintain this Agreement and any other
records associated therewith and that are associated with the
perFormance of the work described in the Proposal or Bid. Upon request
from the Village's custodian of public records,CONTRACTOR must provide
the �Ilage with copies of requested records, or allow such records to be
inspected or copied, within a reasonable time in accordance with access
and cost requirements of Chapter 119, Florida Statutes. A CONTRACTOR
who fails to provide the public records to the Village,or fails to make them
available for inspection or copying, within a reasonable time may be
subject to attorne�s fees and costs pursuant to Sec. 119.0701, Florido
Statutes,and other penalties under Sec. 119.10,Florida Statutes. Further,
CONTRACTOR shall ensure that any exempt or confidential records
associated with this Agreement or associated with the perfoRnance of the
work described in the Proposal or Bid are not disclosed except as
authorized by law for the duration of the Agreement term, and following
completion of the Agreement if the CONTRACTOR does not transfer the
records to the Village. Finally, upon completion of the Agreement,
COMTRACTOR shall transfer, at no cost to the Vllage, all public records in
possession of the CONTRACTOR, or keep and maintain public records
required by the�Ilage. If the CONTRACTOR transfers all public records to
the �Ilage upon completion of the Agreement, the CONTRACTOR shall
destroy any duplicate public records that are exempt or confidential and
exempt from public records disdosure fequirements. If the CONTRACTOR
keeps and maintains public records upon completion of the Agreement,
the CONTRACfOR shall meet all applicable requirements for retaining
public records. Records that are stored electronically must be provided to
the VILLAGE, upon request ftom the�Ilage's custodian of public records,
in a format that is compatible with the Village's information technology
systems.

Further to our dscussions on the importance of having an impartial out�sider verifying and
validating the Vllage's non-unionized employees sataries and ranges every few years(in
addition to the data provided by the PEPIE study), HR contacted three highly
recommended c�mpanies with the objectives of:
1. Evaluafing all positions to insure they remain properly classified and correctly
titled,
2. Conducting a salary survey of the classifications in the ma�lcet place where the
�Ilage recruits for its ernployees,
3. Developing an updated salary plan along with guidelines for the plan's
maintenar�ce,
4. Determining whether positions continue to remain exempt or non exempt in
aa�darx;e with the Fair Labor Standards Act, and
� 5. Submitting a report of their findings and recommendations for the�Ilage's
consideration.
Municipal Solutions in collaboration with Colin Baenziger&Assoaates conducted the 2006
survey while Cody 8�Associates cronducted the 2012 survey. In 2018,the following

This Agreement(the"AgreemenY')is entered into as of .2018, between the
Village of Tequesta ("the Village"),a Florida municipal co�poration,and HR Compensation Consultants,
LLC("HRCC").
1. Independent Contractor;Consultant. Subjed to the terms and conditions of this Agreement,the Village
hereby engages HRCC as an independent contractor to perform the services set forth herein, and HRCC
hereby accepts such engagement. This Agreement shall not render HRCC an employee, partner, agent
of,or joint venture with the Village for any purpose. HRCC is and will remain an independent contractor
in its relationship to the Village. The Village shall not be responsible for withholding taxes with resped
to HRCC's compensation hereunder. HRCC shall have no claim against the Village hereunder or otherwise
for vacation pay, sick leave, retirement benefits, social security, workers compensation, health or
disability benefits, unemployment insurance benefits,or employee benefits of any kind. HRCC may use
independent contractors from time to time to provide services to the Village(individually,a"Consultant",
and collectively,"Consultants"). In such cases,each Consultant shail be considered by Village as an agent
of HRCC and HRCC shall bear all responsibility to Village for the conduct and performance of each
Consukant.
2. Duties. Schedulins. Term, Compensation and Exqenses. HRCC's duties, term and scheduling of
engagement, compensation and provisions for payment thereof shall be as set forth in the attached

Exhibit A,which may be amended from time to time as mutually agreed upon by the parties in accordance
with paragraph 18 below,a�d which collectively are hereby incorporated by reference.
3. Written Re�orts. The Village may request that project plans and progress reports be provided by HRCC
on a periodic basis,or more frequently upon the written request of the Village.
4. Eauioment&Software. HRCC shall supply all equipment or software necessary to complete the work.
5. Ownership.The Village shall have all ownership rights in any tangible work products resulting from this
engagement. HRCC and the Village shall have joint ownership rights in any new ideas,concepts,or other
intellettual property that is created or discovered as a result of the collaboration of the parties.
6. Public Records. HRCC acknowledges that the public shall have access,at all reasonable times,to certain
documents and information pertaining to Village contracts, pursuant to the provisions of Chapter 119,
Florida Statutes. HRCC agrees to maintain public records in its possession or control in connection with
its performance under this Agreement and to provide the public with access to public records in
accordance with the record maintenance, production and cost requirements set forth in Chapter 119,
Florida Statutes, or as otherwise required by law. HRCC shall ensure that public records that are exempt
or confidential from public records disclosure requirements are not disclosed except as authorized by
law. Unless otherwise provided by law, any and all reports, sunreys, and other data and documents
provided or created in connection with this Agreement are and shall remain the property of Village. In
the event of termination of this Ag�eement by either party,any reports, photographs,surveys and other
data and documenu and public records prepared by,or in the possession or control of, HRCC, whether
finished or unfinished, shall become the property of Village and shall be delivered by HRCC to the Village
Manager, at no cost to the Village, within seven (7) days of termination of this Agreement. All such
records stored electronically by HRCC shall be delivered to the Village in a format that is compatible with
the Village's information technotogy systems. Upon terminatian of this Agreement, HRCC shall destroy
any duplicate public records that are exempt or confidential and exempt from public records disclosure.
Any compensation due to HRCC shall be withheld until all documents are received as provided herein.
HRCC's failure or refusal to comply with the provisions of this section shall result in the immediate
termination of this Agreement by the�Ilage.
7. Access and Audits. The Village may, at reasonable times, and for a period of up to three (3) years
following the termination of this Agreement, audit, or cause to be audited, those books and records of
HRCC that are related to HRCC'S performance under this Agreement. HRCC agrees to maintain all such
books and records at its principal place of business for a period of three (3) years after the termination
of this Agreement.

8. Conflicts of interest;Non-hire Provision. HRCC represents that it is free to enter into this Agreement and
that this engagement does not violate the terms of any agreement between HRCC and any third party.
During the term of this Agreement, HRCC shall devote as much productive time, energy and abilities to
the perFormance of the duties hereunder as is necessary to perform the required duties in a timely and
productive manner. HRCC is expressly free to perform services for other parties while perForming services
for the Village. For a period of six months following any termination,HRCC shall not,diredly or indirectly
hire,solicit,or encourage to leave the Village's(or any affiliate of the Village)employment,any employee,
consultant, or contractor of the Village (or an affiliate of the Village) or hire any such employee,
consultant, or contrador who has left the Village's employment or contractual engagement within six
months of such employment or engagement.
9. Ri�ht to Iniunction. The parties hereto acknowledge that the services to be rendered by HRCC under this
Agreement and the rights and privileges granted to the Village under the Agreement a�e of a special,
unique,unusual,and extraordinary character which gives them a peculiar value,the loss of which cannot
be reasonably or adequately compensated by damages in any action at law, and the breach by HRCC of
any of the provisions of this Agreement will cause the vllage irreparable injury and damage. HRCC
expressly agrees that the Vllage shall be entitled to injunctive and other equitable relief, in addition to
monetary damages, in the event of,or to prevent,a breach of any provisfon of thls Agreement by HRCC.
Resort to such equitable relief, however, shall not be construed to be a waiver of any other rights or
remedies that the Village may have for damages or otherwise. The various rights and remedies of the
Village under this Agreement or otherwise shall be construed to be cumulative,and no one of them shall
be exclusive of any other or of any right or remedy allowed by law.
10. Mer er. This Agreement shall not be terminated by the merger or consolidation of the Village into or
with any other entity.
11.Termination. The Village or HRCC may terminate this Agreement at any time without cause by providing
15 days'written notice to the other party.
If the Village terminates this Agreement without cause within the first two(2)months of contract signing,
the �Ilage agrees to compensate HRCC the amount of the Retainer $2,722.50. The Village shall make
payments to HRCC for all work perfortned in accordance with the terms and conditions of this Agreement
up to the date of termination, and HRCC shall immediately return to the Village, without limitation, all
correspondence, reports, documents, and any other items of whatever nature supplied to HRCC by the
Village or owned by the Village pursuant to this Agreement. This without-cause-termination pay
(Retainer)is payabfe within ten(10)days of contract signing.

If HRCC terminates this Agreement without cause within the first two (2) months of contract signing,
HRCC agrees to reimburse the Village for any amounts received by HRCC pursuant to this Agreement,
including the Retainer paid to HRCC,less applicable monies for hours worked and pre-approved expenses
i ncu rred.
In addition, if HRCC is guilty of serious misconduct in connection with performance hereunder, or
materially breaches provisions of this Agreement,the Village at any time may terminate the engagement
of HRCC immediately and without prior written notice to HRCC. However,the Village agrees to pay HRCC
within 30 days for pre-approved incurred expenses and un-paid hours worked up to the point of notice
to terminate with cause.
12.Successors and Assi�ns. All of the provisions of this Agreement shall be binding upon and inure to the
benefit of the parties hereto and their respective heirs,if any,successors,and assigns.
13.Applicable Law,Jurisdiction and Venue.This Agreement shall be construed and enforced in accordance
with the laws of the State of Florida. The parties submit to the jurisdiction of any Florida state or federal
court in any action or proceeding arising out of or relating to this Agreement. Venue for any action to
enforce this Agreement shall be In Palm Beach County, Florfda.
14. Headin�s. Section headings are not to be considered a part of this Agreement and are not intended to
be a full and accurate description of the contents hereof.
15.Waiver. Waiver by one party hereto of breach of any provision of this Agreement by the other shall not
operate or be construed as a continuing waiver.
16.Assi�nment. HRCC shall not assign any of its rights under this Agreement, or delegate the performance
of any of its duties hereunder,without the prior written consent of the Village.
17. Notices. Any and all notices, demands, or other communications required or desired to be given
hereunder by any party shall be in writing and shall be validly given or made to another party if personally
served,or if deposited in the United States mail, certified or registered, postage prepaid, return receipt
requested. If such notice or demand is served personally, notice shall be deemed constructively made at
the time of such personal service. If such notice,demand or other communication is given by mail,such
notice shall be conclusively deemed given five (5) days after deposit thereof in the United States mail
addressed to the party to whom such notice,demand or other communication is to be given as follows:

18.Modification or Amendment. No amendment, change or modification of this Agreement shall be valid
unless in writing signed by the parties hereto.
19. Entire Understandin�. This document and any exhibit attached and/or amendments made pursuant to
paragraph 18 above constitute the entire understanding and agreement of the parties, and any and all
prior agreements, understandings, and representat(ons are hereby terminated and canceled in their
entirety and are of no further force and effect. The Proposal dated January 12, 2018 is in incorporated
in E�chibit A by reference.
20. Unenforceability of Provisions. If any provision of this Agreement, or any portion thereof, is held to be
invalid and unenforceable, then the remainder of this Agreement shall nevertheless remain in full force
a nd effect.
21. Indemnification. HRCC shall indemnify,defend and hold harmless the Village,its officers,o�cials,agents,
employees,and volunteers from and against any and all liability,suits,actions,damages,costs,losses and
expenses, including attorneys' fees, demands and claims for personal injury, bodily injury, sickness,
diseases or death or damage or destruction of tangible property or loss of use resulting therefrom,arising
out of any eRors, omissions, misconduct or negligent ads of HRCC, its respective o�cials, agents,
employees or subcontractors in HRCC'S performance of senrices pursuant to this Agreement. HRCC
acknowledges that specific consideration has been paid or will be paid under this Agreement for this
indemnification provision. Nothing in this Agreement shall be deemed or treated as a waiver by the
Village of any immunity to which it is entitled by law, including but not limited to the vllage's sovereign
immunity as set forth in Section 768.28,Florida Statutes.

22. Insurance_ HRCC shall purchase and maintain during the duration of this Agreement and after the
expiration of this Agreement as provided below,the following insurance coverage:
a. Worker's compensation and employer's liability caverage for HRCC's legal and statutory obligations
for damages due to bodily injuries occurring to HRCC's employees, agents or servants as a result of
employment.
b. General and professional liability covering HRCC,its agents,employees,and servants for bodily injury,
personal injury,or property damage claims arising out of the premises,products or activities of HRCC.
Minimum limits of liability for the above coverage shall be$1,000,000 per occurrence.Coverege shall
be five hundred thousand{$500,000)per occurrence.
c. Unemployment insurance as required by law for all employees.
HRCC shall provide the Village with certi�cates of insurance as evidence that all coverage required under
this Agreement have been obtained and are in full force and effect. HRCC shall provide certificates of
insurance to the Village within five(5)days of the effective date of this Agreement and/or within five (S)
days of a request made by the Village.

PUBLIC RECORDS. In accordance with Sec. 119.0701, Florida Statutes,
CONTRACTOR must keep and maintain this Agreement and any other
reco�ds associated therewith and that are associated with the
perfortnance of the work described in the Proposal or Bid. Upon request
from the Village's custodian of public records,CONTRACTOR must provide
the Vlllage with coples of requested records, or allow such records to be
inspeded or copied, within a reasonable time in accordance with access
and cost requirements of Chapter 119, Florida Statutes. A CONTRACTOR
who fails to provide the public records to the Village,or fails to make them
available for inspection or copying, within a reasonable time may be
subject to attome�/s fees and costs pursuant to Sec. 119.0701, Florida
Statutes,and other penalties under Sec.119.10,Florida Statufes. Further,
CONTRACTOR shall ensure that any exempt or confidential records
associated with this Agreement or associated with the performance of the
work described in the Proposal or Bid are not disclosed except as
authorized by law for the duration of the Agreement term, and following
completion of the Agreement if the CONTRACTOR does not transfer the
records to the �Ilage. Finally, upon completion of the Agreement,
CONTRACTOR shall transfer, at no cost to the Village,all public records in
possession of the CONTRACTOR, or keep and maintain public records
required by the Village. If the CONTRACTOR transfers al)public records to
the Village upon completion of the Agreement, the CONTRACTOR shall
destroy any duplicate public records that are exempt or confidential and
exempt from public records disclosure requirements. If the CONTRACTOR
keeps and mai�tains public records upon completion of the Agreement,
the CONTRACTOR shall meet all applicable requirements for retaining
public records. Records that are stored electronically must be provided to

HRCC will p�o�ide the organization with a compensation philosophy statement to guide the
organizatian's determination of the comparable labor market, market positioning,
implementation strategy, dnd pay plan maintenante. HRCC will use a m�rket-priting approath
with curcent base pay for key benchmarlc jobs to design a pay grade and range structure for the
organization that balances local market candltlons and internal equlty. When designed
correctly, this strutture enables the reGognition af differing rates of pay for perform�nce and
guarantees a reasonable level of control over intemal pay compression and salary expenditures.
HRCC will review pay data frorn up to five(5)sources.

HRCC works with the client to identify the most appropriate organizations to survey. HRCC will
draft an email for the client to notify the target group that ls being surv€yed. HRCC contacts
those organizations and encourages their participation. A separate report will be sent to each
participant as a "thank you",sharing a summary of the salary survey data.
HRCC will include base pay data from the most recent PEPIE Survey and will alse include
information from the private sector where applicable. For private sector base pay data, HRCC
uses CompMalyst.This data warehouse has market data for over 4,000 benchmark jobs across
2U industries in 24U US metropolitan areas and 30 employee size tategories.The maricet survey
will obtain pay range information(minimum, rnidpoint, and rnaximum value)from public-sector
organizations.
HRCC will assign each organization job to a rnarket competitive pay range. HRCC will provide a
grade order list of jobs to review with the organi2ation.Once the new pay structure is developed
and all jobs have been assigned a new pay range, HRCC will anaiyze the organization's current

recommendations to ensure that the organization's new Job and Pay Framework is successful

The professional fees for our services are based on a blended hourly rate which includes the work
of a Project Manager, Consultant, Job Description Reviewer and administrative-support staff.
One(i)on-site visit far Department Head interviews are intluded in the fees.
New Job and Pay Framewark: $9,075
It is anticipated that this project can start mid-February and should be completed in ten (10�
weeks. Work can begin wfthin two weeks of recefpt of a signed contract and 3096 payment after
the initial Kick-aff Cail. HRCC will then invoice 50�6 at the end of March and 2Q9G with the Final
Deliverables. Our payment terms are net 30.
�PTICINAL TRAVEL: If the Village chooses additional ansite visits, HRCC would bill prafessional
fees separately at a flat rate of$1,450 per Consultant, per on-site day. Due to our proximity to
the Village,no directly related travel expenses will be incurred.
OPTIONAL 106 DESCRIPTIONS: If the Village were to choose this optional service, HRCC would
provide the Village with a Job Description Template and a"How to Write Job Descriptions Guide"
documenting the process for developing and updating job descriptions. The process typit�lly
involved employees completing and supervisors reviewing the Position Questionnaires (P4s).
HRCC will then draft the job descriptions and request that supervisnrs review and comrnent
before HRCC makes final edits. HRCC's professional tees for writing job des�riptions are$90 per
job description.
HRCC would be pleased to provide the organization with on-going HR and compensation-related
support on a per project basis, for projects autside the original scope of work. Our Contract
includes a Maintenance Agreement component, whereby the organization may request
additional support for an hourly rate (USD$165)through Decernber 31,2019.

PUBLIC RECORDS. In accordance with Sec. 119.0701, Florida Statutes,
. CONTRACTOR must keep and maintain this Agreement and any other
records associated therewith and that are associated with the
performance of the work described in the Proposal or Bid. Upon request
from the Village's custodian of public records,CONTRACTOR must provide
the Vllage with copies of requested records, or albw wch records to be
inspected o�copied, within a reasonable time in ac:cardance with access
and cost requirements of Chapter 119, Florida Stvtutes. A CONTRACTOR
who fails to provide the public records to the Vllage,or fails to make them
available for inspection or copying, within a reasonable tirne may be
subject to attorne�/s fees and costs pursuant to Sec. 119.0701, Flor/da
Stotutes,and other penalties under Sec.11910,Florida Statutes. Further,
CONTRACTOR shall ensure that any exempt or confidential records
assodated with this Agreement or associated with the performance of the
woric described in the Proposal or Bid are not disclosed except as
authorized by law for the duration af the Agreement term, and following
completion of the Agreement if the CONTRACTOR does not transfer the
records to the vllage. Finally, upon completion of the Agreement,
CONTRACTOR shall transfer,at no cost to the Village, all public records in
possession of the COfV1RACTOR, or keep and maintain public records
required by the vllage. If the CONTRAGTOR transfers all public records to
the vllage upon completion of the Agreement, the CONTRACTOR shall
destroy any dupllcate public records that are exempt or confiderrtlai and

may advance to the Firefighter II classification in the career development
plan providing they have all the qualifications listed in Section 240.04.
240.04 F�ref�ghter II: This is a firefighter's second career development levei. To
achieve this level individuals must be a State of Florida certified Pump
Operator and must successfully complete the following courses:
• 40 Hour class in Aerial Operations and;

(hereinafter referred to variousiy as°Employee°or"Interim Firefighter'� as follows:
Section 1. Duties
The �llage hereby agrees to hire Employee as an Infierim F'irefighter to perForm the
duties and functions of a Firefighter I, in accordance with the job position descripfion
attached hereto and marked as Append'a°A". Employee shall be subject to, and abide
by, the Ordinances of the Village,the Vllage Empfoyee Handbook, Flortda Statutes and
Federa! laws goveming Firefighters and Emergency Medical Technicians. Employee
agrees to perForm duties and responsibil'fies hereunder and such other reasonable
duuti�es and responsibi�ties as are assigned to him froin time to time by the Fre Chief
and/or the�llage Manager.
Section 2. Description of Position
The Vllage has started an ir�terim firefighter program to assist individua(s in obtaining a
career in the fire service and to assist individuals wifh higher education opportuni�es.
lr�im firefighfiers serve on an °as needed°basis as determined in the sole disc�tion of
the�I�age. Irifierim ftrefighters serve at the will of the Village. Iriterim fire�ighters can be
relieved of duty at any fime for any reason or no reason.
Interim firefighters wilf receive a copy of the VOage Employee Handboo[c and the Fre-
Rescue Departrnerit's Po�cy and Procedure Manuai at the time of initi�al employmerrt.
Irrterim firefighters are responsible for compliance with General Personnel Poiiaes and
Standards of Conduct as set forth in the Vlage Employee Handbook. However, other
than rights and benefits specfic�lly I'isted in this Agreeme�rt, it�terim firefigMers are not
entitled to arry rights or benefrts set forth in the Vllage's Employee Handbook, induding,
but not[imited to, arry grievance procedure rights.
Section 3.Term
This Agreement shall commence as of the date hereof and sf�all remain in efFecE for a
period of three (3) years. This Agreemerrt can be renewed for an additionat three (3)
year term by muEual conserrt of both parties. No mod'dYcations, changes or
amendmeMs to any provision of this Agreement can be implemented without express
wriften agreement being executed by both parties.
Employee agrees �Ftat he is an at�vill empbyee and wiq serve at the pleasure of the

Section 4. Termination

employment for reasons other than moral turpiivde, the vtlage agrees to pay the
Employee for any acxrued sidc leave and vacation benefits in accordance with the
provisions of the Vllage Employee Handbook appiicable to fult time Village employees.
The Employee wi(I also be eligble for his portion of the Educaaiion Assistance Funds
(defined below) that he has eamed, for a period of fime up to twelve (12) months from
his date of terminafion. Education Assistance Funds �ot utilized within this fwelve (12)
month time frame shal{be forFeited to the Vflage.
If Employee is terminated for moral turpitude, f�e shall forfeit his accrued sidc leave�
vacation pay and education ass"�stance funds.

Section 5. Salary
The �Ilage win compensafie Employee at the prevaiGng minimum wage for all hours
worked during his normal workweek. The normal workweek for Fire Department

• (944) hours in a fwenty-one (21) day cyde. The Vllage reseroes the right to adjust the
normal workweek hours as needed and in accordance with the Fair Labor Standards

Employee wili oocasionally be needed to work extra hours. The �Ilage provides
campensation for exba hours worked at a rate of one and o�e-haff (9-1/2) �mes the
normal hour(y rate of pay for a[I hours worked in excess of the normal wo�lc cycle. For

Section 6. Benefits
a. Vacation: Employee will receive two weeks of paid vac�fion for each year

Medical Techniaan upon execufion of this Agreement, the Vllage will advance
Education Assistance Funds to pay for these certifications for the Employee.

This Agreemer�t shall be governed by and construed pursuar�t to the laws of the S'tate of
Florida. Employee imevocably submits to the jurisdicfion of such courts and waives any
objec[ihon it may have to either the jurisdic[ion or venue of such courts. Further,
Employee waives trial by jury if I'figation is filed to er�force any terms of this Agreement

Section 8. Severability.
ff any terms or part of this Agreemerrt shall be determined to be invalid, illegal; or

PUBLIC RECORDS. In accordance with Sec. 119.0701, Florida Statutes,
. CONTRACTOR must keep and maintain this Agreement and any other
� records associated therewith and that are associated with the
performance of the work described in the Proposal or Bid. Upon request
from the Village's custodian of public records,CONTRACTOR must provide
the Vllage with copies of requested records, or allow such records to be
inspected or copied, within a reasonable time in accordance with access
and cost requirements of Chapter 119, Florida Stntutes. A CONTRACTOR
who fails to provide the public records to the Village,or fails to make them
available for inspection or copying, within a reasonable time may be
subject to attome�/s fees and costs pursuant to Sec. 119.0701, Florida
Statutes,and other penalties under Sec.119.10,Florida Statutes. Further,
CONTRACTOR shall ensure that any exempt or confidential records
associated with this Agreement or associated with the perFormance of the
work described in the Proposal or Bid are not disclosed except as
authorized by law for the duration of the Agreement term, and following
completion of the Agreement if the CONTRACTOR does not transfer the
records to the vllage. Finally, upon completion of the Agreement,
COIVTRACTOR shall transfer, at no cost to the vllage,all public records in
possession of the CONTRACTOR, or keep and maintain public records
required by the Village. If the CONTRACTOR transfe�s all public records to
the Vllage upon completion of the Agreement, the CONTRACTOR shall
destroy any duplicate public records that are exempt or confidentia! and

240.03 After at least twelve months in the class�cation of Firefighter I, employees
may advance to the Firefighter II classification in the career development
plan providing they have all the qualifications listed in Section 240.04.
240.04 FRrefghter !I: This is a firefighter's second career development level. To
achieve this level individuals must be a State of Florida certified Pump
Operator and must successfully complete the following courses:
• 40 Hour class in Aerial Operations and;
• 40 Hour class in Vehicle Extrication and;
• At least one of the following electives:
o Confined Space Rescue 1
o Rope Rescue I & II
o Dive Rescue I
240.05 After at least twelve months in the classification of Firefighter II,
employees may advance to the Firefighter III pay grade providing they
have all the qualifications listed in Section 240.06.
240.06 Firefghter III: This is the third career development level. To achieve this
level individuals must have completed all the requirements of Firefighter II,
and the following:
• Obtain (3) credits in Microcomputer Applications (CGS-1100) and;
• Obtain (3) credits in Building Construction (FFP-2120) and;
• Obtain (3) credits in Fire Service Course Delivery (FFP-1740);
• Individual must than choose a career track from the following categories
and successfully complete 80 hours of advanced educational

Attached is the renewal of an Agreement we initially executed last year at this time in
order to become an American Heart Association Training Site under the American Heart
Association guidelines and curriculum through the Training Center, TotalCaring.
Your signature is required to extend this Agreement for another year. There is no cost
for extending this Agreement. The costs will be incurred when we perForm training and
issue cards for renewals such as BLS Provider and�CLS.

WHEREAS,the American Heart Association is a nonprofit organization dedicated to fighting heart
disease and stroke and sets guidelines for emergency cardiovasculaz caze("ECC'�and ECC trainmg; ` _ y_Y
WHEREAS, Certified Training Center(TotalCaring,Inc.)provides and manages ECC traming
under the guidelines and curriculum of the AHA;and Training Site(Tequesta Fire Depar�ent)
would like to provide ECC training imder same guidelines and c�iculum of AHA:
NOW THEREFORE,m consideration of the mutual promises set out herein,the pariies hereby
agree as follows:
1. DEFINTI'IONS:
1.1 AHA Materials: "AHA Materials"shall mean all ECC materials published by the
AHA,including,but not limited to,textbooks,instructors manuals,tests,keys,
evaluation forms,newsletters,course completion cards, and course participation
cards.
1.2 Courses: "Course"or"Courses"shall mean the approved ECC courses listed
below in which course cards will be dis�tributed.

1.6 Instructors: `�nstructors"shall mean persons engaged or authorized by CTC or

1.7 Program Guideliaes: "Program Guidelines"shall mean the then carrent
Guidelines for Cardiopulmonary Resuscitatioa and EmergencJr Cardiac Care,and
most recent version of the CTC Program Administration Manual,as they may be
amended and/or supplemented by the AHA from time to time. The Program
Guidelines are incorporated herem by reference as if fully set forth at length.
2. RESPONSIBILITIES OF TRAINING SITE:
2.1 Courses: TS shall conduct courses only within geographic territory. TS shall

AHA. •
2.2 The TS will support the Chain of Survival initiatives in cooperation with the
AHA in their region and/or community,within available resources as outlined in
Program Guidelines.
2.3 Rosters 8'c Course Completion Cards:
2.3.1 TS shall safeguard Course Cards from unauthorized distribution. It shall
limit the distribution of course cards only to persoas who are studeats of
the TS and/or Instructors who have met the requirements for receipt of
course cards in accordance wid�Program Guidelines. Only the approved
TS Coordinator may receive course cards from the GTC and will be solely
responsible for control and security of card��-m�a*�CR. T1lIS r6SpOIIS1b111Ly
may not be assigned or transferred to any other organization or individual,
including Training Sites or Ins�uctors. TS shall insure that only the
appropriate type of coiuse card,as set out in the Program Guidelmes,is
issued to each student.The fee for basic life support(BLS)Provider cards
for TS,payable to CTC is$5.00 per c�rd, and the fee for advanced life
support(ACLS),pediatric advanced life support(PALS)Provider cards
and ALL'mstructor cards(BIS,ACIS, PAIS)for TS,payable to CI'C is
�7.00 per card(fees do not generate income to the American Heart
Association). �
2.3.2 TS shall maintain rosters and records for all courses conducted by TS for at
least 3 years after the date the course was conducted.
2.3.3 TS shall submit statistical data and/or reports to the CTC as required
under the Program Guidelines.
3. Reviews:
The CTC may monitor and/or review the TS performance and compliance with
Prograin guidelines and AHA curriculum at least once each year through a review
of course records, site reviews,and course audits. This shall be in addition to the
monitoring of Instructors as part of their review.
4. Costs and Fees:
All costs of providing courses and fees charged to students shall be the
responsibility of the TS. The AHA or CTC shall not have any responsibility for
any costs incurred, or fees charged by TS. The AHA is paid no fees by the CTC or
TS or instructors, and the AHA has no financ:ial interest in the business of the CTC
or TS.
5. Relationship of Parties:
Thc parties acknowledge and agree that the relationship created by this agreement
is that of independent contractors, each is an independent business entity, and
such, neither party may represent itself as an employee, agent or representative of
the other;nor may it incur any obligations on behalf of the other party;nor are the
parties joint ventures or partners; nor does the relationship created under this
agreement constitute a franchise.
6. Term and Termination:
The term of this agreement shall be for a one year period,beginning on
October 1,2017 and ending on October 1,2018. It may only be extended by
mutual written agreement of the parties. Each party is free to decline to renew or
extend the term of this agreement.
This agreement may be terminated by either party if the other party breaches any
term or condition of the Agreement and fails to cure the breach within ten business
days after receipt of written notice describing the breach. TS acknowledges and
agrees that breach includes,but is not limited to, failure by TS to comply with
program and/or curriculum guidelines , and that neither the CTC nor its affiliates
or officers, employees volunteers or agents shall have any liability for any resulting
termination under this agreement.
This agreement may also be terminated by either party, without cause, upon thirty
(30)days' prior written notice.

PUBLIC RECORDS. In aaordance with Sec. 119.0701, Florida Statutes,
, . CONTRACTOR must keep and maintain this Agreemerrt and any other
records assoaated therewtth and that are associated with the
performan�e of the work descri6ed in the Proposal or Bid. Upon request
from tE�e Village's custodian of public records,CONTRACTOR must provide
the Village with oopies af requested records, or albw such records to 6e
inspected or oopied,within a reasonable time in accordance with access
� and cost requireme�of Chapte�119, Florida Statutes. A CONTRACTOR
who fails to provide the public records to the Vl�ge,or fails to make them
available for inspection or copying, within a reasonable time may be
subject to attorne�s fees and �osts pursuarrt to Sec. 119.0701, Florida
Statutes,and other penafties under Sec.11910,Florfda S�es. Further,
CONlRACTOR shap ensure tf�at any exempt or confidenfial recards
associated with this Agreeme�or assoaated with the perFortnance of the
work described in the Proposal or Bid are not disclosed except as
authorized by law for the duration of the Agreement teRn,and following
completion of the Agreement if the CONTRACTOR does not transfer the
records to the Yllage. Fnally, upon completion of the Agreemetrt,
CONTRACTOR shall transfer,at no cost to the V'dlage,atl public records in
possession of the CONiRACTOR, or keep and mairrtain public records
required by the VUlage. If the CONTRACTOR transfers all public records to
the Vllage upon completion of the Agreemerrt, the CONTRACTOR shaq
desh-oy any duplicate public records that are exempt or confideritial and
exemptfrom public records disclosure jeyuirements. Ifthe CONTRAGTOR
keeps and mair�tains public records upon completion of the Agreemerrt,
the COMRACTOR shall meet all applicable requiremerrts for retaining
pubtic records. Records that are stored electronically must be provided to
the VILIAGE, upon request from the Vllage's custodian of public r+ecords,
in a format that is oompatible with the Vllage's inforrnation technology
systems.
