RESOLUTION NO. 45-98/99
A RESOLUTION OF THE VILLAGE COUNCIL OF THE VILLAGE
OF TEQUESTA, PALM BEACH COUNTY, FLORIDA, APPROVING
A BID AWARD TO RANGER CONSTRUCTION INDUSTRIES, OF
WEST PALM BEACH, FLORIDA, FOR PAVING OF PORTIONS OF
TEQUESTA DRIVE IN THE AMOUNT OF $26,700, PURSUANT
TO A TOWN OF JUPITER CONTRACT FOR SUCH SERVICE AND
AUTHORIZING THE VILLAGE MANAGER TO EXECUTE THE SAME
ON BEHALF OF THE VILLAGE.
NOW, THEREFORE, BE IT RESOLVED BY THE VILLAGE COUNCIL OF THE
VILLAGE OF TEQUESTA, PALM BEACH COUNTY, FLORIDA, AS FOLLOWS:
Section 1. The Tequesta Drive Paving Proposal with
Ranger Construction Industries of West Palm
Beach, Florida in the amount of $26,700,
Attached Hereto as Exhibit "A" and
Incorporated by Reference as Part of this
Resolution is Hereby Approved, and the Village
Manager of the Village of Tequesta is
Authorized to Execute the same on behalf of
the Village.
THE FOREGOING RESOLUTION WAS OFFERED by Councilmember
who moved its adoption. The motion was seconded
by Councilmember and upon being put to a vote, the
vote was as follows:
FOR ADOPTION AGAINST ADOPTION
The Mayor thereupon declared the Resolution duly passed and
adopted this 22nd day of July, A.D., 1999.

Subject: Resolution No. 45 - 9$/99, Approving Ranger Construction's
Quotation/Contract to Provide an Asphalt Overlay onTequesta Drive
Phase I and Phase II of the Tequesta Drive Stormwater Diversion 1~'roject is now
complete with the exception of repairs to the roadway on Tequesta Drive. The Utilities
Department is seeking approval for Ranger Construction Industries, under a "piggy back"
contract with Palm Beach County, to provide services to level and refinish Tequesta
Drive. These services total $26, 700 as indicated in the construction quotation/contract as
provided in Attachment 1.
Funds for the road repair will be expended from the Stormwater Enterprise Fund, Capital
Outlay, having a remaining Fiscal Year 1998/1999 budget allocation of $26,705.
Please place the Ranger Construction Contract for re-paving Tequesta Drive on the July
22, 1999, Village Council Agenda for consideration by the Members.

1) It is expressly agreed that there are no promises, agreements, or understandings not set out in this con .tact. Any subsequent
cancellations or modifications must be mutually agreed upon in writing.
2) Unless a lump sum price is to be paid for the foregoing work and is clearly so stated, it is understood ar d agreed that the quantities
referred to herein are estimates only and that payment shall be made at the stated unit price for the act gal quantities of material
utilized and work performed by Ranger as determined upon completion of the work.
3) Changes in labor classifications or assignment of work by anyone other than Ranger will establish a ba .is for re-negotiation of
prices set forth in this contract. At the sole option Ranger, this contract may be cancelled in the event t iat said changes or
assignments occur or in the event that said re-negotiation is deemed unsatisfactory by Ranger.
4) In the event that any work is done by Ranger under this agreement, or any side amendment, which wor < is on public property, the
Customer/ Owner agrees and understands that the project property which it own shall be charged with . rll indebtedness hereunder.
5) Unless specifically stated in a bid item, this quotation does not include any cost for engineering layout,/ esting, as-built drawings,
permits, fees or bonds.
6) Due to the volatility in the price of petroleum products, the price of asphaltic concrete herein is qual~ed as follows: If at the time of
performance of the work, the cast of liquid asphalt exceeds that used in the quotation by 10%, Ranger, 3t its sole option, may
request payment for the differential in excess of the 10%, plus a reasonable overhead and profit. Rang :r will provide
documentation with such request for compensation.
'n Unless otherwise stated, guarantee period for all work performed under this proposal in one (1) year. C uarantee does not extend
to the emergence of grass or other plant materials through the asphalt layer. It does not cover damage to the asphalt layer caused
bypre-existing conditions orsub-surface failures.
8) Unless otherwise agreed, Customer w(II bear any additional expense not covered by this quotation and incurred by Ranger as a
result of performance of work under conditions adverse to the expediQnt prosecution of Ranger's work 1,hich are beyond Ranger's
control, including adverse weather and delays by others.
9) If, for causes beyond Ranger's control, the work covered by this proposal is a not completed within twel,e (12) months after the
date of acceptance of this proposal, Ranger may cancel this agreement at any time thereafter on ten (1 )) days written notice.
10) In the event of a misunderstanding or conflict between the terms and conditions stated in the plans and specifications, this contract
shall govern.
11) Ranger shall be provided with suitable access to the work area- If Ranger's work is dependent upon, o~ must be undertaken in
conjunction with the work of others, such work shall be performed and completed so as to permit Range r full access to its work
hereunder in an uninterrupted single shift operation. Any deviation from said access shall be cause for aaim for additional
compensation.
12) Unless a speafic time for performance of Ranger's work is stated, Ranger shall undertake this work in t to course if is normal
operation schedule. Ranger shall.not be liable for any failure to undertake or complete work due to cau: es beyond its control,
including, but not limited to misinformation supplied by the Customer ar its agents, failure of subgrade, ; end failure or inadequacy of
any labor or materials not furnished and installed by Ranger. Customer further agrees to pay any legal fees incurred by Ranger in
defending against such liability.
13) Unless othennrise stated herein, payment terms are net cash upon receipt of Rangers invoice. All moni's not paid when due shall
bear interest at the maximum rate allowed by law at the project.
1a) if an agent and/or attorney is employed by Ranger for collection of any delinquent payment, Customer : grass to pay in addition to
any service snares, all fees for the services of such agent and/or attorney (including, but not limited to ~ II fees and costs incident to
any appeals) together with all costs, charges and expenses, regardless of whether or not suit be brougl t.
15) This quotation and agreement shall be governed by the laws of the State of Florida without regard to pr nciples of conflicts of laws.
Venue of all proceedings shall be in Palm E3each County, FL and Customer waives whatever rights it m ry have in the selection of
venue and hereby consents to jurisdiction.
SALES TAX: Prices include the applicable t~torida sales tax on materials and other related taxable itF ms to be used on this
project.
